EMPLOYMENT CONTRACT

We are pleased to offer you employment under the following terms and conditions with
Parkway Hospitals Singapore Pte Ltd (hereinafter referred to as the “Company” or “Employer”).
The Company is part of the IHH Healthcare group.

1. JOB TITLE

You will be appointed as Staff Nurse I and your business title is Staff Nurse. Your job
grade will be N07.

2. REMUNERATION
(a) Salary
Your monthly basic salary will be S$3,600.00. This amount includes a Monthly
Variable Component (MVC) at 10% of your monthly basic salary i.e. S$360.00.

(b) Monthly Variable Component (MVC)


The Monthly Variable Component is the flexible salary component that allows
the Company to adjust your basic salary downward in the event of an economic
downturn. As MVC is part of the total salary, it will be considered in the
computation of overtime and bonus, where applicable.

(c) Annual Wage Supplement (AWS)


You will be eligible to an Annual Wage Supplement of one (1) month of your
monthly basic salary for a completed calendar year of continuous service,
subject to the Company’s prevailing AWS policy.
There will be no payment of pro-rated AWS, should you resign or terminated
during the year or be serving your notice of resignation or termination in the
month of payment.

(d) Central Provident Fund (CPF)


In accordance with the CPF Act in Singapore: -
For employee who is a Singapore Citizen or Singapore Permanent Resident,
both the Company and the employee will make monthly contributions to the
employee’s CPF account at the prevailing statutory rates.
Should an employee subsequently obtain Singapore Permanent Residence
status, the prevailing CPF contribution rates will apply.

(e) Income Tax

You will be responsible for all personal income or other personal taxes arising
out of your employment with the Company.
Should tax clearance be required when you cease employment with the
Company, the Company will withhold all monies (including salary, bonus,
overtime pay, leave pay, allowances, gratuities, lump sum payments, etc.) due
to you from the day you inform the Company of your intention to cease
employment/depart Singapore. These monies will be withheld for a period of 30
days from the day the Company notifies the Inland Revenue Authority of
Singapore (IRAS) through the Form IR21, or until the tax clearance directive is
issued by IRAS, whichever is earlier.

(f) Variable Bonus

You will be eligible for a variable bonus subject to your performance and the
performance of the Company.

3. PROBATION
You will serve a three (3)-month probationary period from your commencement date of
employment, which may be extended by the Company if it deems it necessary to assess
your suitability for the position. Upon satisfactory completion of your probationary period,
you will be given a written confirmation of your appointment.
Either party may terminate this contract of service during the probationary period by
giving the other party with two (2) weeks of written notice or salary in lieu without any
reason being given.

4. WORKING HOURS
You will be required to work a forty-two (42)-hour work week and will work the official
hours that your Supervisor has assigned.
You will also be required to perform such rotating shift; on call duties; or work overtime
as and when needed.
Your entitlement to any additional pay and allowances for shift, on call duties, or
overtime work, where applicable, shall be as determined by Company policy from time
to time, based on your job scope and grade.

5. ANNUAL LEAVE
You will be entitled to twenty-one (21) working days of annual leave per calendar year,
which shall be pro-rated for an incomplete year of service.

6. MEDICAL LEAVE (SICK / HOSPITALISATION)


You will after six (6) months of your commencement of employment, be eligible for sixty
(60) working days of hospitalisation leave (inclusive of fourteen (14) working days of
outpatient sick leave) per calendar year. Where you have been in service for at least
three (3) months but less than six (6) months, your entitlement to sick/hospitalisation
leave shall be pro-rated in accordance with the Company's prevailing HR Policies. Such
leave must be supported by medical certificate issued by a registered medical
practitioner in Singapore.

7. GIFT OR ANY OTHER PAYMENT


You will not accept directly or indirectly any gift, favour or whatsoever from any
supplier or patient of the Company whether in cash or otherwise. Any such gift or
favour offered must be reported / declared to your Supervisor at the earliest possible
time.

8. OTHER TERMS AND BENEFITS


The foregoing substantially describe the key employment terms applicable to your
employment. Additional details and other key terms of employment such as your daily
working hours, other types of leave entitlements, health benefits, pay day and salary
period will be addressed in the HR Policies and Procedures, which you may upon your
commencement of employment, access via the Company intranet.
Certain employment terms may from time to time be amended to keep in line with
statutory changes, revised HR policies of the Company, or collective agreement, where
applicable: -

 Health Benefits (Medical/Dental)
 Insurance
 OT Payments
 Pay Day & Pay Period
 Leave

The changes will be reflected in the Company intranet: HR Policies and Procedures,
or otherwise communicated to you.

9. GENERAL CONDUCT
Upon entering into service of the Company, you will abide by all rules and regulations
and policies laid down by the Company from time to time.

You will faithfully perform the duties assigned to you and will devote all your time,
knowledge and skills exclusively to the interest of the Company. You will not employ
yourself or be engaged, concerned or interested, either directly or indirectly in any
other business or occupation of any kind whatsoever, including any multi-level
marketing business either alone or jointly with any other person, firm or Company.
This provision is not intended to prevent the acquisition of shares in a listed Company
by way of a bonafide investment.

You will not (except in the proper course of your duties) during or after the period of
your employment under this contract, disclose, use or retain any confidential
information obtained by you during your employment under this contract relating to
the patients, patient records, customers, suppliers, partners, operations, business,
dealings, transactions, affairs, processes, formulae or secrets of the Company and its
related companies. You hereby undertake to sign and abide by a separate
Confidentiality Agreement in the form prescribed by the Company as a term and
condition of this Employment Contract.

Any invention or development made by you during the course of your employment will
remain as the properties of the Company. You will, when requested, help to register
them or otherwise ensure their protection in the name of the Company.

10. NON-SOLICITATION; COMPANY INFORMATION & DECLARATION OF


CONFLICT

(a) For a period of one (1) year after the cessation of your employment with the
Company, you will not on your own or on behalf of any person, firm or company
directly or indirectly: -

(i) solicit or entice away or attempt to solicit or entice away the customer or
business relationship of any person, firm, company or organization who
has been a customer, client, or agent of the Company and/or its related
companies, and with whom you had material contact in the period up to
two (2) years prior the cessation of your employment; nor

(ii) endeavour to entice away from the Company any person who has at any
time during one (1) year immediately before such cessation been
employed or engaged in the Company and/or its related companies.

(b) All notes and memoranda of any trade secrets, know how, supplier list, customer
list, business contacts, pricing list, financial or marketing forecasts or other
confidential information of the Company and/or its related companies or any of
its/their suppliers, agents, distributors or customers which will be acquired by
you during your employment are the property of the Company, and will be
surrendered by you to the Company at the termination of your employment or
at the request of the Company at any time during the course of your
employment. You hereby undertake that you will keep such information
confidential, and not at any time hereafter use such information other than for
the performance of your duties herein.

(c) For the avoidance of relationships of vested interests between employees and
others where a conflict of interest may arise, you are required to disclose any
existing and potential conflict of interest to the Company upon the
commencement of employment.

11. EMPLOYEE’S OBLIGATIONS IN RELATION TO PERSONAL DATA PROTECTION


Personal data refers to any data, whether true or not, about an individual who can be
identified from that data; or from that data and other information to which the
organisation has or is likely to have access. Personal data in Singapore is protected
under the Personal Data Protection Act 2012 (PDPA).

In handling personal data in the course of your employment including personal data
relating to any employee, customer, patient, client, supplier or agent of the Company,
you shall only collect, use, disclose and process personal data of individuals in a
manner which is in full compliance with the PDPA and any policies, compliance
manual(s), processes, procedures, documentation, guidelines, requirements and/or
checklists issued by the Company relating to personal data and the PDPA. In this
regard:

(a) You acknowledge that Singapore has a personal data protection law, namely
the PDPA and that the Company has policies, compliance manual(s),
processes, procedures, documentation, guidelines, requirements and/or
checklists, arising from or related to the PDPA, that all employees would need
to comply with;

(b) You recognise and understand that the Company takes a serious view of
personal data protection and in your capacity as an employee of the Company,
you shall only collect, use, disclose and process personal data of individuals, in
full compliance with the PDPA and with any policies, compliance manual(s),
processes, procedures, documentation, guidelines, requirements and
checklists issued by the Company relating thereto.

(c) You agree to undergo all mandatory personal data protection training that the
Company has prescribed.

(d) You acknowledge that you will be subject to disciplinary action, which may
amount to a dismissal from employment, in the following situations:

(i) any breach of any of the provisions in this Clause 11; and/or
(ii) any action or omission by you that causes the Company, subsidiaries
and / or affiliates to be in breach of the PDPA.

(e) Notwithstanding anything to the contrary, you undertake to indemnify and at all
times hereafter to keep the Company, its subsidiaries and / or affiliates (together
with their respective officers, employees and agents) (each an "Injured Party")
indemnified against any and all losses, damages, actions, proceedings, costs,
claims, demands, liabilities (including full legal costs on a solicitor and own client
basis) which may be suffered or incurred by the Injured Party or asserted
against the Injured Party by any person or entity whatsoever, in respect of any
matter or event whatsoever arising out of, in the course of, by reason of or in
respect of:

(i) any breach of any of the provisions in this Clause 11; and/or
(ii) any action or omission by you that causes the Company, subsidiaries
and / or affiliates to be in breach of the PDPA.

12. DUTIES AND RESPONSIBILITIES


You may be assigned to perform tasks and duties for other business units,
departments or functions within the IHH Healthcare group of companies, as
designated by your supervisor from time to time.

13. PRE-CONDITIONS TO YOUR EMPLOYMENT


Your employment is subject to: -

(a) all relevant statutory and government requirements being met, including the grant
of any requisite work pass by the Ministry of Manpower, or the approval of the
Inland Revenue Authority of Singapore (IRAS);
(b) you being certified medically fit for employment by a certified medical practitioner
appointed by the Company;
(c) your verification of qualifications are true and verification of previous employments
are not adverse;
(d) confirmation of your COVID-19 vaccination status;
(e) confirmation of your Hepatitis B, Measles, Mumps, Rubella (MMR), Tdap, Varicella
and Influenza immune status (as applicable) by a recognised medical practitioner
appointed by the Company, else
(f) your undergoing vaccination offered by the Company should presumptive
evidence of immune status is not available.

Should you not meet the above listed conditions, this Employment Contract will be
withdrawn, or your employment will be forthwith terminated, as the case may.

You will be responsible for the validity of your passport / travel document and
expenses relating to the renewal of your passport. The Company will assist you with
the application of work pass to enable you to undertake the appointment in Singapore
and pay for such application and renewal fees for the work pass. Should you lose
your work pass, you will be responsible for the replacement of the FIN card issued by
the Ministry of Manpower.

14. TERMINATION OF EMPLOYMENT


(a) Either party may terminate this Employment Contract by giving the other party
one (1) month of written notice or payment of salary in lieu of notice.

(b) Notwithstanding Clause 14(a) above, the Company reserves the right to
terminate your service without giving any advance notice should you be found
guilty of misdemeanor, misconduct, negligence or breach of any of the terms of
this Employment Contract or any rules or regulations as laid down by the
Company from time to time.

15. ACCEPTANCE OF OFFER


This offer of Employment Contract is valid for two (2) weeks from the date of this letter.
Please confirm your acceptance by signing and returning the enclosed duplicate letter
to us within the validity period of this offer.

Your signature, will signify your understanding and acceptance of the above-
mentioned terms and conditions of employment.
