LEASE AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Agreement is entered into this day of __________2022, by and between:

__________________-., a domestic corporation duly organized and existing under and by virtue of the
laws of the Philippines, with office address at ____________________, represented by ____, hereinafter
referred to as “LESSOR”;

- and -

______________, a domestic corporation duly organized and existing under and by virtue of the laws of
the Philippines, with corporate business address ________________, represented by
______________________, (hereinafter referred to as “LESSEE”);

The LESSOR and LESSEE may also be referred to individually as a “Party” or collectively as the
“Parties”.

WITNESSETH: That –

WHEREAS, LESSOR is the absolute and registered owner of Block 1231231, Lot 1231231 located at
Quezon City, with an area of Ten Thousand Square Meters (10,000.00 sqm) more or less and specifically
described in Transfer Certificate of Title No. 1213131313 of the Registry of Deeds of Quezon City;

WHEREAS, LESSEE desires to lease from LESSOR a portion only of the above-mentioned
parcel of land consisting of One Thousand Square Meters (1,000.00 sq.m.) Only and more particularly
described and delineated in the drawing attached hereto as Annex “A” (“Leased Premises”);

WHEREAS, ________________ of _______________________are authorized by their


respective corporation to represent and execute this agreement. Copy of the Certification in the form of
Secretary’s Certificate by their respective corporation are hereto attached as Annex “B” and Annex “C”
and made an integral part of this Agreement;

WHEREAS, LESSOR agreed to lease the Leased Premises to the LESSEE subject to the terms
and conditions set forth in this Agreement;

NOW THEREFORE, for and in consideration of the foregoing premises and the terms and
conditions set forth hereunder, the parties hereby agree as follows:

Section 1. LEASE TERM

1.1 The term of this lease shall be for a period of Six (8) months only , commencing
on January 1, 2022 and expiring on June 31, 2022 (“Lease Term”), unless earlier terminated pursuant to
the provisions of this Agreement.

1.2 LESSOR shall allow LESSEE access to the Leased Premises starting on Jan 1, 2022, for
the purpose of introducing temporary improvements and making necessary additions and alterations in the
Leased Premises subject to the provisions of this Agreement.

1.3 LESSEE shall have the right to renew this Lease Agreement, provided no event of default
has occurred and the property is still available or the LESSOR/land owner has no immediate plan of
putting up any development on the said Leased Premises or use the land for whatever purpose. LESSEE
shall signify its interest ninety (90) days prior to the expiration of the lease term. The renewal terms and
conditions shall be subject to the mutual agreement of both parties in writing.

Section 2. LEASED PREMISES


2.1 The LESSOR undertakes to deliver or handover the Leased Premises to the LESSEE
upon the execution of this Contract on an “As-Is-Where-Is” condition. “As-is-where-is” shall mean that
the LESSEE voluntarily accepts all of the physical and legal conditions of the Leased Premises as is, at
the time of the execution of this Contract. By entering and occupying the Leased Premises, LESSEE
acknowledges that the Leased Premises are in good order and is fit for the use intended.
2.2 The parties acknowledge that the purpose of Annex “A” is to show the approximate
location of the Leased Premises in LESSOR’s parcel of land, and is not meant to constitute an agreement,
representation or warranty as to the construction of any structure within the Leased Premises, the precise
area thereof or its specific location.
2.3 LESSOR acknowledges that should there be a need to relocate the area being leased by
the LESSEE under this Agreement, it will be relocated to the nearest possible location from the Leased
Premises.
