SUPPLEMENTAL LEASE DEED

THIS SUPPLEMENTAL LEASE DEED made this ___________ day of


________ 2022.

BETWEEN

SHRI ASHISH NARAIN BAJAJ Jointly with SHRI BRIJESH


RAMESHLAL NANDWANI & SHRI PRAKASH RAMRATAN JAIN,
Indian Inhabitants, presently residing at B104,1st Floor,Gopal Krishn
CHS, Kelkar Road, Dombivali East-421201,Maharashtra, hereinafter
referred to as “the Lessors” (which expression shall, unless it be
repugnant to the context or meaning thereof, be deemed to mean and
include his heirs, executors, administrators and assigns ) of the One
Part;

AND

HDFC BANK LTD., a Banking Company incorporated under the


Companies Act, 1956 and having its Registered Office at HDFC Bank
House, Senapati Bapat Marg, Lower Parel, Mumbai 400013, hereinafter
referred to as “the Lessee” (which expression shall, unless it be
repugnant to the context or meaning thereof, be deemed to mean and
include its successors and assigns) of the Other Part;

WHEREAS The Lessors are the owners interalia of the premises being
Block No. 11/12, Room no. 44/45, Near Kasharam Statue, Opp. Bank of
Baroda, U.M.C. road, Ulhasnagar – 421003. admeasuring 2792 sq. ft.
of carpet area (hereinafter referred to as “the Leased premises”) and as
such the Lessors have granted on Lease basis the said Licensed
Premises to the Lessee by way of a registered Lease Agreement dated
09.12.2021 (hereinafter referred to as the “said Agreement”).

AND WHEREAS by way of the said Agreement dated 09.12.2021 to


executed by and between the Lessors and the Lessee herein, the
Lessors granted a lease to use and occupy the said Leased premises
for a period of 9 years commencing from 09.01.2022 to 08.01.2032.
AND WHEREAS the parties hereto are now desirous of modifying the
terms of the said Agreement as regards the notice period for termination
as under:

Existing arrangement:

Area: an aggregate of 1840 sq. ft. of carpet area on the Ground floor
which are more particularly shown in red colour in the approved plans
annexed herewith and marked as Schedule 2.

Proposed arrangement:

Area: an aggregate of 2792 sq. ft. of carpet area of which 1840 sqft on
the Ground floor & 952 sq. ft. of carpet area on the Mezzanine, which
are more particularly shown in red colour in the approved plans
annexed herewith and marked as Schedule 2.

NOW IT IS HEREBY AGREED AND DECLARED BY AND BETWEEN


THE PARTIES HERETO as follows:
1. The parties hereto hereby agree, undertake and confirm to modify
the terms of the said Agreement as regards the area of the premises as
under:

Existing arrangement:

Area: An aggregate of 1840 sq. ft. of carpet area on the Ground floor
which are more particularly shown in red colour in the approved plans
annexed herewith and marked as Schedule 2.

Proposed arrangement:

Area: An aggregate of 2792 sq. ft. of carpet area of which 1840 sqft on
the Ground floor & 952 sq. ft. of carpet area on the Mezzanine, which
are more particularly shown in red colour in the approved plans
annexed herewith and marked as Schedule 2.

2. This Agreement shall be a supplemental to the said Agreement


dated 09.02.2021 in all respects and for all purposes and to all intents,
all the terms and conditions mentioned therein will be deemed to have
been specifically incorporated herein and will apply mutatis mutandis for
all purposes herein.
