Dear FARJANA ISLAM,

With reference to the interview you had with us, we are pleased to appoint you
as "Front-End Developer” dated 7th December 2020. The first four (4) months of
your service shall be accounted for as the obligatory probation period during
which your monthly total salary will be BDT 15,000. After the probationary
period, your salary and duties will be determined on your performance,
evaluation, and your attitude towards your colleagues and the company.
Any issues and matters arising hereunder shall be construed in accordance with
and be governed by the laws of Bangladesh and shall be subject to the
jurisdiction of the courts in Dhaka only.

Terms and Conditions

• You shall faithfully carry out all the duties and responsibilities that are
assigned to you to the best of your ability, using proper care and diligence,
you will always act in the best interest of the company.
• You may be required beyond the working hours for the successful
accomplishment of your responsibility.
• Based on the performance of the company and the individual, the
company may pay an incentive or bonus to all confirmed employees. This
is not guaranteed payment and will depend upon the standard of
performance set from time to time.
• 3 days entry after 09:15 am will result in a deduction for one day salary.
• You will be responsible for the safe custody of and return on the good
condition of all company property that may be in your custody. Any loss
or physical damage of such property will be the employee's liability and
the amount will be deducted from their salary upon discussion.
• You undertake that during the employment or thereafter, you will never
share any confidential company information that you will acquire during
your employment with any person outside the company or any person
who is not entitled to get access to that information.
• You must meet all the codes of conduct elaborated by the company.
• The company can terminate anyone without any prior notice if he/she is
not fit for the organization anymore.
• If the employee appeals to leave anytime during the first four months of
probation, he/she will not be subjected to the salary of the concurrent
month if it is yet to be completed.
• In any case, when an employee wants to resign, he/she will have to notify
the authority at least three months prior. Failure to do so shall be
accounted as a misstep on part of the employee, and he/she will be
subjected to compensation for any losses/damages that the company
may have incurred due to the employee's untimely actions.

• You will be entitled to take leave as per company policy after confirmation
through following the formal way of application. In any case of
emergency, you will be able to take leave on short notice, but in such
cases, you will have to inform your superior.

1. Job Titles and Duties:


Your initial position will be Front-End Developer, reporting to the Application
Team Lead in position and to the GM Bishwajeet Roy, based at Bangladesh
Office.
In the performance of your duties, you are required to
• Promote the interests of Krazy IT
• Use your best endeavors to protect and promote Krazy IT’s activities and
reputation, and
• Refrain from acting in conflict with the interests of Krazy IT.
In your position, duties, or reporting structure change, this agreement will
continue to apply to your employment unless you and Krazy IT enter a
written employment agreement or vary this agreement in writing.

2. Probation: Your appointment will be subject to the satisfactory completion


of a probationary period of four months (4) during which either you or
Krazy IT may terminate the employment contract with one week’s notice.
If at the conclusion of this period, it is agreed to continue your
employment this will be confirmed in writing. During the probationary
period, you will have regular reviews and discussions with your
supervisor/manager regarding your performance. If during your
probationary, you are granted any continuous periods of leave for
personal injury/illness, the maximum probation period will be 4 months
plus an additional period equating to the period of leave taken.

3. Business and Work Hours:


Your ordinary hours of work will be 09:00 to 18:30.
Krazy IT will give and expect flexibility concerning your actual working days
and hours and, from time to time, you may be asked to start and finish work
at different times from your normal hours.
Because of the nature of your position, you also agree to work reasonable
additional hours to perform the duties of your role. Krazy IT considers that
the value of your total Remuneration compensates for occasional additional
hours that may be required.
• Remuneration: Your total remuneration (TR) will be BDT 15,000. The
components are as per the attached schedule. The TR will consist of all
remuneration and benefit components such as base salary, company
superannuation contributions, and (if applicable) any other benefits.
• Payment and salary: Krazy IT will pay your base salary by electronic funds
monthly to one or more bank accounts nominated by you.
4. Termination: You may terminate this employment agreement by giving 12
weeks of written notice to Krazy IT. Subject to any applicable statutory
provision. Krazy IT may terminate your employment by giving 4 weeks’ notice
in writing.
Krazy IT may make a payment to you in lieu of all or part of the notice period.
Krazy IT reserves the right to terminate your employment without any notice or
payment in lieu of notice if you

• Engage in serious misconduct


• Commit a material breach of your terms and conditions of employment
• Are charged with any criminal offense which, in the reasonable opinion of
Krazy IT, may embarrass Krazy IT or bring you or Krazy IT in disrepute; or
• Are willfully negligent or consistently incompetent in the performance of
your duties.
On or before the termination of your employment, you must return to Krazy
IT all property of Krazy IT in your possession or under your control Deductions
of amounts owned:
To the extent permitted by law, any outstanding advances or other payments
due to Krazy IT by you will be deducted before payment of any amounts under
this clause are made to you.
If the amounts owed by you to Krazy IT on the day your employment ends
exceed amounts payable to you under this clause, you agree to repay such
amounts to Krazy IT within 14 days of the day on which your employment ends.
5. Performance Review
You will take part in the Krazy IT performance review process and will
discuss with your manager the development of a performance plan that
provides a framework for performance assessment, further
development, and feedback. The plan will be based on an annual cycle of
events and/or projects that will involve your participation.
At any time, Krazy IT may initiate a disciplinary review or performance
review where there are any reasonable grounds to investigate particular
activities, behavior, breaches of policies, or capacity to properly
undertake the job.

6. Post-employment activities:
During your employment with Krazy IT, you agree that you will acquire a detailed
knowledge of Krazy IT’s policies, procedures. Suppliers, techniques, and other
information and will be expected to develop a close and strong relationship with
the clients and suppliers of Krazy IT which comprise it's business and goodwill.
It is important for Krazy IT to preserve its business. Accordingly, you agree that
in consideration for the remuneration and benefits of your employment you will
abide by the following conditions which you acknowledge are not more than
reasonably necessary to protect the interests of Krazy IT and intend the
conditions to operate to the maximum extent.
Except with the prior written permission of Krazy IT, you will not, directly or
indirectly, on your own behalf or on behalf of any other person or entity, during
the restricted periods or restricted areas,

• Solicit or entice away, or attempt to solicit or entice away, any business


or suppliers to the detriment of Krazy IT from those individuals or
organizations who during your time of employment were customers or
suppliers of Krazy IT or otherwise associated with Krazy IT.
• Induce or attempt to induce, any employee of Krazy IT with whom you
had work-related dealings during the six months preceding the
termination of your employment to terminate his or her employment with
Krazy IT.
Where “Restricted Period” means 6 months after the termination of
employment; and “Restricted Area” means the state of Dhaka.

This clause will take effect as if each of the provisions and part of them are
separate and severable promises concerning the time, area, and act or conduct

prescribed. If any of the provisions and part of them are held to be


unenforceable, then that provision or part will be severed from the clause and
the remainder of the clause will continue in full force and effect.

7. Policies
Krazy IT has various policies that apply to your employment. You must familiarize
yourself with these policies. Where the policies place obligations on you, you
are required to comply with them as they are enforced from time to time. Krazy
IT reserves the right to change, add to or withdraw its policies at any time in its
absolute discretion.
To avoid doubt, the policies and any obligations on Krazy IT set out in them do
not form part of your contract of employment with Krazy IT and are not binding
on Krazy IT, rather are intended as guidelines.

8. Confidential information:
* During your employment, you will have access to and will become aware of
information that is confidential and valuable Krazy IT. Confidential information
means any information (whether such information is in writing or any other
form), in relation to Krazy IT, its clients or its business including, any idea,
concept, process or know-how), which is not in the public domain (other than
as the breach of Krazy IT’s confidence) including, but not limited to, price lists,
market lists, client lists, product designs, concepts, strategy terms, supplier
terms and new product development of Krazy IT, or any trade secrets.
As a result, you must, during your employment with Krazy IT and after your
employment has been terminated:

• Treat any confidential information as such, except where the use or


disclosure of confidential information occurs in the course of your duties
under this employment agreement or as may be required by law or with
the prior consent in writing of Krazy IT.
• Take all action reasonably necessary to maintain the confidentiality of the
confidential information.
• Not use confidential information for your benefit or the benefit of another
party.
• On the termination of your employment, immediately return to Krazy IT
any confidential information in your possession, or which comes into your
possession; and
• Not use, copy, transmit or remove or attempt to use any confidential
information (except in the ordinary and proper course of your
employment with Krazy IT or other than as authorized in this clause).
The confidential information you gain or have access to during your employment
with Krazy IT is not to be used for your purposes, nor is it to be revealed outside
Krazy IT without the prior written consent of the Chief Executive Officer.
9. Conflict of interest and moonlighting
You must not, during your employment, engage in external activities which:

• May hinder the performance of your duties under this employment


agreement.
• May hinder you from honoring the obligations you owe to Krazy IT,
including but not limited to, activities that result in a conflict, or potential
conflict, of interest with your obligations as an employee of Krazy IT; or
• Is competitive to the business of Krazy IT

10. Workplace and surveillance:


Krazy IT can monitor computer usage, email, internet, and other resources
provided by Krazy IT. Appropriate use of computers and associated resources
is encouraged.

11. Leave:
Casual – 5 [unpaid]
Sick – 10 [unpaid] Annual –7
[paid]

12. Special Circumstances:


Krazy IT believes in the health and safety of its team members and is now in
remote operations because the current pandemic started in February 2020. All
our team members are now performing their tasks from home and you will be
doing the same and notify your start time in the social media group formed for
the team members daily. Failure to do so will be counted as absent and a salary
deduction will be made based on that.
You will be back to the office when we will be back to our regular operations,
but it all depends on how quickly Bangladesh and the whole world recover from
this pandemic and we do not think it will be anytime soon.
The above terms and conditions can be changed at any time without prior
intimation. We look forward to your dedicated efforts, excellent performance,
and commitment to work and organization.
