EMPLOYMENT AGREEMENT

This agreement is made September 27, 2022, to become effective on October 3, 2022,
between the Board of Supervisors, in its capacity as the governing body of Greene County,
hereinafter called the "County", and Brenda G. Garton, hereinafter called "Interim County
Administrator". The County and the Interim County Administrator are collectively referred to as
"Parties." This Employment Agreement is hereinafter referred to as the "Agreement".

WITNESSETH:

WHEREAS the current County Administrator has submitted his resignation, and

WHEREAS the County wishes to employ an interim replacement for the County Administrator
while the County engages in a search for a permanent, full-time County Administrator,

NOW THEREFORE BE IT RESOLVED that the County hereby employs Brenda G. Garton as the
County Administrator on an interim basis per the terms set forth below, with such powers,
responsibilities, and duties as set forth in the Code of Virginia, local ordinance and/or charter,
and as further set forth in this Agreement. In consideration of the mutual covenants, promises,
and conditions contained herein, the parties agree as follows:

1. SALARY

The County shall pay the Interim County Administrator a salary of $11,000 per month. Due to
the nature of the work and the temporary nature of the position, the Interim County
Administrator is not eligible for an overtime rate of pay. Any salary due under this Contract shall
be paid in accordance with the County's regular pay schedule. Salary for any partial month shall
be prorated based on the number of calendar days covered by the contract out of the given
month.

2. TERM

The Interim County Administrator shall be employed by the County for a period beginning on
October 3, 2022, and ending on March 31, 2023, and shall serve as the Interim County
Administrator under this agreement at the pleasure of the Board of Supervisors, for a period
beginning on October 3, 2022, and ending on March 31, 2023. Recognizing that the duration of
this agreement for an Interim County Administrator is related to when the permanent
replacement is hired, the County can terminate this agreement at an earlier date with thirty days'
notice to the Interim County Administrator, per terms otherwise outlined in this agreement. The
County can also negotiate an extension with the Interim County Administrator, if needed, with
proper notice to and approval by VRS, such extension in writing and acted upon by the Board in
open meeting.

It is recognized that the Interim County Administrator already has certain appointments and
obligations of a personal nature scheduled and will flex her time around those obligations. It is

also recognized that she has several scheduled and planned but not yet scheduled trips and
vacations during the term of this agreement. The Interim County Administrator is responsible to
work for an average of four days each week, some of which work may be performed remotely,
and no adjustments to the agreed upon salary shall be made for specific weeks when work
performed is more or less than four days, including the above noted vacations. The Interim
County Administrator may regularly work one day per week remotely, at her discretion.

3. TERMINATION OF EMPLOYMENT

The Interim County Administrator is an at will employee of the County. Her employment may be
terminated at any time, for any lawful reason by the County in writing, with thirty days' notice.
Should the County terminate the Interim County Administrator without thirty days' notice or
require that the Interim County Administrator not work for the thirty days, the County shall pay
the Interim County Administrator the agreed upon salary for that period and an additional, flat
$1,000 to offset any prepaid lodging and mobilization expenses the Interim County Administrator
may have incurred.

The Interim County Administrator may terminate this contract by giving notice in writing of her
intention to terminate on a date certain, but not less than thirty days from the date that her
written notice is delivered to the Chairman of the Board of Supervisors. The County may, at its
discretion, reduce or waive the notice requirement.

4. BENEFITS

Due to the temporary nature of the position, the Interim County Administrator position is not
covered under the Virginia Retirement System (VRS). The Interim County Administrator shall not,
therefore, participate in VRS. The County shall provide documentation to VRS as required to
indicate the temporary nature of the appointment so as not to interfere with the Interim County
Administrator's retired status with VRS.

The Interim County Administrator is not entitled to any health insurance benefits and shall not
be eligible to participate in any deferred compensation or other benefit plan. The Interim County
Administrator shall not be entitled to any bereavement, personal, sick, vacation, or PTO leave
accruals. She will not be obligated to work on any recognized county holidays and holidays
reduce the weekly hours obligation accordingly.

5. EXPENSES

The County shall reimburse the Interim County Administrator for direct expenses incurred by the
Interim County Administrator as part of the performance of her official duties, including all
expenses for any business meals and lodging and for any meetings or conferences approved for
the Interim County Administrator to attend on its behalf.

6. VEHICLE

During the course of employment, the Interim County Administrator shall not be provided a
County vehicle and shall, as a condition of her employment, be reimbursed for mileage on her
personal car when such mileage is incurred while traveling on County business. The Interim
County Administrator shall not be reimbursed for travel to and from her place of residence to the
office.

7. SUBJECT TO APPROVAL BY VRS

This agreement is subject to approval by VRS in writing of the interim employment by the Interim
County Administrator by the County.

8. APPOINTMENT

It shall be the duty of the Interim County Administrator to serve as the County Administrator of
Greene County, and she is hereby appointed as such, effective October 3, 2022.

9. DUTIES OF INTERIM COUNTY ADMINISTRATOR

During the term of this Agreement, the Interim County Administrator shall devote her best efforts
to advance the interests of the County and to perform her duties as set forth herein and in the
Code of Virginia and local code or charter. She shall perform her duties to the best of her ability
and shall be at her assigned office, or otherwise performing her duties, for the hours required to
perform the work.

10. HOURS OF WORK

The Interim County Administrator is expected to engage in those hours of work that are necessary
to fulfill the obligations of the Interim County Administrator's position. The Interim County
Administrator does not have set hours of work but is generally expected to be in her office or
working remotely approximately 8:00 a.m. to 4:30 p.m. each day, for an average of four days per
week, and to be generally available at all reasonable times, including by phone or internet
communication. The Interim County Administrator shall use her discretion in setting hours and
schedule, given constraints and time off requirements previously noted, and with notification of
such to staff and to the Board. The Interim County Administrator may regularly work one day
per week remotely, at her discretion. The Interim County Administrator is an exempt employee
and is not entitled to extra pay for overtime or holidays, though weekly hours obligation is
adjusted for any week including holidays.

11. OTHER EMPLOYMENT

The Interim County Administrator shall not begin any other compensated employment, to
include employment by any other Town, City, or County, while this Agreement is in effect without
notification to and approval by the County. This restriction does not apply to non-compensated
activities.

12. NO PRIOR AGREEMENTS

The Parties agree that there are no prior employment agreements between them, implied or
otherwise.

13. ADDITIONAL WORK

Should the County desire to engage the Interim County Administrator in further work beyond the
scope of and/or following the termination of this Agreement, that work shall be governed by a
separate written Agreement between the County and the Interim County Administrator.

14. MODIFICATION OF EMPLOYMENT AGREEMENT

Modification of this Employment Agreement must be in writing, approved by the Board of


Supervisors in open meeting, and executed by the Chair and the Interim County Administrator.

15. INELIGIBILITY TO APPLY FOR PERMANENT POSITION

The Interim County Administrator shall not be an applicant for the regular, full-time vacant
County Administrator position.

16. APPROVAL OF AGREEMENT

This agreement shall become binding upon approval by the Board of Supervisors of a motion to
enter into the Agreement and to authorize the Chair to execute it on behalf of the Board of
Supervisors and upon the signature of the Chair and the Interim County Administrator.

17. ENTIRE AGREEMENT

This contract represents the entire agreement of the parties, and no representations have been
made or relied upon except as set forth herein. This contract may be amended or modified only
by a written, fully executed agreement of the parties.
