MOMORENDUM OF UNDERSTANDING (MOU)

This memorandum of understanding (MOU) is made on this ___ OCT 2020 by and
between Mr. Jam Hazoor Buksh S/O Jam Saeed Ahmad CNIC 31202-9802724-7
resident of H# A-1 Faisal Colony, Girls College Road Bahawalpur.
(Hereinafter referred as a party of first part) which expression shall include his
successors and representatives.
M/s Helpline, a welfare organization dully registered under Voluntary Social
Welfare Agencies (Registration and Control) Ordinance 1961, having its registered
office presently at House No 705 Street # 11 Sector A-1 Govt. Employees
Cooperative Housing Society, Township, Lahore, through its Secretary General Mr.
Akhlaq-ur-Rehman S/0 Mr. Altaf-ur-Rehman (hereinafter referred as Party of
Second Part) which expression shall include its successors and representatives
WHEREAS, both the parties have common objective of performing duties assigned
by the ALLAH ALMIGHTY for the welfare of all human beings in general and more
specifically for all the Muslims of the world. This duty is the part of provision of
basic rights to the people as described in Holy Quran.
AND WHEREAS, both the parties understand without any doubt that non-
performance of said duties shall render all Human beings and specially the Muslims
answerable before the ALLAH ALMIGHTY at the Day of Judgement.
AND WHEREAS, both parties have decided to join hands to perform the said duties
and start with the two of such duties, i.e.
 Education; and
 Health
 Related Quality Services.
By specially focusing on all Pakistan citizen at first and then may extending these
services to all people of the world.
AND WHEREAS, the party of first part; has Donated/Allocated Land
measuring__________ and also constructed a building mainly for Educational
Institute at MOUZA HASIL LAR, Channi Goth Tehsil Ahmad Pur Sharqia district
Bahawalpur, Punjab, Pakistan (hereinafter referred as the Project)
AND WHEREAS, the party of first part has approached the party of second part to
establish an Educational Institute at the Project and also carry out its day to day
operation as a Non-Profit Venture.
“Non-Profit Venture” means that none of the Receipt, Income or Asset of the said
Project Confers or may confer, a personal or private benefits to any other person
including Both the parties and their Associates and related persons.
AND WHEREAS, the Party of Second Part has given its consent to establish,
manage/ operate the said Educational Institute as a Non-Profit Venture.
AND WHEREAS, both the parties agreed that;
1. The Project will be operated under the name of “Al-Kitab School” and all the
signboards, means of advertisement, stationery and letterhead etc , will carry
the following additional line:
“A project managed by M/S HELPLINE, Lahore”.
2. The Project Property will mainly be used for Educational and Health Services but
can also be used for any other Welfare Activities/Services to be provided to
General Public of Pakistan and more specifically for the General Public of
Surrounding Areas of the Project.
3. The Party of the First Part agreed to hand over the Project, transfer control of
all management means including hiring and firing of all staff to be hired in future
and also hereby authorize and acknowledge the uses of the Project property for
the purpose of operating the Project Property mainly as a welfare Educational
Project and not as a commercial Project.
4. The party of the first part hereby also undertake:
 To hand over not only the project without any money consideration
including rent but also the full support for the smooth operation of the
project;
 To motivate his relatives, associates, friends and other persons for fund
raising, for the Project.
5. The party of the second part solely be responsible for the:
 Establishment and Operation of the Educational Project, including
provision of required furniture and equipment, hiring and deciding of
human resources such as the Salaries, principal, teachers and other staff
and all other requisite resources for smooth functioning of School without
interference from the party of the first part;
 Raising the requisite donation for the smooth operation of the Project;
 Expansion and improvement of the Project facilities from time to time;
 The Project will solely be operated and managed by member Executive
Council of the party of second part.

6. The following person shall also act as advisors of the project in their personal
capacity:
 Mr. Jam Hazoor Buksh
 Mr. Mian Akhlaq-ur-Rehman
 Mr. Aslam Khan
 Mr. Malik Khalil
 Mr. Muhammad Iqbal Khan
The advisor should meet as and when required but at least once in three months
to review the performance of the Project.
7. Complete list of all existing fixtures, Equipment’s, Electric Installations and other
assets available at the project will be prepared and verified by the
representatives of both the parties.
8. None of the party, their office bearer and associates shall be entitled to any
remuneration, reimbursement, repayment of any cost incurred for any services
rendered to the project except any Operational or Development cost of the
Project paid/beared by the person.
9. The party of second part cannot sell, give possession or transfer to any third
party in any circumstances the property and operation of the project.
10.The party of second part cannot make any structural amendment or alteration
to the Project property without permission of Party of First Part.
11.The Party of Second Part is bound to allow the repossession of the project to
the Party of First Part, if this MOU comes to an end by the mutual consent of
both the Parties without any recourse, whatsoever.
IN WITNESS WHERE OF the parties hereby signed the Memorandum of
Understanding on the day and the year first above mentioned.
