INVITATION TO TENDER
Dear Sir/Madame,

Gazprom Neft Badra B.V., a limited liability company incorporated under the laws of the Netherlands
(registration No. 34266014) with its office at Muiderstraat 5, D, 1011 PZ, Amsterdam, the Netherlands,
having its branch office in the Republic of Iraq, Baghdad, International Green Zone, Yafa Street, 8070,
Royal Tulip Al-Rasheed Hotel, Office 335 (hereinafter referred to as the “COMPANY”), an Operator under
the Development and Production Service Contract for Badra Oil Field in the Republic of Iraq, dated 28
January 2010 (hereinafter referred to as the “DPSC”), hereby invites all potential suppliers/contractors
(hereinafter collectively referred to as the “BIDDERS” or individually as the “BIDDER”) to take part in the
above mentioned tender (hereinafter referred to as the “TENDER”) by submitting the bid.

Detailed terms and conditions of TENDER, procedure for your bid preparation and procedure for selecting
of successful BIDDER by COMPANY you may find in this Tender Documentation.

The bid submitted after the Bid Due Date & Time mentioned in the Tender Documentation will not be
accepted by COMPANY.

Please note that the COMPANY may reject any or all bids or terminate TENDER without any explanation
for the reasons of the aforesaid at any time prior to award of the contract to the successful BIDDER.

Please be informed that as a result of TENDER, upon completion of the selection process by COMPANY,
the contract may be awarded to the successful BIDDER.

oil is the area located in the eastern part of the Republic of Iraq to
the east of Baghdad near Badra town close to Iran-Iraq border.
Administratively, the Badra Oil Field site is located within Wassit
province of the Republic of Iraq. The city of El-Khut, the
administrative center of Wassit province, is located in
approximately 160 km southeast from Baghdad. In order to

1. GENERAL INFORMATION

1.1. Regulation

This TENDER is announced in accordance with and regulated by Development and


Production Service Contract for Badra Contract Area and COMPANY’s internal procedures.

1.2. Confidentiality

BIDDER, upon receipt of this Tender Documentation, shall guarantee its confidentiality
and shall not disclose its content to anyone other than those officers, employees, agents,
or subcontractors of BIDDER, who need to know it in connection with the bid preparation and
have agreed to be bound by these obligations of confidentiality.

1.3. Acknowledgement

By submission of the bid BIDDER hereby acknowledges and agrees that it reviewed and
understood the content of this Tender Documentation, accepted the conditions of the site
where the works/services are to be performed and has no questions or doubts regarding any
conditions or things that may affect or influence quality, price or time for performance of
relevant works/services.

1.4. Communication

(a) All communication between the COMPANY and BIDDER shall be made via official
letters and/or e-mails solely through COMPANY Contracts and Procurement
Department.

(b) All communication between COMPANY and BIDDER, including requests for
clarifications, e-mails and letters, shall be in English language.

1.5. Amendments to Tender Documentation

COMPANY at its sole discretion at any time, but not later than two (2) days prior to the Bid
Due Date & Time, except for emergency cases, make any amendments to this Tender
Documentation by relevant notice to BIDDER. Once sent, such amendment becomes an
integral part of this Tender Documentation.

1.6. Termination

COMPANY at its sole discretion at any time prior to selection of successful BIDDER may
terminate TENDER without any obligation to disclose the reasons for the termination to
BIDDER(s) or any other person.

1.7. Tender Announcement Deduction

In accordance with the Iraqi regulations, COMPANY will deduct an amount specified
in item 8.1 of CHAPTER I from the first invoice under the Contract signed with the
successful BIDDER. Such amount is non-refundable. Successful BIDDER shall have
no right to make any claims related to such deduction.

2. REQUIREMENTS TO BIDDERS

2.1. Eligibility of BIDDERS

Invitation to TENDER applies to all potential contractors, which are allowed by the legislation
of Republic of Iraq or by their country of registration to perform work in the Republic of Iraq.

2.2. BIDDERS’ Qualification

(a) BIDDER shall include the documents required under this Tender Documentation in its
bid.

(b) If BIDDER fails to provide complete information that is critical for evaluation of its
qualification, or fails to provide clarifications or reasoning of the submitted data on
time, such BIDDER may be disqualified and its bid may be rejected.

(c) BIDDER shall meet the minimum qualification criteria based on Attachment 1 to
FORM 1 – QUALIFICATION ASSESSMENT QUESTIONNAIRE.

(d) When BIDDER’s eligibility as per a set of qualification standards is defined, the
experience and resources of its subcontractors (if any) may be taken into account.

2.3. Litigations

BIDDER shall provide the data on its participation in any litigations or arbitrations in
connection with the contracts made over the last five (5) years and current contracts.

The data evidencing that such litigations or arbitrations were regularly resolved not in the
BIDDER’s favor shall represent sufficient basis for disqualification of BIDDER and rejection
of its bid, if decided by COMPANY.

2.4. Audits

By submitting the bid, BIDDER agrees that COMPANY reserves the right to conduct audits
in order to confirm any information provided by BIDDER.

2.5. Tendering costs

BIDDER shall bear all costs related to preparation and submission of the bid. Under no
circumstances shall COMPANY be liable or responsible for these costs irrespective of the
nature or results of TENDER.

2.6. Conflict of Interests

BIDDERS are believed to be in conflict of interests with one or more BIDDERS when:

(a) they have common shareholders who hold a controlling interest of these BIDDERS,
or

(b) they are receiving or have already received financial funding directly or indirectly from
any of BIDDERS;

(c) they have the same representative for this TENDER; or

(d) they prove to be in such kind of relationships, which put them in a position when,
directly of via third parties, they are able to get access to the information related to a
bid of another BIDDER or may somehow affect this bid, or may exercise some
influence on the decisions taken by COMPANY about TENDER.

All potential BIDDERS being in the conflict of interests according to the above mentioned
provisions shall be disqualified and their bids shall be rejected.

In case BIDDER concludes any agreement with other BIDDER(s) in order to affect the results
of TENDER, including, but not limited to, agreement to fix prices or manipulate prices in any
way, all BIDDERs involved shall be disqualified and their bids shall be rejected.

3. BID PREPARATION REQUIREMENTS

3.1. Complete Bid

The bid, including both technical and commercial parts, shall cover all provisions and
information required under this Tender Documentation including, but not limited to, whole
scope of works/services to be performed, any other technical requirements and provisions of
the draft contract.

3.2. Language of Bids and Communication

(a) All documents consisting part of, or related to, the bid, except for copies of documents
provided in accordance with this Tender Documentation, shall be in English
language.

(b) Copies of documents in other language, provided in accordance with this Tender
Documentation, shall be accompanied by attested translation to English language
made at BIDDER’s expense. The COMPANY reserves the right to verify accuracy of
the translation provided.

COMPANY reserves the right to disqualify BIDDER and reject its bid in case any or all
documents consisting part of, or related to, the bid are submitted in any language
other than English language or are not accompanied by the required translation.

3.3. Bid Validity

(a) Bid shall be valid for the period specified in item 5.1 of CHAPTER I.

(b) Upon submission of the bid, COMPANY may request BIDDER to extend the bid
validity period for a required period of time. Such request and replies to these requests
shall be submitted in writing, by e-mail (scan of an official letter) or by fax. BIDDER
may deny extending validity period of the bid without losing the right for Bid Bond.

(c) BIDDER, which agrees to extend the validity period of the bid, shall have no right or
liability to make amendments to its bid, but shall extend the term of the Bid Bond for
the period of extension of the bid validity period, if such extension is required.

3.4. Requests for Clarification

(a) All questions and requests for clarification shall be sent by BIDDER to the following
COMPANY’s e-mail address:

(b) In case BIDDER fails to send its questions and/or requests for clarification to the e-
mail address specified in para (a) above, COMPANY shall not be liable for any delays
in reply or non-reply to such questions and/or requests for clarification.

3.5. Clarification Meeting

(a) COMPANY may at any time, but not later than seven (7) days prior to the Bid Due
Date & Time, at its sole discretion organize the clarification meeting with BIDDERS.

(b) The place and time of such meeting shall be notified by COMPANY to BIDDERS
within the reasonable time in advance, but not later than two (2) days prior to such
meeting.

(c) Such meeting is intended to clarify the provisions of this Tender Documentation or
other information related to TENDER to the extent possible, and answer BIDDERS’
questions that may arise during preparation of the bid.

(d) BIDDERS are requested to submit their questions to COMPANY by e-mail (scan copy
of official letter on BIDDER’s letterhead) to the e-mail address specified in item 4.1 of
CHAPTER I within the reasonable time in advance prior to such clarification meeting.

(e) BIDDER shall have no right to make any claims related to TENDER based on any
information, answer or clarification received during the clarification meeting from
COMPANY representative(s), regardless such information, answer or clarification
was provided verbally or in writing.

(f) In case any amendments to this Tender Documentation or other TENDER


requirements need to be made as a result of the clarification meeting, such
amendments shall only be made by way of official notice from COMPANY to
BIDDERS.

(g) COMPANY shall not disqualify BIDDER due to failure of such BIDDER to attend the
clarification meeting.

3.6. Bid Bond

(a) BIDDER shall include original bank guarantee (Bid Bond) in the bid. The bid
containing a copy of the Bid Bond instead of original may be rejected by COMPANY
and BIDDER may be disqualified.

(b) The Bid Bond amount is specified in item 6.1 of CHAPTER I.

(c) The Bid Bond shall be valid for the period specified in item 6.1 of CHAPTER I.

(d) The Bid Bond shall be issued in compliance with the sample form provided in FORM
5.

(e) The Bid Bond shall be issued by the bank that comply with one of the following criteria:

(i) Standard & Poor’s/FITCH Ratings – not lower than BBB - or Moody’s long-
term credit rating not lower than Baa3; or

(ii) One of the Top 100 banks in terms of the assets according to The Bankers
Almanac (the most recently published edition of The Bankers Almanac as at
transaction date).

(f) The Bid Bond issued by Iraqi banks may only be furnished by BIDDER, which
country of incorporation is the Republic of Iraq. BIDDER incorporated outside of
the Republic of Iraq, even having a registered branch or representative office in the
Republic of Iraq, is not eligible for furnishing the Bid Bond from Iraqi bank.

Taking into consideration that none of Iraqi banks are listed by any reliable rating
systems (Standard & Poor’s, FITCH or Moody’s), only Bid Bond issued by the
following banks will be accepted:

 Trade Bank of Iraq;

 National Bank of Iraq;

 Iraqi Islamic Bank;

 International Development Bank, or

 Al-Janoob Islamic Bank.

(g) If BIDDER fails to submit the original Bid Bond in compliance with the requirements
mentioned above as a part of the bid, COMPANY may disqualify such BIDDER and
reject its bid.

(h) COMPANY may claim the Bid Bond amount in one of the following cases:

(i) when BIDDER withdraws its bid after the Bid Due Date & Time and until expiry
of the bid validity period;

(ii) when BIDDER refuses to accept the corrections in accordance with clause 5.8
of this CHAPTER II;

(iii) when successful BIDDER fails or refuses to duly sign the contract under
TENDER or submit the required bank guarantee (Performance Bond) to
COMPANY.

(i) The Bid Bond may be returned to unsuccessful BIDDER upon receipt of the written
request by COMPANY, but in any case not earlier than signing of the contract under
TENDER with successful BIDDER or expiry of validity period of such Bid Bond.

(j) The Bid Bond may be returned to successful BIDDER upon receipt of the written
request by COMPANY upon signing of the contract under TENDER only.

(k) The original Bid Bond shall be submitted in the separate sealed Envelope C.

(l) Bid Bond shall be issued in accordance with the acceptable Iraqi law and the
procedures established by the Central Bank of Iraq, where appropriate.

3.7. Bid Currency

All total or unit prices and rates proposed by BIDDER under the bid shall be in the currency
specified in item 5.2 of CHAPTER I.

3.8. Bid Prices

The detailed information regarding total or unit prices and rates to be proposed by BIDDER
is specified in FORM 7.

3.9. Documents Forming Bid

The bid submitted by BIDDER shall include all documents listed in CHAPTER V and any
other documents or information required under this Tender Documentation.

3.10. Bid Signing

(a) The bid shall be signed by duly authorized signatory of BIDDER and shall be verified
by BIDDER’s stamp.

(b) In addition, the detailed information on preparation and signing of envelopes is

specified in CHAPTER V.

3.11. Amendments to Bid

No amendments or revisions in the bid are allowed, except for any amendments or revisions:

(a) made in accordance with the official instruction of COMPANY given through notice to
BIDDER; or

(b) required to correct minor errors made by BIDDER. In such case, duly authorized
signatory of BIDDER shall sign for error corrected.

3.12. One Bid from BIDDER

(a) BIDDER shall submit only one bid.

(b) In case BIDDER submits more than one bid or is listed in several bids (except for
participating as a subcontractor), all bids of such BIDDER will be rejected.

Bids from Joint Ventures and consortiums of companies are not acceptable.

3.13. Site Visits

(a) BIDDER is recommended to visit and examine the contract area and adjacent
premises, and obtain all information that it may need to prepare the bid. Site visit costs
shall be borne by BIDDER.

(b) BIDDER’s failure to visit the site shall not be accepted as a reason for BIDDER’s claim
of any nature or hindrance to its participation in TENDER.

3.14. Confirmation of Participation

Upon COMPANY’s request, BIDDER shall sign and submit to COMPANY FORM 8 on
BIDDER’s official letterhead by express mail, e-mail or by fax.

4. BID SUBMISSION REQUIREMENTS

4.1. Envelopes

(a) The bid shall be submitted in one (1) sealed external envelope consisting of the
following three (3) separate sealed internal envelopes:

(i) One (1) “Envelope А” that shall contain:

I. original documents comprising the bid and specified in CHAPTER V as


the documents to be placed in Envelope A; and

II. memory stick with the scanned in PDF documents mentioned in para (i)
I. above.

(ii) One (1) “Envelope B” that shall contain:

I. original documents comprising the bid and specified in CHAPTER V as


the documents to be placed in Envelope B; and

II. memory stick with the scanned in PDF documents mentioned in para (iii)
I. above.

(iii) One (1) “Envelope C” that shall contain original Bid Bond only.

(b) All envelopes mentioned in para (a) above shall contain the following information on
them:

(i) Envelope’s name (i.e. External Envelope, Envelope A, etc.)

(ii) Statement “DO NOT OPEN THIS ENVELOPE BEFORE BID DUE DATE &
TIME”

(iii) TENDER Number (as specified at the beginning of this Tender


Documentation);

(c) BIDDER shall put its seal on the joints of every envelope.

(d) If any of the envelopes is not sealed and/or marked in accordance with the above
mentioned requirements, COMPANY shall not be liable if case of any of the envelopes

(e) Every memory stick shall have a label or a print specifying the name of the relevant
envelope it is put in.

(f) In case the content of any envelope exceeds five hundred (500) pages, such envelope
shall be divided into several parts; every part shall be not more than five hundred

(a) The bid shall be submitted to the following COMPANY’s address:

(b) The names and phone numbers of COMPANY’s contact persons for submission of
bids are provided in item 3.3 of CHAPTER I.

(c) The bid may be submitted to COMPANY by both courier services (DHL, FedEx, etc.)
and personally by BIDDER’s authorized representative (original authorization letter
shall be provided). Delivery of the bid is at BIDDER’s expense.

4.3. Bid Due Date & Time

(a) The bid shall be received by COMPANY before the Bid Due Date & Time
mentioned in item 3.1 of CHAPTER I.

(b) Except for extraordinary cases at COMPANY’s sole discretion, COMPANY will not
accept any bid received by COMPANY after the Bid Due Date & Time mentioned
in item 3.1 of CHAPTER I. Such late bids will either not be accepted for delivery by
COMPANY or may be sent back to BIDDER at BIDDER’s own expense.

(c) COMPANY may at any time at its sole discretion extend the Bid Due Date & Time
mentioned in item 3.1 of CHAPTER I by relevant notice to BIDDER. In case of such
extension, all rights and obligations of COMPANY and BIDDER shall be extended
accordingly and such new Bid Due Date & Time shall replace the Bid Due Date &
Time mentioned in item 3.1 of CHAPTER I.

4.4. Changing and Withdrawal of Bid

(a) BIDDER may amend or withdraw the bid before the Bid Due Date & Time upon
submission of the relevant prior written notice to COMPANY.

(b) In case the bid needs to be amended, BIDDER shall prepare, seal, mark and deliver
the amended envelopes in the same manner as described in this Tender
Documentation for initial bid, but clearly mark the amended bid as “AMENDMENT”.

(c) Amendments to or withdrawal of the bid are not allowed for any reason after the Bid
Due Date & Time, unless agreed in writing by COMPANY. In case BIDDER withdraws
its bid after the Bid Due Date & Time and prior to expiry of validity period of the bid,
such withdrawal may lead to a claim of the Bid Bond amount by COMPANY.

(d) In case requested or agreed by COMPANY in writing, discounted or reconsidered


commercial proposals may be submitted by BIDDER in the same manner as
described in this Tender Documentation for initial bid or another manner approved by
COMPANY.

5. BIDS EVALUATION AND SELECTION OF SUCCESSFUL BIDDER

5.1. General

COMPANY at its sole discretion at any time prior to selection of successful BIDDER
may disqualify any BIDDER and reject any bid in case of non-compliance with the
requirements of TENDER without any obligation to disclose the reasons for such
disqualification or rejection to BIDDER(s) or any other person.

COMPANY shall not disclose any information related to evaluation of bids and selection of
successful BIDDER to BIDDER(s) or any other person(s) that is not involved in the bids
evaluation process.

5.3. No Attempts to Affect

In case of any attempts from BIDDER(s) and/or any other person(s) on BIDDER(s)’s behalf
to affect in any way evaluation of bids, including, but not limited to, offering, submitting or
reaching agreement to submit later any reward in any form to the COMPANY
representative(s) involved in the evaluation of bids, such BIDDER(s) shall be disqualified and
its bid shall be rejected.

5.4. Brief Description of Opening and Evaluation of Bids

(a) After the Bid Due Date & Time COMPANY representative(s) shall review the sealed
bids for compliance with the requirements of this Tender Documentation.

(b) Upon completion of such review, the external envelope, Envelope A and Envelope C
of the bids that comply with the requirements of this Tender Documentation shall be
opened.

(c) After opening of the envelopes mentioned in para (b) COMPANY representative(s)
shall review the content of such envelopes for compliance with the requirements of
this Tender Documentation, including, but not limited to, requirements for bid signing,
sealing and marking.

(d) Upon completion of such review, the content of the envelopes mentioned in para (b)
that successfully passed the review, shall be submitted for technical evaluation to
assigned COMPANY representative(s).

During technical evaluation, assigned COMPANY representative(s) shall, among


other things, check the bids for:

 compliance with technical requirements under TENDER;

 proposed schedule for performance of works/services; and

 deviations from draft contract provisions.

(e) Upon completion and approval of the results of technical evaluation, Envelope B of
the bids that were technically qualified only shall be opened.

(f) After opening of the envelopes mentioned in para (e) COMPANY representative(s)
shall review the content of such envelopes for compliance with the requirements of
this Tender Documentation.

(g) Upon completion of such review, the content of the envelopes mentioned in para (e)
that successfully passed the review, shall be submitted for commercial evaluation to
assigned COMPANY representative(s).

During commercial evaluation, assigned COMPANY representative(s) shall, among


other things, check the bids for:

 compliance with commercial requirements under TENDER; and

 calculation errors.

(h) Upon completion and approval of the results of commercial evaluation and relevant
overall evaluation, COMPANY will select the successful BIDDER (winner of
TENDER).

5.5. Brief Description of Evaluation Criteria

During evaluation of bids, COMPANY, among others, shall be guided by the following criteria:

(a) Experience of handling similar projects;

(b) Understanding of business process, domain expertise;

(c) Acceptance of the draft contract terms and conditions;

(d) Correspondence of BIDDER’s technical proposal to COMPANY requirements;

(e) Correspondence of the proposed schedule for performance of works/services to


COMPANY requirements;

(f) Correspondence of the proposed prices, including any required adjustments,


deviations and/or discounts, to COMPANY estimate and/or relevant market prices;
and

(g) Associated expenses incurred, or to be incurred, by COMPANY.

5.6. COMPANY’s Right to Clarify

(a) COMPANY may at its sole discretion at any time prior to selection of successful
BIDDER request BIDDER to provide any additional information required for proper
evaluation of its bid and/or to clarify any provision of its bid.

(b) Such requests shall be sent to BIDDER’s authorized representative by e-mail or fax.

5.7. COMPANY’s Right to Visit

COMPANY may at its sole discretion at any time prior to selection of successful BIDDER visit
and examine BIDDER’s premises, offices and/or other facilities in order to obtain any
information required for proper evaluation of the bid. Such visit costs shall be borne by
COMPANY.

5.8. Correction of Arithmetic Errors

In case COMPANY identifies any arithmetic error in the bid, COMPANY has a right to use
the following rules during evaluation of such bid:

(a) in case of any deviations between figures and their reflection in words, the figures’
reflection in words shall prevail;

(b) in case of any deviations between the unit rate and the total amount being a result of
such unit rate multiplication by the number, the unit rate shall prevail, unless
COMPANY considers it quite evident that a gross error has taken place in the unit
rate. In such case, the total amount shall prevail and the unit rate shall be corrected.

In case COMPANY corrects the prices in the bid using the mentioned above rules, such
amended prices shall be considered mandatory upon receipt of BIDDER’s consent. If
BIDDER refuses to accept the correction, its bid may be rejected with the right of COMPANY
to withdraw its Bid Bond amount.

6. AWARD AND SIGNING OF CONTRACT

6.1. Award

The contract under TENDER shall be awarded to successful BIDDER selected based on the
results of evaluation of bids, i.e. BIDDER that received the highest results under such
evaluation.

Notwithstanding anything in this Tender Documentation to the contrary, COMPANY reserves


the right to award the contract under TENDER at its sole discretion without any obligation to
disclose the reasons for such award, including results of evaluation, and/or name of
successful BIDDER to BIDDER(s) or any other person.

6.2. Letter of Acceptance

After selection of successful BIDDER, COMPANY may issue a letter, as per FORM 6 herein,
notifying successful BIDDER regarding COMPANY’s acceptance of its bid and its selection
as the winner of TENDER. Such letter shall be binding for successful BIDDER.

6.3. Signing of Contract

COMPANY and successful BIDDER shall finalize the text and sign the contract under
TENDER within the reasonable period upon selection of successful BIDDER by COMPANY.

6.4. Letter of Regret

Upon signing of the contract between COMPANY and successful BIDDER, COMPANY may
notify other BIDDER(s) regarding award of the contract under TENDER to another BIDDER.

Note: This Tender Documentation shall not form part of the contract, unless expressly stated in the contract
to the contrary.

CHAPTER III - CLARIFICATIONS ON WITHHOLDING TAXES


IN IRAQ
The information below is intended to clarify the application of withholding tax in Iraq to the Contracts
between COMPANY and its Contractors in accordance with the tax laws and regulations of the Republic
of Iraq as of the date of this Tender Documentation.

Each BIDDER is kindly requested to rely on an independent opinion obtained from its own tax and legal
advisors with respect to operation of Iraqi tax law and regulations and their effect on the bid prices.

1. CONTRACTS SUBJECT TO WITHHOLDING TAX

1.1. Tax laws and regulations of Iraq distinguish between contracts that are ‘trading in Iraq’ and
contracts that are ‘trading with Iraq’1.

1.2. A Contract is ‘trading in Iraq’ and, therefore, subject to withholding tax in Iraq if at least one
of the conditions below is satisfied2:

(a) the Contractor has a registered office in Iraq through which the Contract is executed,

(b) either customs clearance, customs duties, or letters of credit are performed by or in
the name of the Contractor, including supply to the Iraqi territory on DDP terms of
delivery,

(c) any payment under the Contract is made through bank accounts opened in Iraqi
banks,

(d) the Contract value is paid in barter,

(e) the Contract is executed or performed by an Iraqi resident agent acting on behalf of a
non-resident Contractor,

(f) any services or works under the Contract require physical presence of the
Contractor’s or Contractor subcontractors’ employees inside Iraq, or

(g) The Contract includes experience or other services inside Iraq, along with revenues
of hired experts, whether Iraqi or foreign workers; even if their salaries have been paid
outside Iraq.

1.3. A contract is ‘trading with Iraq’ and, therefore, is not subject to withholding tax in Iraq if all
and each of the conditions above are not satisfied. For the Contracts that are ‘trading with
Iraq’ please refer to clause 4 of this Chapter III below.

1.4. If the Contract contains any activities that are ‘trading in Iraq’ as described above, the whole
Contract shall be ‘trading in Iraq’ and relevant withholding shall apply3.

1.5. It is the discretion of the General Commission for Taxes of Iraq (hereinafter referred to as the
“GCT”) to make a final decision as to whether the Contract is ‘trading in Iraq’ based on the
terms and conditions of the Contract and its actual implementation4.

2. CONTRACTOR’S TAX COMPLIANCE OBLIGATIONS

2.1. The Contractor shall provide to COMPANY a tax registration certificate with the Tax
Identification Number of the Contractor’s entity in Iraq before conclusion of the Contract5. If
the Contractor’s entity is in the process of establishing branch office in Iraq, such registration
certificate shall be provided to COMPANY as soon as possible after the Contract execution,
but in any case before the completion of the Contract.

2.2. COMPANY shall deduct and withhold the applicable rate of tax from each payment under
the Contract and up to 100% final installment under the Contract. The GCT may request to
transfer the amounts such deducted and withheld to the Iraqi Government6. Should
provisions of the applicable legislation or direct request of the Iraqi Government require
COMPANY to remit to the Iraqi State the amounts previously withheld from payments to the
Contractor, COMPANY will act as prescribed by the applicable law or applicable requirement.
In no case COMPANY will be responsible to refund to the Contractor the amounts of Tax
paid to the state even though the Contractor provides COMPANY with the necessary
documentation supporting the refund.

2.3. The Contractor shall be able to refund the amounts such deducted and withheld as credit
against its eventual corporate income tax liability in Iraq, so that the aforesaid deduction and
withholding would be tax neutral for the Contractor7 providing that the Contractor’ activity is
in compliance with Iraqi tax regulations.

2.4. Within 90 days after completion of the Contract, the Contractor shall provide to the
COMPANY a tax clearance certificate issued by the GCT (as per the sample form in Section
5 below), in order to enable the COMPANY to release to the Contractor the amounts, which
have been deducted and withheld by the COMPANY and have not been transferred to the
Iraqi Government upon request of the GCT.

3. WITHHOLDING TAX RATES

Withholding tax rate applicable to the Contract under this TENDER is specified in item 7 of CHAPTER I.
The rate is subject to revision in case of changes into the Iraqi tax law. Withholding tax rates are determined
by the GCT as multiplication of the corporate income tax rate and deemed profit margin applicable to a
particular type of contract8.

4. CONTRACTS NOT SUBJECT TO WITHHOLDING TAX

If the Contract is ‘trading with Iraq’ as described in Section 1 above, the Contractor shall provide to the
COMPANY a representation as an integral part of the Contract as follows:

“The Contractor represents that the Contract is performed completely outside the territory of the
Republic of Iraq, and none of the Contractor’s employees, Contractor subcontractors’ employees or
agents are present in Iraq in connection with the performance of the Contract. The Contractor,
therefore, represents that it does not have an office, a branch, a work place, a site, or any other
place of activity for tax purposes in the Republic of Iraq, and neither customs clearance nor letters
or credit are performed by or in the name of the Contractor. As a consequence of these
representations the Contract should not be subject to taxation in the Republic of Iraq. In case any
circumstances are disclosed in the future that permit the Tax Authorities to lawfully require from the
COMPANY to deduct or withhold any amounts on account of Tax from payments due to the
Contractor in connection with, or as a consequence of its execution and performance of the Contract,
the COMPANY reserves the right to apply the respective rate of such deduction or withholding in

accordance with applicable Tax Laws. COMPANY may recover from contractor at any time any
liability incurred by COMPANY as a consequence of any failure of contractor group to pay the
required taxes and levies or to comply with applicable tax laws”.

5. TAX CLEARANCE CERTIFICATE

In order to enable the COMPANY to release to the Contractor the amounts deducted and withheld as
withholding tax in Iraq (provided that such amounts have not been transferred to the Iraqi Government
upon request of the GCT), the Contractor shall obtain from the GCT and provide to the COMPANY a letter
duly signed and stamped by the GCT. A sample proforma of such letter is outlined below (subject to
change/amendments by Iraqi tax authorities).

6. POTENTIAL CHANGES TO IRAQI TAX REGULATIONS

6.1. The clarifications on withholding tax in Iraq provided above are prepared on the basis of
current provisions of Iraqi tax law and Instructions/Guidance of the Iraqi state authorities and
state officials.

6.2. The Iraqi Tax legislation and Tax regulation change rapidly. Should any changes in Iraqi tax
law put in force the COMPANY will act as prescribed by the applicable tax law and
instructions of the respective state authorities of Iraq.

CHAPTER IV – DRAFT CONTRACT


The draft contract to be concluded between COMPANY and successful BIDDER is provided as a part of
this Tender Documentation.

BIDDERs shall accept the terms and conditions of the draft contract by filling in and signing the relevant
Contract Acceptance Form attached as Attachment 1 to this CHAPTER IV.

In case BIDDER has any comments to the draft contract, such comments shall be provided in the format
attached as Attachment 2 to this CHAPTER IV. Such comments shall be limited to correction of typos or
mistakes.

COMPANY may at its sole discretion at any time prior to signing of the contract with successful BIDDER
amend, supplement and/or remove any of the terms and conditions of the draft contract.

In case BIDDER provides any comments to the draft contract that may in any way affect distribution
of risks, modify the scope of services/works, indemnities, liabilities, payment and commercial
terms and/or other things that may be considered significant for TENDER by COMPANY, such
BIDDER shall be disqualified and its bid shall be rejected.

THE REPUBLIC OF IRAQ

 All documents in each envelope shall be bound into one (1) folder and stitched. Stitching of
contents of each of Envelope A and Envelope B by parts is not allowed.
 Contents of each of Envelope A and Envelope B shall be continuously numbered. Numbering
of contents by parts is not allowed.
 Numbering shall be made with a blue ink pen, not a pencil.
 Total number of pages shall be stated in the place of stitching.
 Place of stitching shall be sealed by BIDDER and signed by BIDDER’s authorized
representative, who has signed FORM 2.
 All pages of the bid shall be initialed by BIDDER’s authorized representative(s).
 The external and all internal envelopes shall be made of nontransparent material (cardboard,
paper, etc.), shall not be damaged, cut, torn; junctures and joints shall be glued, sealed with
a BIDDER’s seal and scotch taped.
