CONFIDENTIALITY

AGREEMENT

This Confidentiality Agreement (the "Agreement") is entered into by and between Jezreel D. Peña (the "Recipient")
and the City Government of Calamba (the "Owner") for the purpose of preventing the unauthorized disclosure of
Confidential Information as defined below. The parties agree to enter into a confidential relationship with respect to
the disclosure of certain proprietary and confidential information ("Confidential Information").

1. Definition of Confidential Information. For purposes of this Agreement, "Confidential Information" shall
include all data, materials, products, technology, computer programs, specifications, manuals, plans, software,
financial information, and all employee-related personal and confidential information disclosed or submitted,
orally, in writing, or by any other media, to the Recipient by the Owner. Nothing herein shall require the Owner
to disclose any of its information.

2. Exclusions from Confidential Information. The Recipient's obligations under this Agreement do not extend
to information that is: (a) publicly known at the time of disclosure or subsequently becomes publicly known
through no fault of the Recipient; (b) discovered or created by the Recipient before disclosure by the Owner;
(c) learned by the Recipient through legitimate means other than from the Owner or Owner's representatives;
or, (d) is disclosed by the Recipient with the Owner's prior written approval.

3. The Recipients’ Obligations. The Recipient agrees that the Confidential Information is to be considered
confidential and proprietary to the Owner, and the Recipient shall hold the same confidence, shall not use the
Confidential Information other than for the purposes of its functions with the Owner, and shall disclose it only to
its officers, directors, or employees with a specific need to know. The recipient will not disclose, publish or
otherwise reveal any of the Confidential Information received from the Owner to any other party whatsoever
except with the specific prior written authorization of the Owner. Confidential Information furnished in tangible
form shall not be duplicated by the Recipient except for purposes of this Agreement. Upon the request of the
Owner, the recipient shall return all Confidential Information received in written or tangible form, including
copies, reproductions, or other media containing such Confidential Information, within ten (10) days of such
request. At the Recipient's option, any documents or other media developed by the Recipient containing
Confidential Information may be destroyed by the Recipient. The Recipient shall provide a written certificate to
the Owner regarding the destruction within ten (10) days thereafter.

4. Term. The non-disclosure provisions of this Agreement shall survive the termination of this Agreement and the
Recipient's duty to hold Confidential Information in confidence shall remain in effect until the Confidential
Information no longer qualifies as a trade secret or until the Owner sends the Recipient written notice releasing
the Recipient from this Agreement, whichever occurs first.

5. Relationships. Nothing contained in this Agreement shall be deemed to constitute either party a partner, joint
venture, or employee of the other party for any purpose.

6. Severability. If a court finds any provision of this Agreement invalid or unenforceable, the remainder of this
Agreement shall be interpreted so as best to affect the intent of the parties.

7. Integration. This Agreement expresses the complete understanding of the parties with respect to the subject
matter and supersedes all prior proposals, agreements, representations, and understandings. This Agreement
may not be amended except in a writing signed by both parties.

8. Waiver. The failure to exercise any right provided in this Agreement shall not be a waiver of prior or subsequent
rights.

9. Headings. Headings used in this Agreement are provided for convenience only and shall not be used to
construe meaning or intent.

By signing below, I agree that I have received and read a copy of the Confidentiality Agreement document and
understand and agree to the same.
