CONTRACT FOR THE ENGAGEMENT OF AN RESOURCE PERSON

KNOW ALL MEN BY THESE PRESENTS:

This Contract is executed and entered into on 01 March 2022 by and between:

The BANGSAMORO WOMEN COMMISSION, a government institution created

under Bangsamoro Autonomy Act No. 8, with office address at Bangsamoro
Government Center, Rosary Heights VII, Cotabato City, represented herein by
Chairperson BAINON G. KARON (hereby known as “the Client”);

-and-

JOSEPH CASTILLON, of legal age, Filipino, with residence address at Rosary

Heights 7, Cotabato City (hereby known as “the Resource Person”);

WITNESSETH:

WHEREAS, the Client desires to hire the services of the Resource Person to render professional
services on the Facilitation of the Bangsamoro Women Commission Team Building Activity and
all the necessary documentation as an indication of the actual conduct of the mentioned activity
and the said Resource Person is willing to provide or perform said services;

NOW, THEREFORE, for and in consideration of the mutual covenants made by the Parties
hereto, the Parties hereby agree as follows:

A. The Services
The Resource Person shall render services to the Client on all matters about the
facilitation of the aforementioned team-building activity on July 11-14, 2022 at
Amaya View, Cagayan De Oro City, but not limited to the following:

1. Full preparation of the program from the ingress and egress of the Activity.
2. Full provision of materials and supplies needed for the Activity.
3. Detailed process of the Team-Building undertakings.
4. Full facilitation of the Team-Building undertakings.
5. Rationale of each of the Team-Building undertakings and final assessment of the
BWC Employees regarding the agency’s working relationship.

B. Compensation and Payment

The Client shall provide payment to the Resource Person for Twenty-Five Thousand
Pesos (PHP 25,000.00) upon satisfaction of the client of the provisions under “The
Services” clause and upon the conclusion of the activity and payable in thirty (30)
calendar days thereof.

C. Term
This Contract shall commence immediately upon signing by the Parties and
continuing until the terms under “The Services Clause” are satisfied, unless
otherwise terminated by the Client or by mutual agreement of the Parties herein. The
duration of the Contract shall in no case exceed the term of the signatory Chairperson
of the Client.

D. Performance Standards
The Resource Person undertakes to perform the services with the highest standards
of professional and ethical competence and integrity.

E. Confidentiality
The Resource Person shall not disclose any propriety or confidential information
relating to the activity, this Contract, or the Client’s business or operations, without
the prior written consent of the signatory Chairperson or the Client.

The foregoing provision shall not apply in any of the following instances:

1. If the Confidential Information, or any part thereof, is at the time of disclosure of

the Resource Person, already a part of the public domain or has become generally
available to the public, other than by reason of a breach of the terms of this
Contract; or
2. If disclosure of the Confidential Information, or any part thereof, is required by
competent governmental or other regulatory authorities under applicable laws
and regulations in force in the Philippines.

F. Ownership of Materials
Any studies, reports, or other materials, graphic software or otherwise, prepared by
the Resource Person for the Client under this Contract shall belong to and remain the
property of the Client. The Resource Person may retain a copy of such documents
and software, exclusively for record purposes.

G. Assignment
The Resource Person shall not assign this Contract or subcontract any portion of it
without the signatory Chairperson or the Client or her duly authorized
representative's prior written consent.

H. Termination
If the Client desires to terminate the services of the Resource Person hereunder, the
Client shall submit a letter to the Resource Person not less than 10 days before the
desired termination date. All monies receivable by the Resource Person shall
immediately be due and demandable.

In the event that a law or regulation is passed, the operation or implementation of

which would result in the non-execution of the obligation of any of the parties to this
Contract, shall automatically result in expiration and be deemed terminated upon the
date of its occurrence.

I. Governing Law
This Contract shall be governed by and construed per the laws of the Philippines.
