NONE DISCLOSURE AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This None Disclosure Agreement is made and entered into by and between:

PMCM Events Management., a domestic corporation

registered under the laws of the Republic of the Philippines with
business address at 27 Duhat St., Valle Verde I, Pasig City,
represented by its CEO, Myra Sandico, hereinafter referred to as the
“First Party”;

-and-

RDR BUSINESS SOLUTIONS, a domestic corporation

registered under the of the Republic of the Philippines with
business address at 303 Aloha Plaza Culiat Quezon City,
represented by its COO, Wendy Antonio, hereinafter referred to as
the “Second Party”.

WITNESSETH: That –

WHEREAS, the Second Party wants the hire the First Party for a _________
campaign for _____________ from _________ to _______ for the retainer fee of
TWENTY SEVEN THOUSAND PESOS per month to be paid within the ____ of the
month with a penalty of 6% per month starting at the ___ of the month if the retainer fee
was not paid that month;

WHEREAS, the Second Party wants the Fist Party present the First Party’s
creative ideas prior for _________________;

WHEREAS, the First Party to protect its Creative Ideas for the __________
campaign wish to impose a None Disclosure Agreement which the Second Party agrees;

NOW THEREFORE, for and in consideration of the foregoing premises and of

the mutual covenants of the parties herein, the parties hereby agree as follows:

1. That all information presented by the First Party in their Creative Ideas
Presentation which may include non public information, data, documents,
advertising plans, marketing plans, business plans, analytic plans, public relations
plan and other information disclosed or submitted orally, in writing, via sms or
email or any other means of communication, to the Second Party is considered as
Confidential Information this part of the None Disclosure Agreement.
2. That if any part of the information presented by the First Party that may be
deemed as Not Confidential Information thus not part of the None Disclosure
Agreement by the proper office, tribunals or judicial/quasijudicial courts, the
remaining information will still be deemed as Confidential Information.
3. That the Second Party binds its subsidiaries, assigns, legal representatives
successors-in-interest and the like including all entities controlling the Second
Party or controlled by the Second Party to this None Disclosure Agreement.
4. That the duration of this None Disclosure Agreement is from ________ 2022 to
_______________2022, in case no Memorandum of Agreement was reached by
the parties in relation to ___________ campaign.

 5. That the laws of the Philippines shall govern this agreement and all questions
concerning the validity, interpretation or performance of any of its terms or
provisions, or of any rights or obligations of the parties hereto.
6. That any party who will violate any of the considerations contained in this
agreement will be held legally and civilly liable.
7. That all disputes arising out of or in connection with this partnership agreement or
any breach thereof or any claims arising in connection with such breach or dispute
will be governed by the laws of the Philippines and be subject to the jurisdiction
of courts or mediation board in Pasig City.
8. That the Parties affirm that the individuals executing this agreement have the
authority to bind the parties
