SERVICE AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This agreement is made this __ day of ________________, by and between:

APOLINARIO GRANDE VIERNES, of legal age, and a resident of Barangay Carulay

Echague Isabela hereinafter referred to as “OBLIGOR”;

-AND-

ROSALINA TARUN ILASIN, married, of legal age and with postal address at Block 3 Lot 11
Santana Village, Barangay San Luis, Antipolo City, hereinafter referred to as “OBLIGEE”;

THEREFORE, in consideration of the mutual promises contained in this Agreement, the parties
hereby agree to the following terms and conditions:

SCOPE OF WORK

The Obligee shall act as the Attorney-in-fact of the Obligor in processing all the requirements
necessary for the activation of the HSBC account of the latter, and will perform all essential acts
including but not limited to payment of all the expenses necessary, until the said account is
activated and that the monetary amount involved in the said account is under the direct control
and management of the Obligor.

PAYMENT TERMS

The Obligor shall pay the Obligee 20% of the monetary value involved in the said HSBC
account which is inclusive of all the expenses incurred by the latter. The attorney’s fee of 1% of
the total amount involved in this contract shall also be the accountability of the Obligor;

CONFIDENTIALITY

Each party agrees not to disclose to any third party the existence or provisions of this Agreement
without the consent in writing of the other party. All information of any kind disclosed in
connection with this Agreement shall be considered confidential vis-vis any third party and may
not be used for any purpose other than for the execution of this Agreement.

GOVERNING LAWS

This AGREEMENT shall be governed by and construed in accordance with the laws of the
Republic of the Philippines. Venue of all actions arising from this Contract shall be brought
exclusively to the jurisdiction of the appropriate courts of Quezon City, Philippines.
 SEVERABILITY

If any provision of this AGREEMENT shall be held to be invalid or unenforceable for any
reason, the remaining provisions shall continue to be valid and enforceable. If the court finds that
any provision of this AGREEMENT is invalid or unenforceable, but that by limiting such
provision it would become valid and enforceable, then such provision shall be deemed to be
written, construed, and enforced as so limited.

FORCE MAJEURE

If this AGREEMENT or any obligation under this AGREEMENT is prevented, restricted, or

interfered with causes beyond EITHER Party's reasonable control and unable to carry out its
obligations, prompt written notice of such event must be given to the other party, then the
responsibilities of the party invoking this provision shall be postponed to the extent required by
such event.

WAIVER

No failure, omission, or delay of any of the Parties in exercising any of its right, privileges and
remedies hereunder shall operate as a waiver thereof. No waiver or departure from the terms of
this Contract shall be valid unless made in writing and signed by the Party's authorized
representative. Such waiver shall be effective only in the specific instance and for the purpose for
which it is given.

ASSIGNMENT

The benefit of this Contract shall not be assigned in whole or in part by a Party without the prior
written consent of the other.
