TERMS & CONDITIONS:

1. CANCELLATION:
Agreement and orders CANNOT be cancelled or modified by BUYER under any circumstances without written approval of Ami
Polymer Pvt. Ltd. covering all damages. If cancellation or modification is agreed to by Ami Polymer Pvt. Ltd., BUYER agrees to
promptly pay all reasonable engineering and other expenses incurred by Ami Polymer Pvt. Ltd.

2. RELEASE FOR PRODUCTION:

Ami Polymer Pvt. Ltd. will release the products for production only on receipt of the approved PO/Drawings duly as signed by
the BUYER or after receipt of acceptable financial arrangement, whichever is later.

3. CHANGE IN SCOPE:
Any change and/or revision to the above stated scope of supply may lead to a variation in the price and the delivery period.

4. FORCE MASEURE:
Ami Polymer Pvt. Ltd. shall not be liable for any loss or damage to BUYER for delay in delivery or cancellation of any
Purchaser's Orders by Ami Polymer Pvt. Ltd. due to circumstances beyond its control, such as, but not limited to, war, riots, civil
commotion, revolution, government regulations, orders, or acts of any government authority directly or indirectly interfering with
or rendering more burdensome the production or delivery of the products, floods, fires, delays due to transporter's strike and
any other circumstance or event beyond Ami Polymer Pvt. Ltd.'s Control.

5. LIABILITY:
Ami Polymer Pvt. Ltd. is not liable for any loss or damage occasioned by application of the goods at Customer's end.

6. INSPECTION OF PRODUCT:
BUYER agrees to inspect upon arrival of all articles shipped. Claims for shortages or defective material, if not packaged, must
be made in writing to Ami Polymer Pvt. Ltd. local Sales Office within five days after receipt of the shipment, and if packaged
within 30 days after receipt of shipment, Ami Polymer Pvt. Ltd. shall have a reasonable time to investigate all claims made by
BUYER. Any claims for shortages or defects made after the above periods shall be refused and finally dismissed. When the
packaging is damaged or broken the BUYER must insist on open delivery and inform Ami Polymer Pvt. Ltd. and the transporter
details of shortages/damages in transit.

7. WARRANTY:
Ami Polymer Pvt. Ltd. products are warranted against failure due to defective material or workmanship. In case of any claim
against the above, the BUYER will inform the Ami Polymer Pvt. Ltd. within 30 days of receipt of material.

- Acknowledgment of Material : Buyer are requested to acknowledgment within 30 days of receipt of material &
communicate to us for any of material not received as per buyer purchase order (subject to size, color, MOC, dimension,
quantity, quality) . If no intimation/communication received within the stipulated period, it will be presumed by us that the supply
material is technically clear & commercially accepted by buyer.
Ami Polymer Pvt. Ltd. declares that working life of the inflatable gaskets of any size and capactiy manufacture and supply by
APPL is either 1-year from date of invoice or 6 months from date of installation, whichever is earlier.

8. GOVERNING LAWS:
This agreement shall be construed and enforced in accordance with and under the laws of the Government of India. Both
parties agree that in case of any difference or dispute arising between Ami Polymer Pvt. Ltd. and the BUYER will be resolved
by mutual discussions and agreement. However, unresolved issues, if any, will be settled by arbitration as per the Indian
Arbitration and Conciliation Act and the venue of the arbitration will be Mumbai, Maharashtra.

9. PENAL INTEREST:
The BUYER agrees that the Penal Interest for the delayed payment @ 18% PA for the delayed period shall be paid along with
the amount due.
