AGREEMENT OF SALE

THIS AGREEMENT OF SALE is made and executed on this 14th day of


Mar, 2020 at Bangalore,

BETWEEN:
Manish Kumar.
Aged about 35 years,
Residing at B-101, Jal Vayu Heights,

Bangalore - 560013

(hereinafter called the “SELLER”)

AND:
Vivek V,
S/o K. N. Venkata Krishna Rao
Aged about 44 years,

3rd Phase, 5th Block
Banaglore - 560085

(hereinafter called the “BUYER”)

The terms “SELLER” and “BUYER” shall mean and include their respective
heirs, executors, administrators and assigns.

WITNESSETH AS FOLLOWS: -

WHEREAS, the SELLER herein was running a MONTESSORI SCHOOL


in the name of “LITTLE CHAMP GURUKULAM” at No.332, 1st Cross,
3rd Main, 6th Block, 2nd Phase, BSK 3rd Stage, Bangalore-560 085 and due

to her personal reasons, the SELLER has windup her MONTESSORI
SCHOOL.

WHEREAS, as the SELLER has windup her Montessori School,


expressed her intention to sell the Assets listed in the Schedule
hereunder which the BUYER herein became aware of and expressed her
desire to purchase the same and the BUYER willfully agreed to the price
offered by the SELLER and accordingly this Agreement of Sale is
executed between the SELLER and BUYER today.

WHEREAS, the SELLER herein agreed to sell the Assets listed in the
Schedule hereunder for a sum of Rs.5, 75,000/- (rupees five lakh seventy
five thousand only) free from all encumbrances and free of defects
regarding title and possession in good condition which the BUYER
herein accepted and agreed to purchase the same at that price free from
all encumbrances and free from defects regarding title and possession.

WHEREAS, in consideration of the mutual covenants and agreements


hereinafter set forth, and for other good and valuable consideration, the
receipt and sufficiency of which is hereby acknowledged, the parties
agree as that the BUYER agrees to purchase from the SELLER and the
SELLER agrees to sell to the BUYER all of the assets of the SELLER used
in the SELLER’S MONTESSORI SCHOOL as a going concern, of every
kind and description and wherever situated, including but not limited to
the assets described in the Schedule hereunder.

NOW THIS AGREEMENT OF SALE OF ASSETS WITNESSETH AS
FOLLOWS:

1. That in pursuance of the above and in full consideration for the


transfer of the Assets, the PURCHASER will pay the SELLER a total
sale price, of Rs.5,75,000/- (rupees five lakh seventy five thousand
only), from the BUYER, by way of Cheque in the following manner:

a) Rs.5,75,000/-, (rupees one lakh only) by way of cheuqe bearing


No.______, dated:__________, drawn on _____________, Bank,
_______________________Branch, Bangalore, in favour of the
SELLER;

and the SELLER acknowledges the receipt of Rs.5,75,000/- (rupees five


lakh seventy five thousand only) by way Cheques in the manner
mentioned hereinabove in respect of the sale of assets mentioned in
the Schedule hereunder.

2. The SELLER shall be deemed to have fully and completely


transferred to the BUYER all her rights, title and interest, if any, in, as
well as possession, custody and control of, the Purchased Assets. The
SELLER shall not be liable or responsible for any liabilities or
obligations of any kind or nature whatsoever arising out of, under, or
related to the Purchased Assets from and after the Closing of this
agreement.

3. The BUYER agrees that he is purchasing and shall take possession of


the Purchased Assets in its AS IS, WHERE IS condition and

acknowledges that she has previously been given the opportunity to
and has conducted such investigations and inspections of the
Purchased Assets as it has deemed necessary or appropriate for the
purposes of this Agreement.

4. The BUYER is not in any way be liable or responsible for, any


liabilities, obligations or debts of SELLER, whether accrued, absolute,
contingent or otherwise, arising before or after the execution of these
presents.

5. This Agreement shall endure to the benefit of and be binding upon


the parties hereto and their respective successors and assigns.

6. The BUYER shall hereafter be the rightful owner of the Purchased


Assets listed in the Schedule hereunder.

7. Any dispute or difference between the Parties with regards to this


agreement and all connected and related matters whatsoever shall be
discussed and settled amicably failing which the Courts in Bangalore
will have jurisdiction to settle any disputes.

8. The original of this agreement on stamp paper is retained with the


BUYER and the photo copy of the same is given to the SELLER.
