Annex 2

ADDITIONAL TERMS AND CONDITIONS FOR THE SUPPLY OF MANPOWER SERVICE

1. The following term shall be added to clause 1 of the Terms and Conditions:

Personnel: any employee of the Supplier designated to render the services under this
agreement and communicated in writing to the Buyer.

2. Further to clause 19.4 of the Terms and Conditions, in the event that the Buyer deems any
personnel, in its sole discretion, not in compliance with the requirements to carry out the services or
deemed not suitably technically trained or qualified, Buyer reserves the right to require from Supplier
the immediate replacement of such personnel at Supplier's cost and expense within a 3 day time frame.

3. The services shall be rendered by the personnel at the locations determined by the Buyer. The
Buyer shall determine the period of rendition of the services by the personnel at each location
at its sole discretion and may transfer the personnel from one location to the other at any time
during the Terms of the agreement.
4. Further to clause 19.1 of the Terms and Conditions, Supplier warrants and represents to comply
with applicable law and regulations, including without limitation, labor and immigration law, as
well as governmental regulations and directives for the accommodation of workers and the
Wage Protection System. Supplier shall indemnify and hold the Buyer harmless from any and all
loss, damage, cost and liability (including without limitation governmental fines and penalties,
and reasonable legal costs) arising out of Supplier's failure to comply with its obligations under
this clause. Without prejudice to the above and any other rights available to Buyer at contracts
and/or law, Buyer shall be entitled to suspend all payments under the agreement in the event
that Supplier is deemed to be in breach of its obligations herein described.
5. In the event of unavailability of the personnel to render the services for any reason whatever,
the Supplier shall immediately provide equivalent replacements in accordance with the specific
requirements of Buyer.
6. Further to clause 7 of the Terms and Conditions, Supplier shall obtain workmen's compensation
insurance for the personnel with a reputable insurer in Qatar and to an amount acceptable to
the Buyer. Supplier shall indemnify and hold the Buyer harmless from any and all loss, expense,
damage and liability arising out of injury or death of its personnel, as well as any interruption of
the services due to labor disputes between the Supplier and its personnel.
7. The Supplier hereby warrants and represents that no personnel shall have any records of
misbehavior with the authorities or current or former employers. The Supplier shall furnish
proof of compliance with this obligation at the request of the Buyer. Furthermore, the Supplier
shall undertake, as its own cost and expense, regular and frequent background checks on the
personnel, in addition to any further checks requested by the Buyer.
8. The daily hire rate is calculated on a basis of 10 hours a day. Overtime will be charged as 1.25
per excess hour for normal days and 1.50 for holidays as per Qatar Labor Law.
9. The daily hire rate for Ramadan will be calculated on a basis of 6 hours a day. Overtime will be
charged as 1.25 per excess hour for normal days and 1.50 for holiday as per Qatar Labor Law.
10. Minimum 10 hours work should be provided daily.
11. Food, accommodation and transportation shall be provided by Supplier.
12. In case of emergency first aid should be provided by Buyer.
13. Extra tools for the site should be provided by Buyer.
14. Practical/Field-test before the confirmation of the agreement.
15. Maximum 5 working days advance notice period will be provided for mobilization schedule from
trade test acceptance/confirmation.
16. Within 3 working days technicians should be
available in Shipyard or Supplier facility for trade
test once email is sent for manpower requirement.
17. 5 working days advance notice period will be
provided for de-mobilization.
18. Arrangement of MIC (Mesaieed Industrial City)
gate pass for technician is Supplier responsibility.
19. Technician must report with basic PPE (coverall,
safety shoes, safety glasses, safety gloves, ear
plugs) and toolbox (for eg. Welder — helmet, screen, torch and fabricator — cutting set, chisel
etc.).
• Blue cotton coverall with representing Supplier
company logo (Welders and Fabricators
must wear 100% cotton coverall)
• Grey color helmets.
• Safety boots with ankle protection.
• White and grey safety glasses.
20. Technicians will be hired only after trade test
either at Shipyard or Supplier facility whichever
applicable at the time of requirement (within Qatar).
21. For trade test arranged at Supplier facility,
arrangement of welding test pieces, consumables,
machines/equipment is sole Supplier responsibility.
22. Supplier shall provide technical supervisor at
every 15 of technicians, 10%-month invoice
deduction if requirement if not fulfilled. 10%-month invoice deduction is also applicable for
frequent absenteeism.
23. Technician should mandatory have working at
height, confined space training third party
certificates.
24. Technician should mandatory have third party
certificates for their respective filled/jobs.
25. Technician once hired, should not be replaced
without approval/instruction of Shipyard
concerned personnel.
26. We reserve the right to terminate the contract
based on work attitude, PPE ,absenteeism, work
performance, unsafe practices and unfavorable email response:"
