Subject: Letter of Intent for supply of Laptop Leather Bags/ Men’s Messenger Bag/ Men’s
Leather Belt/ Leather Wallet.

Sir,

Cuero and Craft, 611/31 Khanalampur Saharanpur - 247001, Uttar Pradesh, India.
Hereinafter referred to as “THE SELLER” appoints Contract Awarding Committee
(CAC), Economic Community of West African States (ECOWAS), Republic of Togo,
hereinafter referred to as “THE BUYER”. This agreement will be null & void if the
confirmed purchase order is not issued along with advance 100% amount within three
months of the agreement date.

Based upon our discussion over the mail dated 3rd March, 2022, and the information we have
exchanged, we are entering into this Letter of Intent for an agreement under which Cuero and
Craft will supply its Laptop Leather Bags/ Men’s Messenger Bag/ Men’s Leather Belt/
Leather Wallet to Contract Awarding Committee (CAC), Economic Community of West
African States (ECOWAS) for the supply of aforesaid product in 15 countries that are under
Ecowas Regional Zones of the African Continent.

1. LEGAL STATUS OF THE SELLER: THE SELLER is an independent manufacturer

and supplier.
2. AGREEMENT TO NEGOTIATE IN GOOD FAITH: The Parties agree that their goal
and interest herein is to bring about the supply and transfer with transit charges of
aforesaid goods, and thus, each Party promise to negotiate in good faith, for the period set
forth below, a definitive purchase agreement to include the terms and conditions set forth
in this Letter and such other representation, warranties, conditions, covenant, indemnities
and other terms as the Parties may agree upon.

3. DURATION: Notwithstanding the date of signature this agreement, this agreement shall
continue for a period of two years (2 years).

4. GENERAL DUTIES OF THE SELLER:

THE SELLER shall:
4.1. Use its best endeavor to import, 100% Genevan Leather.
4.2. Bear the packaging (primary, secondary and tertiary).
4.3. Leave stock on time, If THE SELLER anticipates any delay due to unavoidable
circumstances, shall notify THE BUYER accordingly.
4.4. Both parties will keep full and proper records of all enquiries, transactions and
proceeding relating to its obligations in terms of this agreement.

5. SPECIFICATION OF THE PRODUCTS:

A. Laptop Leather Bags = 50,000 Pieces.
B. Men’s Leather Bags = 50,000 Pieces.
C. Men’s Messenger Bags = 50,000 Pieces.
D. Leather Wallet = 50,000 Pieces.

6. PAYMENTS TERMS:
6.1. THE SELLER should pay THE BUYER the 100% amount for the agreed business
by advance through Telegraphic Transfer.
6.2. Prices of the products will be for Tughlaqabad Port, India and in US Dollars. Freight
will be borne by the Buyer as per actual.
6.3. Any cost that might arise from Tughlaqabad Port, New Delhi, India to Lome Seaport,
Republic of Togo, West Africa of the BUYER’s choosing, which are related to
 Shipment, such as but not limited to: AGENT’s Operational Cost will be at the
SELLER’s own expense.

7. PURCHASE PRICE: Price for the Transaction is as per the catalog (as attested with this
Letter) with shipping charges.

8. DELIVERY PERIOD: 12-24 Months after Conformation of Full Payment by the bank.

9. GOVERNING LAW: Any dispute arising out of this agreement shall be interpreted
according to laws of International Chamber of Commerce, India or Togo court, and will
be solved amicably.

10. TERMINATION: The Letter will automatically terminate upon the earliest of:
a. The execution of the purchase agreement by the Parties.
b. The mutual written agreement of Buyer and Seller.

11.1. Any written notice in connection with this agreement may be addressed to the
parties as stated below:

11.2. A Party may change the address for any purpose but must give a notice in
writing to the other party.
11.3. The Parties choose the above address at which documents in legal
proceedings in connection with this agreement may be served.

This Agreement is made consciously by the two party in two copies, one copy to be retained
by each when duly signed, on this day ____________.
