2) History of the organization:

2.1 Main History- Five decades ago the origins of one of India’s leading
spice brands was laid in a very modest manner by Founder and Chairman, Late
Rambhai Chhaganbhai Patel by catering to the pulses and spices required in his
neighborhood. It was his son, Hasmukhbhai Patel who established Ramdev
Food Products Private Limited and scaled up the business to encompass the
entire state of Gujarat. In the early 90s, Ramdev forayed into the ready-to-
eat category with its ‘Instant Mix’ packets of traditional Gujarati snacks like
Khaman, Dhokla, Gota, etc along with popular South Indian snacks like Idli,
Vada, Dahivada etc. It also expanded its portfolio to include Asafetida (Hing)
and streamlined its production processes to receive Agmark recognition. By
mid-90s, Ramdev was a renowned brand across India in the world of spices.

3) Form of Organization: Ramdev is a Private Ltd. organization.

3.1 Advantages of a Private Ltd. company:

 Limited Liability- The liability of the members of a company is limited

only to the extent of the face value of shares held by them. Therefore,
where a company is limited by shares, the liability of the members on a
winding-up is limited to the amount unpaid on their shares.

4|Page
INDUSTRY VISIT REPORT: RAMDEV MASALA
 More Capital- As there are more members in a partnership firm as
compared to sole proprietorship, the capital can be generated more from
the members.

 Perpetual succession- A company has ‘perpetual succession’, that is

continued or uninterrupted existence until it is legally dissolved. A
company, being a separate legal person, is unaffected by the death or
other departure of any member but continues to be in existence
irrespective of the changes in membership. Perpetual succession is one of
the most important characteristics of a company.

 Easy transferability of shares- Shares of a company limited by shares is

transferable by a shareholder to any other person. The transfer is easy as
compared to the transfer of interest in business run as a proprietary
concern or a partnership.

 Separate Legal entity- A company is a legal entity and a juristic person

established under the Act. A juristic person is a person who is not a
natural person or human being. Therefore a company form of
organization has wide legal capacity and can own property and also incur
debts.

Disadvantages of a Private Ltd. Company:

 Slow decision making process- In a private limited company, as there

more members, the decision making process is slow as it is necessary to
take the agreement of each and every partner.

 Maintenance of secrecy- It is very difficult to maintain secrecy in a

partnership firm as compared to sole proprietorship.

 Registration process- The registration process is long of a private

limited company as compared to sole proprietorship.

 Shares- The major disadvantage of private limited company is that its

shares cannot be sold to public. The shares can be held by the partners
only.

behind choosing the particular location was that the area is fully industrial
