DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This Deed, made and executed by and between:

TIMOTHY KIM, Filipino, single and a resident of 507 Whitefield Ave, Quezon
City, 1110 Metro Manila, hereinafter referred to as “SELLER”.

-in favor of-

JONATHAN JEON, Filipino, single and a resident of 100 Forbes Park Village,
Makati City, hereinafter referred to as “BUYER”,

W I T N E S S E T H:

WHEREAS, the SELLER is the absolute and registered owner of Flair Towers Condominium
Unit located at Mandaluyong City, Philippines, containing a floor area of One Hundred Square Meter
( 80 sq. m.), more or less, and one (1) assigned parking slot covered by Condominium
Certificate of Title No. 00X-XXXXXXXXXXXXXXXXX of the Registry of Deeds for Mandaluyong
City more particularly identified as follows:

“CONDOMINIUM CERTIFICATE TITLE


NO. 00X-XXXXXXXXXXXXXXXXX

[TECHNICAL DESCRIPTION]”

WHEREAS, the BUYER offered to buy and the SELLER agreed to SELL, TRANSFER AND
CONVEY the said condominium unit as well as any and all rights and interest appertaining thereto under
the Master Deed with Declaration of Restriction (the “Master Deed”) for the price and under the terms
and conditions set forth herein below;

1. The BUYER agrees to pay the SELLER consideration in the sum Five Million Pesos
(PHP5,000,000), Philippine Currency, receipt of which is hereby acknowledged by the SELLER,
and by these presents have SOLD, TRANSFERRED and CONVEYED, in an absolute and
irrevocable manner, unto the BUYER the above-mentioned condominium unit;

2. SELLER warrants that the title to the said condominium unit is free and clear of any and all liens
and encumbrances, except the restrictions contained in the Master Deed, as annotated and
inscribed at the back of Condominium Certificate of Title No.
00X-XXXXXXXXXXXXXXXXX;

3. BUYER accepts and binds himself to all conditions and restrictions embodied in the Mater Deed
and agrees to faithfully observe and comply with the House Rules and Regulations of the
Condominium Corporation and any amendment or supplement thereto;

4. The SELLER undertakes that he, his heirs, successors and assigns shall warrant and defend the
title to the condominium unit subject of this Deed against all claims of all persons or entities. The
SELLER also guarantees the right of the BUYER to take possession of the property subject of
this agreement upon the signing and execution of this agreement and will defend the latter against
all judicial or administrative actions for eviction;

5. In addition to the consideration above, the capital gains tax, documentary stamps tax, value-added
tax (VAT), if any, broker’s fee, registration fee, legal and notarial fee and other incidental
expenses in the registration of the sale and title transfer shall be for the account of the BUYER.

6. The association dues and utilities shall be for the sole account of the SELLER until the execution
of this Deed of Absolute Sale.

7. The SELLER agrees and undertakes to immediately transfer the Condominium Certificate Title of
the subject condominium unit to the BUYER.

8. The Agreement shall be binding and valid upon the parties herein and his heirs, agents,
representatives, and assigns

IN WITNESS WHEREOF, the Parties have hereunto set their hands this 10th day of August 2022
at Makati City, Philippines.
