of two (2) years on the main unit, parts, and labor and one (1) year on accessories from the date of
delivery. IDS Medical Systems Philippines, Inc. will replace, at no charge, non-expendable parts that
are found defective within warranty period.

Warranty and Free Service does not cover defects resulting from improper or inadequate
maintenance by Customer; Customer or third party supplied software, interfacing or supplies;
unauthorized modification; improper use or operation outside the specifications of the product;
abuse, negligence, accident, loss or damage due to transfer of equipment within various locations
within the hospital; improper site preparation; or unauthorized maintenance or repair.

Period Semi-Annual Tentative Date of Maintenance

1st August 2020 – January 2021 November 2020

2nd February 2021 – July 2021 May 2021

1st August 2021 – January 2022 November 2022

2nd February 2022 – July 2022 May 2022

The hospital shall allow any duly authorized IDS Medical Systems Philippines, Inc. service
representative free and unhampered access to hospital premises during the above-mentioned dates
to enable them to perform the maintenance procedures, subject to the hospital’s right to refuse
access, for security and other valid reasons.

IDS Medical Systems Philippines, Inc. shall not be held liable for maintenance schedule delays and any
resulting consequences thereof due to inability of the hospital to provide access during the
aforementioned schedule and failure of IDS Medical Systems Philippines, Inc. representative
personnel to attend to the agreed maintenance schedule due to natural disasters or other events,
including, but not limited to typhoons, earthquake, civil unrest, acts of God, and “force majeure”.
