DEED OF CONDITIONAL SALE

KNOW ALL MEN BY THESE PRESENTS:

This instrument is executed this ________ day of ______________ by and between:

______________, of legal age,with postal address at ______________, and hereafter referred


to as the SELLER,

______________,a corporation duly organized and existing under the laws of the
Philippines, with business address at ______________, here represented by its President,
______________, and hereafter referred to as the BUYER,

WITNESSETH That:

The SELLER is the registered owner of one (1) condominium unit, particularly identified
as Unit ______________, with an area of Three Hundred (300) Square Meters, particularly
described under Condominium Certificate of Title No. _____________________, issued by the
Registry of Deeds of Taguig City.

The BUYER has offered to purchase from the SELLER the afore-described property.

NOW, THEREFORE, it is hereby mutually agreed upon as follows:

SECTION 1. CONSIDERATION. For and in consideration of the sum of One Hundred


Eighty Million Pesos (Php 180,000,000.00), Philippine currency, the SELLER hereby agrees to
sell, cede and convey to the BUYER, its administrators, and successors-in-interest, the afore-
described land under the following terms and conditions:

1.1. The amount of Thirty Million Pesos (Php 30,000,000.00), Philippine currency,
representing DOWNPAYMENT shall be paid on or before 28 February 2021.
1.2. The balance of the total purchase price in the amount of One Hundred Fifty
Million Pesos (Php 150,000,000.00), Philippine Currency, shall be paid on or
before 28 August 2021.
1.3. At full payment of the consideration, the SELLER shall turnover to the BUYER
all documents, such as the certified copy title of title, Tax Declaration, Real Estate
Tax Receipts, Tax Clearance, and other documents required by the BIR and
Register of Deeds.

SECTION 2. OTHER MONETARY OBLIGATIONS OF THE SELLER

2.1. The Capital Gains Tax, Documentary Stamps Tax, transfer tax, registration fees,
and documentation fee of this contract and other related taxes and expenses due
and payable in connection with the transfer of the title to the property herein sold;

2.2 Any taxes, assessment or fees on the sale and/or transfer of the title to the buyer
which is now or hereafter be imposed by the government;
