DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This deed, made and executed in the Philippines, by the following:

_______________________________, of legal age, Filipino Citizen, single, with


residence at _____________________________________, represented by her
attorney-in-fact, ________________________________, of legal age, Filipino
Citizen, single with residence at ________________________________,
hereinafter referred to as the “SELLER”

-And-

__________________________________, of legal age, Filipino Citizens, singles,


with residence at
__________________________________________________________,
hereinafter referred to as the “BUYER”.

-WITHNESSETH THAT-

WHEREAS, the SELLER is the absolute and registered owner of a condominium


unit situated at the ______________________________, consisting of
________________ square meters covered by Condominium Certificate Title
________________________________, registered before the Registry of Deeds of
Makati City, and which is more particularly describes as follows:

WHEREAS, the BUYER offered to buy and the SELLER has agreed to sell the
above-described property for the price and under the terms and conditions set forth
herein below;

NOW, THEREFORE, for and in consideration of the sum of Philippine Pesos:


_____________________________________, receipt of the full amount whereof is
hereby acknowledged in from the BUYER to the full satisfaction of the SELLER, the
said SELLER do hereby sell, transfer and convey, in a manner absolute and
irrevocable, in favor of the BUYER, his heirs and assigns the rights to the real
property above described, together with all the improvements existing thereon;

The SELLER shall be liable for payment of the Capital Gains Tax. In addition,
Real Estate Tax and condominium association dues up to the signing and execution
of Deed of Sale shall be for the account of the SELLER. Documentary Stamp Tax,
Transfer Tax, Registration Fees and expenses incidental to the transfer of title shall
be for the account of the BUYER.

The SELLER hereby warrants valid title to the rights being sold to the BUYER,
including peaceful possession of the real property involved, and further declare that
the same is free and clear of all liens and encumbrances of any kind whatsoever.

The SELLER warrants that the subject property is free from all claims of third
person/s or entities and that the provisions of the law are satisfied to effect a valid
and enforceable transfer and conveyance on the said Property.

The SELLER shall defend its title to the Property sold, transferred and conveyed
in favor of the BUYER, his heirs, assigns and nominees, against all claims of all
persons and entities.

Furthermore, the SELLER hereby undertakes to execute any additional


documents, instruments and papers to complete the registration of this sale and the
transfer of the title in the name of the BUYER.
