TERMS AND CONDITIONS

The following terms and conditions and any specifications, drawings, samples, and additional terms and conditions which may incorporated by reference
or appended hereto are part of this Purchase Order. By accepting the Order or any part thereof, the Seller agrees to and accepts all terms and conditions.

1. The seller shall deliver the product to LBC within the period provided hereof.

2. Delivery. - Delivery shall be made by the Seller to the place designated in this Order, at his own expense except when specified. In the event of
Seller's failure to deliver as and when specified, LBC reserves the right to cancel this Order or any part thereof without prejudice to its order rights.
If LBC decides to accept these delayed deliveries, seller agrees to a one percent (1%) penalty per day on the cost of delayed deliveries.

3. Unless otherwise stated on the face hereof, payment shall be made by LBC thirty (30) calendar days after date of delivery and
presentation of the Sales Invoice together with the Delivery Receipts to the appropriate accounting department duly acknowledged by LBC
receiving personnel.

4. Warranty. - The products to be delivered by the Seller shall strictly conform with the orders, standards and specifications set herein, and LBC
reserves the right to reject or return any item found not in conformity with such orders, standards, or specifications.

5. Assignment. - This Order is not transferable unless with prior written consent of LBC.

6. Force Majeure. - It is hereby understood that if the performance required from either party under the Order is delayed or prevented by force majeure,
the period within which said performance is required may be correspondingly extended upon mutual agreement of both parties.

7. Performance Bond. - A performance bond shall be posted, if necessary, by the Seller in favor of LBC the value of which shall be forfeited by LBC
should the Seller fail to comply with its obligations under this Order.

8. Prices. - The prices agreed upon may not be increased by the Seller during the effectivity of this Order, except upon written consent by LBC after
the Seller has submitted admissible proof that such increases are warranted by economic conditions prevailing at the time.

9. Termination. - LBC reserves the right to cancel this Order at anytime for failure of the Seller to comply with any of the terms and conditions hereof
without prejudice to the right of LBC to recover any sums due; in the absence of a bond, the Seller agrees to pay liquidated damages equivalent to
25% of the amount due, but in no case less than P1,000.00 plus attorney's fees and cost of suit. The proper courts of Pasay City shall have
sole and exclusive jurisdiction over the case.

10. Patent Infringement. - The Seller shall not use nor claim LBC logo, trademark. The Seller agrees to indemnify LBC for all damages resulting from such
patent infringement.
