intoduction; 

                         The purpose of writting this note is to assist CFO in his presenation about the
BCO’s governance principles and activities or Analysing the financial and non-financial
performance of the BCO.

(i) principal-agent relationship of the BCO as a charitable organisation;

Principal and agent relationship is primarily defined as a realtionship of accountabity, stewadship and
responsibility and the agents are those who must have to control and manage the company and sets
out an appropriate tone and culture that safugards the principal intrest safe. 

In the case of the BCo as a charitable organization, the principal are public and corporate donors who
are giving their money that should be efficiently manage by the agents who are the board of trustees
and managment board.

As we are seeing that what is lacking in the charitable sector board now a days is the correct source of
agency relationship that is causing a conflict between principal and agent and also causing a negative
media covorage which is indirectly affecting the source of donations, so BCO have to knwon its agents
very well and try its best to keep their intrest safe.

(ii) the advantages for the BCO of having a two-tier board structure

The Two tier board help the BCO to make segregation between the roles of the management board
who are involved in the day to day operations and the ones who are setting the stretegies to tackled
the companies goal which ultimately help BCO to distributes the power and help to run the business
operations effiently and also reduces the chances of errors or stretegic drift because supervisory
board now only have to focus on corporate objectives while the CEO will be feels more confident and
less tired to run the business activities smoothly.

Having a Two tier board BCO could involve major stakeholder like a major donor or key employes in a
board that ultimatley help the BCO to make him confident towrad the BCO governance and stretegies

and help BCO to retain them as in current circumstance where BCO is loosing its key employees or
donors so it will be benefecial for BCO..

(iii) how the BCO’s mission and strategic objectives meet its key stakeholder needs

stakeholder needs is basically that the company sets its strategies particularly very carefully that
should be inline with their needs.

stretegies objectives and aims that set out by BCO is not meeting the stakeholder needs as we want
more people to get interacted with the wildlife and toward nature but by increasing the addmssion fees
by 16% which ultimately impact the visitors decsion as we can see that no:of visitors is declined by
5% 

The stakeholder need is to get aware and eduacted about the current endagered species or breed of
animals and the objective that we set to do is awarness program accross the world and eduacte the 1
million local staff, volunteers and communities is inlined with our strategic objective and aim also we
are thinking to invest in E-technology to conduct our training and awarness sessions accross the world
effectively to spread the awarness.

(b) Analyses the financial and non-financial performance of the BCO

Financial position Of BCO 

Net Income

Net income is declined by the significant % of 66 which is so bad for the BCo in term of its image and
its future survival but the reason of this big declined might be better undersatnd by looking at the both
figures of Total income and Total Cost.

Total Income

the total income of BCO from year 20X0 to 20X1 increases just by only 0.33% which in not very
attractive or prominent looking vise according to me its might be reduced due to the economic ression
or might be due to the negative media covarge of charitable organizations now a days that ultimately
influenced the mind of donors but further comments we made by looking the breakup of Total income.

Wildlife addmission fees

Wildlife addmission fees is increased by the 3% which although satifactory beacuse if we see the no:of
visitors is declined by the 2% and addmission fee is increases by 18% so is i guess that addmssion
fees is compensating the wildlife addmssion income figure from 20X0 to 20X1 that even the less
visitors  visit but they willingly pays higher prices although that is also not good which we will
discussed later.

Membership fees 

Membership fees is although not much bad as corpoarte fees is participating significantly in total
income figure so these figures are pity fine.

Education program

Education program income is declined by the 6% which in think is a matter of concern because in our
strategic objective our stakeholders wants more training sessions and awarness program but the
reason of declined in this income i guess is fever training programs (151 vs 145) so we have to look
upon it and took it very seriously because we could slope this income upward by doing consideration a
bit more. 

Donations and grants 

Donations and grants is declined by the significant % whcih is apprpriatley 16% although a red
alarming thing because our major source of finance is donors however we received the $2m of grants
this year still can't manage to get this figure upward that ultimately means lower level of donations and
might be due to media report regarding the governance and misuse of funds cause loss of donors
confident on charitable organizations, so we have to try to do counselling programs to gain their trust
on us again.

Wildlife park shop and café

Wildlife park shop and café income is incraeses by the  15% which is very good but the matter of
concern here is how BCO manage this commercial income increase even no: of visitors is less but we
could encounter it by looking further information but performance vise shop and cafe did good job. 

Sale of property 

we did sale of property this year cause a 525,000 gain which will be shows in P/.L that the reason that
Total income figure still looking constant and managable, if we could not sell it total inccome might
declined signifiacantly more.

Total Cost

Total cost is increases by the 2% which is might be due to infaltion and recession in a country of
geeland where BCO operates but we do better anylysis by seeing the cost breakup.

Charitable Activities cost

Animal support cost is increased by the 9% might be increases in term of the food, treatment and
research cost of handling wild animals but we have to do proper cost managment to reduce these
operating cost as like we are doing in a commercial sector to grow our operations effiently.

Commercial Activities

Commercial Activities costs are properly managed with the econmic situation and its decreass by the
22% aggregately which is good so we have to learn some techniques from commercial sector and
apply this techniques of cost management same in Charitable cost sector as well.

Non Financial position of BCO

Non fiancial position is primarily concerned without the monetary values of BCO so if we looked at the
certain key performance indicators of the BCO it help us to counter its Non financial performance and
position over the 2 years peroid.

No: of visitors is being declined by the 2% which although is not much alraming situation its occur due
to increase in the addmission fees from ($18.68 to $21.95) but if it continued to be happened so BCo
loss its corporate image as well as its Income.

Average training days 

Average training days is reduced by the 0.3 days even the cost of training day is reduces so we have
to think about it becaue training is the skill development activity that ultimately brings the value in the
organzation, if it reduces more in future might create inexperience people working in a organzation or
if animals were wronlgy handled or treated cause acccidents and life thretening issues.

Number of external education training programmes

the education programs is reduces by the (151 vs 141) its not good because its our objective to
eduacte and aware people regarding the wildlife and nature or aninmals habitat so it might craete 
nrgative image of BCO as it mis using its funds by not spending them on their primary aims.

Number of animals returned to natural habitats

This is the best thing about the BCo is that they returned about 85 animals to their habitat which is
inline with their starteguc objective.

(a)  Evaluation of External environment of BCO

we would use PESTLE model to analyse the enviroment of the BCo and how it could impact onthe
objective strategies of the BCO.

Since the global recession over a decade ago, many countries are still feeling its effects and
governments globally have been financially under pressure as its impacting on the geeland country as
well at where BCO opertaes and the infaltion rate is so high that ultimately increaes the operating
expenses and also impacted the large public income that ultimately affects the donation rat because
now a public will be less intrested in donations rather meeting their own eppenses that will adversly
impacts on the income of the BC.

corporate supporters of charities have reluctantly had to reduce their support for charities in terms of
volunteering, as they have seen their own incomes reduced by the financial crisis and had to do work
more for thier own needs rather than doing volunteering for us, it will increase the staff cost as now we
have to hire the more employees to do the work which were priorly done by volunteers without any pay
so this econmic turmoil adversly effects the BCO financially as well.

Enviromental

Habitats around the world are being increasingly destroyed by human activities means now there is a
more threat about the endagered species due to increase in pollution or greenhouse gasses will
impact the natural habitat of the forests and icelands and it will become difficult for the animals to
survive without their natural habitats and it will adversly affect the strategic objective we aimed to
release animals into their natual habitat and this will make it impossible because we can't release
them in a hazaderous environment as it hurts our reputation as well.

Social

people have become over-exposed to charitable requests and therefore stop donating due to some
negative media and newspaper covrage of health org and people now is less confident on the usage
of their donation toward aims of charitable organzations and this reputational image toward charities
also impact the donation amount of BCO and if we don't have adequate funds then how we will
manage our stratgic objective implemenation that is to aware the people and trained employees or
volunteers.

By demogarphically some charities have recognised the younger generation as a potential source of
donations although now a days they are not participating in a donations but they are even a better
options on which we have to worked in term of awarness and eduaction regarding wildlife protection
and sustainabity to get them regularly involve in a donation process 

Legal 

More legislation is expected in the coming years to stop the use of ‘hard-sell’ marketing tactics used by
some charities, it means now we have to get our self ensure that we are adequalty complied with all
rules and regulations regarding the transparent usage of the donations from donors, compliance bring
additional cost and if any negligence occured in future will cause lose of corporate good image and
imposition of fines cause financial risk.

Technological

Potential source of donations have used new forms of technology, such as social media platforms and
mobile technologies to effectively communicate and interact with a potential new source of supporters
because induldging a technolgy in a busniess is now very much needed to get yourself interacted with
the donors without any barriers of location and it will help BCO to get donations from a  wider source
of world which ultimately brings the organzation reputation by the appreciaction of their work which will
also help the BCO to meet its awarness strategic objective.

Introduction

The purpose of writting this confidential report is to evaluates the BCO’s current risk register and the
adequacy of each of the risk mitigating activities

Hello sir; 

I have completed the work that you have assigned me to evaluatre the Risk register as you were
concerned about it so you feel good to hear that i have throughly worked it on and identifid the
following issues regarding risk register and mitigation activities with clear justifiaction of each point.

Formate of Risk Register

The formate of Risk Register is not been appropriate as its not analysing the risk, if they cannot
analyse the risk on the basis of their likelihood so it will be difficult to prortize the risk and will be
uncertain to plan by risk owner to mitigate which risk first and which after on, as this technique is
helpful for the risk owner to identify seviour affects chances of risk to settle before that could hits on
BCO's perfromance and strategies.

They have not written the date on which risk arises and diognasted beacuse timely mitigation of risk is
effective and once if time passed it will difficult for board to settle down a risk and it will meaningless to
incorporate it in risk register at the time, additinally they have not setted the risk owner toward each
risk who will have responsibity to manage the risk.

Monitoring and Review of risk register

There is self monitoring risk, if it reviewd by the same Chairman and 2 board trustees who chaired 
have occur so the chances of negliogence in monitoring occur because its a detternance activity to
reduce the chances of risk occurance again in future and its been only review by once a year is not
appropraite because every business is facing a risk regularly due to changing events so it should be
review atleast quaterly rather than regularly.

As you are cocerned that the risk mitigating activities are inadequate, in the light of recent changes
and events in the external environment so we will shed light on each of risk mitigation activity

fund raising pressure is a barrier and causing limiting to our future activities as we have not a sourse
of finance availabe to fund our operations or strategic objective and its impacts are stressful and
alarming and also negative media covarage and extermnal environment in which BCO opertae is
currently facing economic turmoil and infaltion break the spinalcode of everyone so chances are high
of this risk means strict mitigation activities need to paln as its good that BCO CEO considering cost
managment activity but comparing financial returns is meaningless sue to changing events and
reporting fund raising activitie sto stakeholder is not much prominent risk mitigating activity as CEO
have to plan for the enhancing the reputaion of BCO by introducing session program virtually and
physically to aware them that theyir donations are safe and correctly managed to charity aims that
help BCO to reduce the chances of low funding donation.

2/.Loss of key staff

as the chances are very high of employee leftover from our organzation as inflation rate in geeland is
so high that staff have to think of for other opputunities for higher pays and its impact are also seviour
as  animals are setted emotinally with our old staff and also they are trained with the enviroment and
handling procedures of our organization so the mitigation activity that CEO is planning is i feel
inadeqate as they are planning for recruitment rather than to motivate the currrent staff by doing
sessions and increase pay bit more or giving bonus, but its good mitigating activuty that CEO is
demanding notice  peroid in which we hire new one and trained them from the person who is leaving
and try to sign letter from new hires to retain them lon term is good mitigating action if implamented so.

3/. Increased competition in the sector

increased competition in the sector is  concerning factor but the chances are low due to negative
media covrage have impacted the charitable organizations sector so much that no one from new
wanted to enter in line also the donation reduction factor is also barrier but if competitors incurred in
market it create wider disturbance impact as distribution of income started, BCo market share also
starts fading so before the war get started of competetion this risk has to mitigated by doing more
session program to hit our brand name in the mind of peoples and gain their loyalty in support of our
mission and CEO is doing it also by doing public awaness monitoring but CEO needs to think more
about marketing activities on socail media to gain world people interaction or service differenciation
and aim development to servive in a sector competetion   

4/. Operating in dangerous locations around the world

A s we known operating in dangerous locations around the world is all about exploring the wildlife to
get knwon more about habitat of animals to release them effectively but this has a lot issues in term of
their impact may cause accidents and killing so  we have to manage this risk by implementting
appropriate controls of making them trained by sessions and surviving trainings relevent to locations
they are going to visit and CEO is doing this which is good but more responses of this risk is needed to
be done that we have to get interacted with medical aid team of relevent location in our contact or
weather prediction and animals species recod of relevent location to known them better is nececssory
to reduce risk of dangerous operations.

Conclusion 

i have evaluated the risk register and found the issues regarding the formate, monitoring and
reviewing is not being done properly which have to adddressed and the appropriateness of each risk
mitigation activity individually and i found some more which CEO should have to done in response of
each risk to reduce the terrible impacts of risk in Future and now.

trustees of diversified skills, age and professional expertise and qualification without any race and hate

all over the world as BCO is also thinking to invest in technology to have wider donors of young age

we could utilize the talent of pool, as now BCO have the trustees of board from different experienec
and stakeholder also wants that someone in org must have  commercial experienece like we have sir
henry ryde and specific industry experience like DR hardeep khan but the thing lacking is age
diversification, BCO try to give  chance  to young  youth of different relegion and countries  for
employement which ultimately enhance corporate image as well or avoidance of drift in developing
strategies of board

(ii) the importance of continuing professional dvelopment for the BCO’s management board

Performance and results improved 

As managment board is involved in a busniess daily activities so it will be helpful for the BCO to
continually improved their skills and work on their merits particarly which is relevent to our sector taht
ultiamtely help the BCO to improve the decesion making power of the managemnt board which bring
value in the results  or performance  of the orgazantization.

Enhancement of Social, moral and ethical values 

Proper training session in the CPD will help to boost the leadership, motivation and professinalism in
the managemnt board and they will be reluctant to do any bad practices in the organization in term of
misuse of funds and set the tone of moral or ethics and compliance with rules and regulation from top
to bottom will increases which ultimately creates a better environemnt and good image of BCO

CPD sessions help management board to get aware about the current industry sector issues and risk
