LETTER OF INTENT TO PURCHASE

This letter of intent to purchase (the “Letter of Intent”) represents the terms and
conditions between the Buyer and Seller as provided below. After this Letter of
Intent has been made, a formal agreement may be entered into to the benefit of the
Parties involved.

A. The BUYER.
i. A certain Thirzah Tanya V. Morales desires to buy the property described
herein and shall be referred to hereafter as the “Buyer”. The Buyer may be
reached at 0917-884-6062 or solidroyals.happiness@gmail.com.

B. Properties Involved.
ii. The Buyer desires to buy the residential vacant lot of the Seller situated in the
details below:

001075, being a portion of the Lot 2 situated in
the San Isidro, Municipality of Antipolo,
Province of Rizal.
N-41867 712 sqm. Block 5, Lot 8 of the subdivision plan psd-04-
001075, being a portion of the Lot 2 situated in
the San Isidro, Municipality of Antipolo,
Province of Rizal.

iii. Both properties are registered in accordance with the provisions of the Land
Registration Act in the name of SELLER.

iv. The sale is on “as is, where is” basis with regard to the physical condition of
the property.

C. Purchase Price
v. The Buyer agrees to pay the aforementioned property for PHP 7,000/sqm.

vi. It shall be paid in the total amount of__________ (PHP ________) in cash on
____________ or through issuance of a check amounting to _____________ on
______________.

D. Reservation Fee
vii.By mutual consent, a fee of One Hundred Thousand Pesos (PHP 100,000.00)
per lot shall be given to the Seller for the purpose of reserving the property in
favor of the Buyer against all other potential buyers with respect to the above-
mentioned properties.

viii. The Buyer shall acquire the first right of refusal upon payment of the
reservation fee.

E. Property Inspection
ix. The Buyer shall have the right to have the condition of the Property inspected
by a person of her choosing.

x. After the property has been inspected, the Buyer shall have an additional 10
days to report any new disclosures to the Seller in writing or through
electronic means.

F. Binding Effect
xi. This letter of intent shall be considered as non-binding. The Parties
acknowledge that this Letter of Intent is not enforceable by any Party. The
terms outlined herein are solely for the purpose of reaching an agreement in
the future of which the Buyer and Seller are not bound.

G. Expenses
xii. As to the necessary expenses of the properties, the Capital Gains Tax and
Withholding Tax or Value Added Tax (VAT) shall be on account of the Seller.
However, the Documentary Stamp to be affixed on the Deed of Absolute Sale,
registration and transfer fees, legal, notarial and other incidental expenses
shall be for the account of the Buyer.

H. Warranties
xiii. The Seller warrants that he/she is the rightful owner of the above-
mentioned property and further warrants that it is free from any liens and
encumbrances.

I. Other Provisions
xiv. The Buyer must accomplish and sign the LOI and send the
accomplished form together with two (2) valid IDs via email to:

xv. This Letter of Intent shall be governed under the applicable Laws of the
Philippines.
