This TIN ORE S&P contract is made by and between the Buyer and the seller, whereby
the Buyer agrees to buy and the Seller agrees to sell the under mentioned goods on the
terms and conditions stated below:
此锡精矿买卖合同由买卖双方同意签定，即买方同意购买，卖方同意出售下列之货品，双
方同意并遵守以下条款:

2 QUALITY AND QUANTITY 品质及数量

2.1 Quantity: 50 MT (+/- 5%) at seller’s option.

数量：50 吨，上下误差 5%，由卖家决定。

3 BASE PRICE 基本价格

The base price shall be on TIN 70% basis, Price at USD （

LME*79%Coefficients*70%percentage ） / T Delivery Ex-warehouse at JOS,Plateau
State,Nigeria, total contract value = USD_______(+/-5%).
以锡含量 70%为基准，在尼日利亚高原州乔斯（JOS）仓库的交收货计价方式为：（伦敦
有色金属锡锭价格 LME*79%系数*70%品位）美金 /吨， 总合约价值为_______美元(+/-
5%)。

4 PRICE ADJUSTMENT 价格调整

4.1. For TIN Content 锡含量

（1 ）If the TIN content is below 70%, a penalty at the rate of $ 29.5/Ton for each 1%
decrease shall be applied, fractions pro-rata.
若锡精矿含量低于 70% 每降低 1%每吨减价 29.5 美元，按比例计算。
（ 2 ） If the TIN content is below 65%, then buyer has the right to reject the goods or
buyer could re-negotiate a reasonable price to accept it.
若锡精矿含量低于 65%，则买方有权选择拒收，或者协商可以接受的合理价格。

4.2. For other Chemical Composition 其他化学成分

If any of the chemical qualities measured do not comply with the provisions of Clause
2 above, the base price will be reduced proportionally as follows, fractions pro-rata:
如果依据测定的化学品质有任何一点不符合上述第 2 条款规定，则基本价格按比例减扣

More than 0.1% deducted 3 USD/MT

4.3 For moisture 水份

The moisture contained exceeds 1%, the price should be reduced by 2 USD/ton.
当内含自由水分超 1%时，每吨的单价应下降 2 美金/吨。

5 PAYMENT TERMS 付款条款

5.1 After the contract is signed, the buyer shall make an advance payment of 20%
of the total contract amount of 50 tons as deposit, and the seller shall deliver
approximately 16.6 tons per batch to the buyer within every 10 working days and
assist the buyer's representative in packing and sealing in the container provided
by the buyer. (Remark: Buyer will purchase the container as a temporary
warehouse for keeping the goods and arrange the representative to supervise its
goods in the factory).
合同签订后，买方按合同总额 50 吨的 20%预付款作为定金，卖方应在每 10 个工作日内每
批次向买方交货约 16.6 吨，并协助买方代表打包封存于买方提供的集装箱。(备注：买方自
行购置集装箱作为临时仓用于保管货物，并安排代表驻厂监其货物)。

5.2 Provisional Payment

60% of the Contract price will be paid to the seller based on the specific quantity loaded
of approximately 16.6 tons, settled every 10 days, three times per month, with the parties
relying on the London Non-Ferrous LME tin concentrate price of the day as the mid-price
(Use the average LME price of the week as the basis).
60%的合同货款将根据装货的具体数量约 16.6 吨向卖方支付货款，每 10 天结算一次，每
个月结算三次，双方依据伦敦有色金属 LME 锡精矿当天的价格为中间价(取当周 LME 平均
价格为基准)。

5.3 The seller will assist the buyer to transfer the goods to the buyer's warehouse at the
port Harcourt, and the buyer will be responsible for the escort security cost and freight,
etc. The transfer will be arranged 3 times per month, and the buyer will pay 18% of the
Contract price to the seller on the day the goods leave the warehouse to the port
Harcourt.
卖方将协助买方转运至买方于哈科特港口的堆场仓库，押运安保费用及运费等由买方负责

支付，转运每个月安排 3 次，货出仓库到哈科特港口，即日买方向卖方支付 18%货款。

5.4 Final Payment

The final payment of 2% will be paid to the buyer's bank account within 3 working days
after the inspection report issued by CIQ or SGS.
2%尾款结算，买方将根据 CIQ 或者 SGS 出具的检验报告后的 3 个工作日内将上述款项付
至买方银行帐户。

6 INSPECTION, SAMPLING AND ANALYSIS WEIGHING

检验,取样,化验分析和称重
TESTING,SAMPLING, ANALYSIS AND WEIGHING
The Seller shall carry out chemical composition analysis of the tin concentrate for each
delivery in accordance with the latest inspection methods, as well as assaying the
moisture content of the tin concentrate, Radioactivity testing and weighing. The seller
shall provide the quality inspection results to the buyer. Buyer shall have the right to
appoint a representative at its own expense to supervise the sampling process and the
warehousing process.
卖方须按最新的检验方式进行对每次交货的锡精矿矿作化学成分分析鉴定品质，及化验锡
精矿的含水量，放射性检验和称重。卖方须提供质量商检结果予买方。买方有权自费委任代
表到现场监督该抽样检验过程及入仓过程。

7 TAXES AND DUES 税费与其他费用

All taxes and other charges levied on the tin concentrate of this contract at the place of
origin (port of loading) shall be borne by the Buyer.
在原产地（装货港）对本合同的锡精矿所征收的税费及其它费用，一律由买方承担。

8 INSURANCE 保险

Insurance of the goods after they leave the warehouse is purchased at the option of the
buyer and is not related to the seller.

货物出仓后的保险由买方自行选择购买，与卖方无关。

9 FORCE MAJEURE 不可抗力条款

Either the Seller or the Buyer shall be relieved of and excused from its obligation to
perform here under during any period that their or its performance is prevented of
delayed by Act of God, War, blockade, revolution, riot, insurrection. Civil commotion,
strike, lockout, fire, flood, storm, tempest or other inclement weather conditions,
unforeseen blockade of the access channel at Loading Port, maintenance practice of the
port facilities by the duly constituted Port Authority, government restriction, regulation or
order. In the event that such a Force Majeure condition occurs or is anticipated, the party
directly affected shall advise the other party by facsimile, telex or email as soon as
possible, and shall then submit a certificate issued by Government Authority or Chamber
of Commerce as evidence of the Force Majeure condition within 10 days, if possible,
after such Force Majeure condition. If the Force Majeure lasts over three months, the
Buyer shall have the right to cancel the tonnage involved. The Seller’s inability to obtain
license shall not be considered as Force Majeure.
买卖双方将于以下情形豁免不能履行合约的责任﹕
由天意(大自然) 所造成的因素、战争、政治封锁、革命、暴动、起义、民变、罢工、火灾、水灾、
风暴或其它恶劣气候所造成在装运不可预料的阻碍因素。若此等不可抗力的情形是可预料
的，直接受影响的一方因尽早通过传真或邮件知会另一方，以及在 10 天前(在可能的状况
下) 由官方或商会发出证书佐证。若此等不可抗力的情形延续超过三个月，买方有权取消订
单。卖方不能取得相关批文将不能视为不可抗力因素。

10 ARBITRATION 仲裁

All disputes or differences whatsoever arising between the parties out of or relating to the
construction, meaning and operation or effect of this contract or the breach thereof shall
be settled by friendly negotiations between the two parties. If no settlement can be
reached, the case in dispute shall then be submitted for the China International Economic
and Trade Arbitration Commission for arbitration under their rules with China law
(Arbitration place: Beijing).
在履行合同中所引起的争议或差异，双方都要友好的解决。如果不能通过友好地解决争议
应把争议提交给中国国际经济贸易仲裁委员会（地点：北京）。由该委员会按照其仲裁规
则和中国的法律来解决争议。

11 CONFIDENTIALITY 保密

The terms of this Contract and the cargo details and results are confidential except as
agreed between the parties which consent shall not be unreasonably withheld.
除非双方同意公开合约内容，此合同的条款及货物资料必须绝对保密。

12 NON-CIRCUMVENTION 不可欺诈

a) The parties shall not in any way whatsoever circumvent or attempt to circumvent
each other or any Party involved in any of the transactions. The Parties are desiring or
entering into or to the best of their ability assure each other that the original transaction
codes established will not be altered or changed.
无论在任何情况下，任何一方皆不可欺诈或尝试欺诈对方, 以及在此交易下所有的参与者。
双方均须尽最大的努力来维持原有的交易编号而避免有所更改。
b) The parties recognize the contract to be an exclusive and valuable contract of the
respective Party and they shall not enter into direct negotiations with such contracts
revealed by the other party.
所有参与交易者均承认此合同对双方的独立性及价值性。有关方面不能擅自越位而直接磋
商合同。
c) In the event of circumvention by any party whether directly or indirectly, the
circumvented party shall be entitled to legal monetary penalty as damages, equal to the
maximum amount it should make from such transaction and any and all expenses
including but not limited to legal fees that could be involved in the recovery of such
damages. The circumventing Party renounces to any right that he may have to claim a
reduction of this amount.
若发生欺诈行为，无论是直接或间接的，欺诈的一方将面临合法的货币处罚作为赔偿，金
额相等于被欺诈一方在此交易所能得到的最高利润及其所有开销，及并不仅限于涉及此伤
害下复原的法定费用。欺诈的一方绝无任何可减少罚金的权利。

13 LIABILITY FOR BREACH CONTRACT 违约责任

If the seller fails to deliver the goods at the time agreed in this contract, the seller shall
pay the seller ____% of the total amount of this contract as liquidated damages for each
day of overdue, and the liquidated damages shall be calculated cumulatively, and the
buyer shall have the right to cancel the contract if the overdue exceeds ____ days.
如卖方未能按本合同约定的时间交货的，每逾期一天，卖方应向卖方支付本合同总金额___
%的违约金，违约金累计计算，逾期超过___日的，买方有权解除合同。

15 OTHER TERMS AND CONDITIONS 其它条文

a) This contract is made out in two originals, one to be held by each party and shall
have the equal force. This contract is used in English and Chinese, two languages are
both available, but if have any conflict, English version shall prevail. The Fax or e-mail of
the contracts is available before both parties receive the original version of the contract.
本合同正本一式两份，双方各执壹份, 具有同等效力。本合同由中英文签署，中英文同时有
效，如有任何冲突之处，以中文为准。收到正本合同之前，传真件或电子邮件有效。
b) The terms and conditions of this Contract are not intended to form any precedent for
any other Contract.
此合同的条文不准备用来作为制定其它合同之用。
c) Both the Buyer and the Seller shall execute and sign this Contract.
本合同须由买卖双方各自代表正式签署。
d) The language of the correspondence, notices, invoices, certificates shall be English.
通信，通告，发票及证书均为英文。

INCOTERMS-2000 as published by the International Chamber of Commerce.

《国际贸易术语通则》-2000 版将适用本合同。
IN WITNESS WHEREOF, both parties hereto have executed this Contract as of the day
and year first above written. This Contract will take effect immediately upon both parties’
signature and stamps.
