SUBSCRIPTION OF 540,000 COMMON SHARES IN N’OSAIRIS PHILIPPINES CORPORATION

SMRT HOLDINGS BERHAD

1. INTRODUCTION
The Board of Directors of SMRT Holdings Berhad (“SMRT” or “the Company”) wishes to
announce that N’osairis Technology Solutions Sdn. Bhd., a 64% owned subsidiary of SMRT,
has on 10 July 2017 subscribed for 540,000 common shares of P1.00 per share in
N’OSAIRIS PHILIPPINES CORPORATION (“N’OSAIRIS PHILIPPINES”) [“the
Subscription”].

Upon the completion of the Subscription, N’OSAIRIS PHILIPPINES will be an associate

company of N’osairis Technology Solutions Sdn. Bhd., which in turn is a 64% owned
subsidiary of SMRT.

2. INFORMATION OF N’OSAIRIS PHILIPPINES

N’OSAIRIS PHILIPPINES was incorporated in Philippines on 11 April 2017. The authorised
share capital of N’OSAIRIS PHILIPPINES is P 6,000,000.00 divided into 6,000,000 common
shares with a par value of P1.00 per share. The issued and paid-up share capital of
N’OSAIRIS PHILIPPINES is P1,500,000.00 divided into 1,500,000 common shares with a
par value of P1.00 per share.

The principle activity of N’OSAIRIS PHILIPPINES is to provide software and information

technology systems consulting, maintenance and support.

The first Directors of N’OSAIRIS PHILIPPINES are as follows:

3. FINANCIAL EFFECTS
The Subscription will not have any material effect on the share capital and substantial
shareholders’ shareholdings of SMRT, and is not expected to have any material effect on
the earnings per share, net assets per share and gearing of the Group for the financial year
ending 31 December 2017.

4. INTERESTS OF DIRECTORS, SUBSTANTIAL SHAREHOLDERS AND PERSONS

CONNECTED TO THEM
Saved for Stalin Thangaiah Vijaya Kamaraj, whom is a director of N’osairis Technology
Solutions Sdn. Bhd., none of the directors, substantial shareholders of the Company and
persons connected to them have any interest, direct or indirect, in the Subscription.
5. STATEMENT BY DIRECTORS
The Board of Directors is of the opinion that the Subscription is in the best interest of the
Company.
