DEED OF LEASE

J A Y A K O D Y (holder o f N.I.C. No. 581402973V) o f No. 58, L i g h t House
Street, Fort, Galle (hereinafter called and referred to as the Lessor w h i c h
term o r expression as herein used shall where the context so requires o r
admits mean and include the said R O H A N A J I T H J A Y A K O D Y his heirs
executors administrators and assigns) of the ONE P A R T and C E Y L O N
H E R I T A G E TRUST ( P R I V A T E ) L I M I T E D a company d u l y registered
under the Companies A c t No.7 of 2007 holding registration n u m b e r
N(PVS)43813 and having its registered office at No.61/6 W a r d Place,
Colombo 7 i n the said republic of Sri Lanka (hereinafter called and
referred as Lessee w h i c h t e r m o r expression as herein used shall w h e r e
the context so requires or admits mean and include the said C E Y L O N
H E R I T A G E TRUST ( P R I V A T E ) and its liquidators successors and assigns

WHEREAS the said Lessor is seized and possessed o f or otherwise well


and sufficiently entitled to the land and premises called a PORTION OF
UJUWATTA situated at Habaraduwa in Thalpe Pattu Galle District and
Southern Province in the said Republic of Sri Lanka morefuly describe in
the Schedule hereto (hereinafter sometimes called and referred as the
?Premises?)

AND WHEREAS the said Lessor has agreed to give and the said Lessee
has agreed to take on lease the said premises morefully described in the
schedule hereto at the rent and upon the covenants and subject to the
conditions hereinafter set forth and contained.
N O W T H I S I N D E N T U R E W I T N E S S T H AS F O L L O W S:

1.The period of Lease shall be for Ninety Nine Years commencing from
the 30 th day of July in the ycar Two Thousand Eleven (30.07.2011) and
the aggregate rental for the said premises for the entire period shall be
Rupees T w o M i l l i o n Five Hundred Thousand (Rs.2,500,000/-) and the
total amount of the said rental for the entire period of this lease
agreement shall be paid by the said Lessee to the Lessor before or at the
time o f the execution of these presents.

2.The Lessee may also construct any additional buildings as the Lessee
may on its own discretion deem necessary and in accordance w i t h the
building specifications determined by the Lessee and all costs and
expenses for any such constructions shall be borne by the Lessee.

3.The Lessee may improve the existing buildings and effect any structural
modifications at the demised premises even w i t h o u t the prior consent or

approval of the Lessor.

A.The Lessee m a y at its o w n discretion and at any t i m e d u r i n g t h e


pendency o f t h i s p e r i o do f : lease i n s t a l l any fixtures, any f u r n i t u r e and

fittings plant or machinery and any other-.equipment or appliance
c o n s i d e r e d to be necessary b y t h e Lessee

5.All payments pertaining to the use of the demised premises i n the form
of electricity bills water and such other utilities and also the paymento f
Assessment Rates shall be borne by the Lessee.

6.The Lessee may occupy the said premises and also shall have the r i g h t
to allow any person of its choice to occupy the said premises for w h i c h
the Lessor shall not have any objections or cause any obstruction to such
persons w h o occupy the said premises w i t h the consent of the Lessee .

7 The Lessor shall allow the said Lessee to quietly and peacefully possess
and enjoy the demised premises during the period agreed upon on this
Lease Agreement and the Lessor shall not have the right to terminate this

Lease Agreement.

8 T h e Lessor shall not have the right to sell or dispose the said land and
premises without the prior written approval of the said Lessee.

9.This Lease Agreement shall bind and the benefits thereof shall accrue to
the respective heirs executors administrators and assigns and its
liquidators successors and assigns of the parties hereto
