Introduction
- To begin with, each of the partners introduced themselves formally. After a short introduction and
welcoming of each of the partners, the agendas were tackled immediately.

Agenda items
The agendas were as follows:

1. Discussion of what business to establish, the name, the capital, nature and form.

2. Discussion of how much would be the contribution of each partner.

3. Discussion of where to set up the business.

4. Discussion of the expenses to be made by the company in setting up the business.

Discussion
First, we’ve talked about what our business will be. Many suggestions were made by the partners, so we
have to choose the best business type that we think will click to the customers. So we’ve come up with
the idea of Manufacturing clothes. And the name of our company will be Beàut a la Chic Clo. and will
have a capital of 5 million pesos. This decision has been approved by the majority.

Second, we discussed about the amount each partners will contribute:

we need to examine and see to it that the location of our business will have a customer that could afford
our products and that are easy to go to by the people. So it is agreed by the partners that we will set it up
to ____________________________.

And lastly about the expenses that will occur in starting up our business. And it is agreed to deduct all
the operating expenses that will occur in our business in the company's capital.

That we, undersigned, of a legal age, citizens and resident of the Philippines, have this day voluntarily
bind ourselves together for the purpose of forming a partnership, effective as of this date, under the
terms and conditions hereinafter set forth, and subject to the requirements of existing laws of the
Republic of the Philippines.

ARTICLE I.
The name of the partnership shall be: BEÀUT A LA CHIC CLO.

ARTICLE II.

The purpose for which said partnership formed are as follows.
1. To earn profit and to divide it among the partners.
2. To conduct business related to clothing line.
3. To provide the best quality clothing at an affordable price.
4. To satisfy every customer with our own unique clothing products.

ARTICLE VI.
The capital of the partnership shall be five million peso, Philippine Currency contributed in cash by the
partners as follows:

ARTICLE VII.
Any partner may be given the right to substitute an assignee as long as she has notified and has stated
the reasons to the other partners, three (3) days before the effectivity. Provided further that such partner
has already settled her obligation to the partnership before the notification of substitution.

ARTICLE VIII.
The remaining general partner or partners shall have the right to continue the business in cases of death,
retirement, insanity or insolvency of a general partner.

ARTICLE IX.
The firm shall be under the management of Khimberly Naul, as General Manager and as such she shall
be in charge of the management of the affairs of the partnership. The duration of such will be terminated
at the end of the term indicated above the Article IV.
