GENERAL CONDITIONS OF CONTRACT

#REF!

1 GENERAL

a. The Sublet Contract shall be governed by the Conditions mentioned hereunder. The specifications
of the main contract between FWO & sponsor will be followed. In case of any conflict, in
interpretation of clauses, decision of DG FWO shall be final, conslusive, binding on both parties and
connot be challenged in the Court of Law. The Sublet Contractor shall be deemed to have satisfied
himself before signing the sublet contract agreement to the correctness of rates quoted by him and all
his obligations stated therein. Sublet contractor shall further be deemed to have fully satisfied himself
for the scope/nature of works, local facilities of access conditions prevalent at site, specifications laid
down by sponsor and all other allied matters affecting the execution and completion of the entire
work. No extra charges consequent upon any misunderstanding in this regard will be allowed.

b. The quantities given in BOQs are provisional and may vary during execution of work. The actual
quantities of work will be measured and paid on quoted rates. The items not covered in the scope of
sublet contract if ordered and executed will be paid on negotiated rates between sublet contractor and
FWO.

2 Definitions:
(i) "Sponsor" the agency awarding the Main Contract
(ii) "Contractor" Frontier Works Organization (FWO)
(iii) "Sublet Contractor" means firm or person to whom the sublet contract is awarded.
(iv) "Engineer" means the person appointed by the Sponsor as Consultant to act as Engineer of the
Project.
(v) "Specifications" means the specifications of the works included in the Main Contract and any
modifications thereof or additions thereto.

(vi) "Project Manager (PM) FWO" Person nominated by HQ FWO/Gp HQ.

3 Priority of Documents The Priority of Sublet Contract documents will be


a) Acceptance letter.
b) Particular Conditions (if any)
c) General Conditions of Sublet Contract
d) Priced Bill of Quantities
e) Drawings and Specifications of the Sponsor's Contract
f) Any other document forming part of the Sublet Contract

4 Standing Security In case the Sublet Contractor is not enlisted with FWO the amount equal to
the standing security of the category of CA will be recovered from 1st RAR of the Sublet Contractor as
standing security which will be released/paid to contractor on expiry of maintenance period satisfactorily.

5 Sublet Contractor's General Responsibility The Sublet Contractor shall with due care and diligence,
execute and complete the works and remove any defect therein in accordance with the provision of Sublet
Contract. The Sublet Contractor will provide all superintendence, labour, materials, plant, equipment etc
whether of a temporary or permanent nature, required for such execution.

6 Drawings issued to Sublet Contractor The drawings will remain in sole custody of FWO, one copy
thereof will be issued to the Sublet Contractor free of charge. The Sublet Contractor will make at his own
cost any further copies if required.
7 Subletting The sublet contractor will not further sublet whole or part of the work to any other agency
in any case.

8 Work Program The Sublet Contractor will, with in fortnight after the letter of acceptance, submit to
the Project Manager (FWO) a work program for his approval. The work program will include
methodology for execution and timely completion of the work. In case of failure in timely submission of
work programme, sublet contractor may be penalized as determined by PM FWO.

9 Commencement of Work.
a. The Sublet Contractor, soon after receiving the acceptance letter will commence the work and will
proceed according to the work programme submitted by him.

b. Sublet Contractor shall be solely responsible to complete all legal formalities required to execute the
work or any future liability of any kind like payment or royalty charges etc required to obtain earth or
quarry material. Sublet contractor shall also be responsible for all kind of charges for testing and
approval of all such materials.

10 Early Start of Structure Work The Sublet Contractor will ensure early start of work on structures.
The same will be completed on priority. The Sublet Contractor will be liable to liquidated damages as
shown in respective clause of sublet CA on account of any delay or lapses in completion of structures
according to Sch of progress agreed by both the parties.

11 Time for Completion The whole of the works are required to be completed within a particular time as
stated in the Schedule 'A' in accordance with the provisions of Sublet Contract, calculated from the
Commencement Date as shown in frist written work order, or such extended time as may be allowed
under relevant clauses of Sublet Contract.

12 Security Arrangement of Person/Property. The Sublet Contractor will be responsible for all the
security arrangement of his works, plant/machinery, personnel, camp office and residential area at site of
work.

13 Issue of Material Under Sch B On the request of Sublet Contractor following stores may be issued to
him (if available) on the rates given in Sch 'B' of the sublet contract agreement. These rates will be
applicable till completion of whole work assigned under this sublet contract:-

Cement, Steel, Bitumen, Explosive Stores (if required)


14 Bid Security/Earnest Money Sublet contractor shall furnish, as part of his bid, a bid security @ 1% of
tender cost in the form of Bank Guarantee or Pay Order.
The bid security will be forfeited if the sublet contractor withdraws his bid or fails to commence the
work. This amount will be adjusted in the retention money
15 Insurance of Works
a. No compensation will be paid to the Sublet Contractor for damages due to natural calamities i.e
against items coverd under Contractor All Risk (CAR) insurance, during the execution of the work
and maintence period. However if the Sublet Contractor shares the insurance premium for portion of
his work, he will get compensation proportionately to the amount received by FWO, from the
insurance company, OR sublet contractor should get his work insured including Plant/Machinery
independently.

b. If the Sublet Contractor does not share the premium, then in case of any loss/damage Sublet
Contractor shall rectify the loss/damage at his own cost, regardless of claim paid to FWO.

16 Workmen Compensation. The Sublet Contractor shall be responsible for payment of wages & dues
and safety of his own men & equipment.
17 Sublet Contractor’s Equipment, Temporary Works and Materials: Exclusive Use for the Works:
All Sublet Contractor’s Equipment, Temporary Works and Material provided by the Sublet Contractor
shall, when brought on to the Site, be deemed to be exclusively intended for the execution of the Works
and the Sublet Contractor shall not remove the same or any part thereof, except for the purpose of moving
it from one part of the site to another, without the consent of PM FWO. Provided that consent shall not be
required for vehicles engaged in transporting any staff, labour and Sublet Contractor’s own cars etc.
18 Responsibility to Rectify Loss or Damage If any loss or damage occurs to the works, or any part
thereof, or materials, during the period of contract or in defect liability period, for which the Sublet
Contractor is responsible for the care thereof or to the property of some other person or whatsoever, the
Sublet Contractor shall, at his own cost, rectify such losses or damages.
19 Quality Control. The work will be executed by Sublet Contractor in accordance with the
drawings/specifications of Sponsor Contact together with these Conditions as well as instructions given at
site by PM FWO/Engineer/Consultant. In any circumstances the quality of work will not be
compromised. Following aspects must be adhered:-
a. Sublet Contractor will keep an Engineering team of qualified personnel for meticulous supervision of
work.

b Will maintain a testing laboratory at site for testing of material and samples from on-going works.
20 Bad Workmanship Any work or part of work rejected due to poor quality will immediately be
replaced by Sublet Contractor. If the Sublet Contractor fails to do so, the work shall be carried out at the
risk & cost of Sublet Contractor.
21 Materials, Plant and Workmanship All materials, plant and workmanship shall be of the respective
kinds as described in main contract specifications/standards and in accordance with Engineer's
instructions. The Quality of Material, and Workmanship is non negotiable. Below standard items etc will
be replaced/reconstructed by Sublet Contractor at his own expense.

22 Inspection and Testing The Engineer/PM FWO is entitled, during manufacture, fabrication or
preparation to inspect and test the materials and Plant to be supplied under the Sublet Contract. If
materials or Plant are being manufactured, fabricated or prepared in workshops located anywhere in
Pakistan, the Sublet Contractor shall obtain permission for the Engineer/PM FWO to carry out such
inspection and testing in those workshops or places. Expenses of which shall be borne by the sublet
contractor. Such inspection or testing shall not release the Sublet Contractor from any obligation under
the Sublet Contract. All required tests incl SPD & PIT will be carried out by Sublet Contractor on his
expences.

23 Cost of Samples All samples shall be supplied by the Sublet Contractor at his own cost to the client if
required. The cost of making any test required by Sponsor/FWO shall be borne by the Sublet Contractor.

24 Wastage Rejected materials shall be the property of sublet contractor and shall be disposed off at his
own expense as directed by representative of FWO.
25 Site Clearance. The sublet contractor shall clear all debris and surplus materials from site and leave the
site clear and tidy after completion of work.

26 Liquidated Damages If Sublet Contractor fails to complete the whole of work or works as per
schedule provided by him other than default to FWO, the Sublet Contractor shall be liable to liquidated
damages for delay at the rate of .01% per day upto 10% of the amount of contract.

27 Advance Liquidated Damages If the work is not progressing according to work programme for three
(3) consecutive months, FWO may either impose advance liquidated damages or proceed for cancellation
of Sublet Contract.
28 Suspension The Sublet Contractor shall on the instructions of the Project Manager (PM) FWO,
suspend the work or any part thereof till such time and in such manner as the PM may consider necessary
and shall during such suspension, poperly protect and secure the works or such part thereof so far as is
necessary in the opinion of the PM Extension of time will be granted for suspended period.

29 Idling Charges. No idling charges or compensation will be paid to the sublet contractor due to any
delay in availability of site, suspension of work or any other aspect affecating the progress of work.

30 Determination of the Sublet Contract. FWO can determine the Sublet Contract in case the Sponsor
deletes the subject work from the Sponsor Contract. The Sublet Contractor will have no claim whatsoever
except the work executed .

31 Cancellation of Sublet Contract . If Sublet Contractor defaults or fails to complete the works, or his
performance remains unsatisfactory the Sublet Contract will be cancelled and the leftover works will be
completed at the risk & cost of Sublet Contractor and extra cost thereof will be deducted from dues of
Sublet Contractor.
32 Extension of Time for Completion . Extension of Time may be granted by FWO if the same is allowed
by the Sponsor.

33 Variations and Alterations . In case of variation in the quantities, the limit of variation will be Twenty
Percent (20%) and sublet rates will be applied. In case of addition of new items, the items rates will be
negotiated and applied after approval of HQ FWO

34 Taking Over Certificate . The Sublet Contractor will be responsible for handing over of his portion of
work to the Sponsor.

35 Defect Liability Period . Defect Liability period will be one year from taking over the work.

36 Mode of Payment/Rate of Work . The payment will be made on measurement basis as per item rates as
under:-
Running payment will be made on monthly basis at the rates in Sch F/BOQ quoted by the contractor
duly measured/checked by FWO site Engineer and vetted/approved by Consultant/Sponsor.

37 Mobilization Advance:
a. An interest –free Mobilization Advance upto 10% of the Contract Price of provided in Sponsor CA
and paid by the Sponsor less provisional sum may be paid by FWO to the Sublet Contractor on
submission of Bank Guarantee acceptable to FWO.
b. Recovery of Mobilization Advance shall be made proportionally from each IPC. Full recovery shall
be made two months prior to completion time.

38 Retention Money: Retention Money will be 5% of the work done and will be deducted from
IPC/RAR of the sublet contractors, 2% retention money will be retained in the final bill and will be
release after completion of one year maintenance period satisfactorily.

39 Income Tax Deduction . Deduction of income tax will be affected in accordance with the
prevailing government rules and the laws on the subject from each payment.

40 Escalation Claims: Escalation may be paid to the sublet contractor, if paid by the sponsor, on the
amount of work done by Sublet Contractor based on sublet rates except on stores issued under Sch
‘B’ Basic rates of materials will be taken from the date of finalization of Board Proceedings for
fixation of sublet rates

41 Royalties Except where otherwise stated, the Sublet Contactor shall pay all transportation and
other royalties, rent and other payments or compensation, if any for getting stone, sand gravel clay or
other materials required for the works

42 Language (s) and Law

a. The Sublet Contract Documents, shall be drawn up in the English language.

b. The Sublet Contract shall be subject to the Laws of Islamic Republic of Pakistan.

43 Settlement of Disputes: It is agreed that in case of dispute whatsoever, DG FWO will be the
deciding authority for settlement. The decision of DG FWO shall be final/conclusive and will be
binding on both parties.
