IMPORTER AND DISTRIBUTION AGREEMENT

AGREEMENT made as of the 2021/02/25, by and between, having its business address at
TONYIN INDUSTRIAL CO., LTD, 23/I, Tianzhi Int'l Mansion, Free Trade Zone, Qingdao,
China (here referred to as SUPPLIER) and K.B.T ECO TECHNOLOGIES PTY (LTD), having its
principal place of business at BOTSWANA, JWANENG, UNIT 4- PLOT 2393 (here referred as
IMPORTER AND DISTRIBUTER).

WHEREAS

A. SUPPLIER is the producer of certain products as the BRAND name Tonyin.

B. IMPORTER AND DISTRIBUTER desire to secure from SUPPLIER, and SUPPLIER is
willing to grant to IMPORTER AND DISTRIBUTER, the exclusive right to sell and
distribute SUPPLIER products in the territory (BOTSWANA).

NOW THEREFORE, it is mutually agreed as follows;

1. SUPPLIER hereby appoints IMPORTER AND DISTRIBUTER as its sole and exclusive
distributer for the term of this agreement for the sale and distribution of the
products in and through out the territory (BOTSWANA). IMPORTER AND
DISTRIBUTER will maintain or cause to be maintained a sales staff for the distribution
of the products, and IMPORTER AND DISTRIBUTER shell use its best efforts to
promote the sale and distribution of SUPPLIER products.
2. SUPPLIER will not ship the products, or any other products, bearing the similar
trademark, signature, or identification anywhere on the package to the territory
(BOTSWANA). Except under the order or by the direction of the IMPORTER AND
DISTRIBUTER.
3. SUPPLIER will refer to IMPORTER AND DISTRIBUTER any and all orders or inquiries
for the products that it may receive for shipment to the territory (BOTSWANA) or
orders, which are intended for eventual shipment to the territory.
4. SUPPLIER will fill promptly and to the best of its ability all orders for the products
received from IMPORTER AND DISTRIBUTER.
5. SUPPLIER warrants, represents and agrees that all shipments of the products sold or
shipped shall be of first quality.
6. SUPPLIER will upon demand promptly execute such documents and perform such
acts as may be necessary so as to prevent any products labeled in imitation or
simulation of the products from being distributed in the territory (BOTSWANA).

7. SUPPLIER after seeking the growth of its products in the territory (BOTSWANA) may
need some advertisement to enhance the sale of its products, with the mutual
understanding with the IMPORTER AND DISTRIBUTER.
8. IMPORTER must do their best to promote TONYIN brand in the territory
(BOTSWANA) and place orders regularly. Once time purchase amount is not less than
10,000USD.
9. This agreement is the entire agreement between the parties, cannot be changed
orally.
10. The termination of this agreement will be on mutually understanding of the both
parties.
11. This contract enters for an indefinite period and enters into force on the 2021/03/1,
and shall remain in force 2021/3/1 until 2022/3/1.
12. The parties may agree annually on the sales targets for the forthcoming year.
13. This contract shall be terminated by either party by automatically renewed for notice
given in writing by successive periods of one means of communication year, unless
terminated by ensuring evidence and date of either party by notice given receipt
(e.g. registered mail in writing by means of with return receipt, special
communication ensuring courier, telex), not less than evidence and date of receipt 4
months in advance.

IN WITNESS WHEREOF, the parties hereto have caused this agreement to be executed as
of the day and year first above written.
