TERMS & CONDITIONS

1: Terms of Agreement:
This agreement shall be made effective for a limited period of one year. This contract may be
terminated either of the parties, by giving ONE-month prior notice.
 
2: Replacement:
i. If an employee who has been referred by VENDOR leaves CLIENT whether on his/her
own accord or termination of employee’s services by CLIENT within 90 days of its
joining, VENDOR shall provide a suitable replacement as per the original specifications
provided by the CLIENT for the same position within 30 days from the day exit
information shared. If VENDOR fails to provide suitable replacement within timeline, the
amount paid for the resource will be fully refunded.
ii.  Onetime Free Replacement of Candidate, if the Candidate selected leaves the job
within the "replacement period". In case Manav Management Group fails to provide
replacement within the replacement period as mentioned in the agreement, Manav
Management Group shall refund the amount.

3: Duplicity: Any resume sent to CLIENT being a duplicate or being previously held by CLIENT
from any other source should be brought to VENDOR’S notice in writing within 5 working days
of submission of resume.
 
4: Payment Terms: The CLIENT shall pay to the VENDOR 8.33% of fixed annual CTC. This CTC
doesn’t include any kind of the bonus and variable or Incentive pay to candidate. This fees will
apply to all positions.
 
5: Payment Time: The VENDOR shall raise the invoice for fees after candidate joining for the
services rendered under this Agreement (invoice) after its PROSPECTs has joined the CLIENT,
which will be cleared after 60 days from the date of raising the invoices.
 
6: Vendor will not share any of the shared profile with its any other client until unless candidate
is rejected. Vendor agrees not poach any of our employee till the one year from the date of
expiry of this agreement
