Subject: Collaboration Agreement between Educom Online and Mad About Sports

Dear Team Educomp,

This Collaboration Agreement (the “Agreement”) is entered into as of [Date] (the “Effective
Date”), by and between Educom Online, a company registered under the laws of [Country],
having its principal place of business at Kolkata (the “First Party”) and Mad About Sports, a
company registered under the laws of India, having its principal place of business at Gurgaon
(the “Second Party”), collectively referred to as the “Parties.”

WHEREAS, the First Party is engaged in the business of providing educational and skill
development services to underprivileged youth to help them achieve their career goals;

WHEREAS, the Second Party is engaged in the business of providing sports-related services
and products;

WHEREAS, the Parties desire to collaborate for the mutual benefit of both parties and to create
synergies in their respective business operations;

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein,
and other good and valuable consideration, the receipt and sufficiency of which are hereby
acknowledged, the Parties agree as follows:

Collaboration Scope and Responsibilities

1.1 The First Party shall be responsible for marketing, calling, and closing sales for the products
and services offered by the Second Party, as well as organizing workshops, seminars, and live
interactive sessions with experts to promote the Second Party’s products and services.

1.2 The Second Party shall provide the necessary support and resources, including but not
limited to, sports-related products, services, and expertise, to ensure the success of the
collaboration.
Revenue Sharing and Payment Terms
2.1 The Parties agree to the following revenue sharing structure for the sale of products and
services:

2.2 The Second Party shall collect all payments in its designated account, and the First Party's
share of the revenue shall be disbursed on a weekly basis.

Term and Termination

3.1 This Agreement shall commence on the Effective Date and continue until terminated by
either Party with a written notice of at least thirty (30) days.

Representations and Warranties

4.1 Both Parties represent and warrant that they have the necessary experience, expertise, and
resources to fulfill their respective obligations under this Agreement.

4.2 Both Parties shall not make any false promises or representations regarding each other's
products and services.

Governing Law and Dispute Resolution

5.1 This Agreement shall be governed by the laws of [Country]. Any disputes arising out of or in
connection with this Agreement shall be resolved amicably through negotiations, failing which,
the dispute shall be referred to and finally resolved by arbitration in accordance with the rules of
India.

IN WITNESS WHEREOF, the Parties have executed this Agreement as of the date first above
written.
