Partnership Agreement

The partnership Agreement, hereinafter referred to as “Agreement.” is entered into and

made effective as of the date set forth at the end of this document by and between the
following parties:

SHINICHI CO.,LTD. who will hereinafter be referred to as “Supplier” having a primary

address Toranomon MK Bldg. 4F, 5-11-11 Toranomon, Minato-ku, Tokyo, 105-0001,
Japan and, ___________, who hereinafter be referred to as “Partner”, having a primary
address at the following : ______________
SHINICHI CO.,LTD. and the partner named above may be referred to in this Agreement
individually as “Party” or collectively as “Parties.”

WHEREAS :

1. SHINICHI CO.,LTD. is a company active in trading raw and manufactured materials.

2. Both parties agree to accept such appointment and perform such Services in the describe
herein, under the terms and conditions in this Agreement.

NOW, THEREFORE, the Parties hereby agree as follows:

Article 1 : DURATION AND TERM

The partnership shall begin performing the Service for the Principal January 01,2023 as
“Start Date”. The partnership will continue performing Services for the Principal until
December 31,2023 “End Date”. The Agreement with automatically renew for terms of the
exact duration of the first term until terminated by either of the Parties as described
elsewhere in this Agreement.

Article 2 : FORCE MAJEURE

Neither the Company nor the Buyer shall be responsible for delay in dispatch or delivery of
the Services occasioned by any Act of God, action by any government, strike (including
dock and/or shipping strikes), riots, civil war, lockout, combination of workmen, breakdown
of machinery, power failure or fire, and other acts which may be due to unforeseen
circumstances.
Article 3 : MARKETING AND USE OF NAME

Both parties shall not use the other party’s Company’s trademark, service marks, logos,
and/or branding in external publicity material without the express and prior written consent
of the Company.

Article 4 : DATA PROTECTION

Each Party shall comply with their respective obligations under the applicable data
protection laws to the extent in connection with the Agreement as well as with the Services
Party stores, processes, and transfers any personal data to which data protection laws apply
(hereafter: ”Personal Data”). In relation to the Company and/or any Group Company or
third-party Personal Data which is processed by any Parties as part of the Services, the Party
will (i) process such Personal Data only in accordance with lawful and reasonable
instructions of the Company; and (ii) in compliance with mandatory law security
obligations applicable to the data processor.
