Establish Investment Cooperation to Accelerate the Construction of


Trans Sumatera and Java Toll Roads

Jakarta, 14 April 2022 – The Indonesia Investment Authority (INA), PT Hutama Karya (Persero)
(Hutama Karya), and PT Waskita Karya (Persero) Tbk (Waskita) announced an investment
collaboration to accelerate the development of toll roads in Indonesia.

This collaboration was marked by the signing of the Heads of Agreement (HOA) between INA
and Hutama Karya for several sections of the Trans Sumatera Toll Road, including the Bakauheni
– Terbanggi Besar Toll Road, Terbanggi Besar – Pematang Panggang – Kayu Agung Toll Road,
and Medan – Binjai, as well as Confirmation of Transaction Commencement (CTC) between INA
and Waskita subsidiary, PT Waskita Toll Road for several Trans Java Toll Road sections including
Kanci – Pejagan and Pejagan – Pemalang Toll Road sections, today (14/4) at the Ministry of
Finance Office.

The President of the Republic of Indonesia Joko Widodo witnessed the signing ceremony,
accompanied by Coordinating Minister for Maritime Affairs and Investment Luhut Pandjaitan,
Minister of Finance Sri Mulyani, Minister of Public Works and Public Housing Basuki Hadimuljono,
Minister of State-Owned Enterprises Erick Thohir, and Minister of Investment Bahlil Lahadalia.
The signing was carried out by INA's Chief Executive Officer (CEO) Ridha Wirakusumah, Hutama
Karya President Director Budi Harto, PT Waskita Karya President Director Destiawan
Soewardjono, and Waskita Toll Road President Director Septiawan Andri Purwanto.

CEO of INA, Ridha Wirakusumah, stated, “In line with INA's mission to contribute to sustainable
economic development in Indonesia, investment in accelerating the construction and
development of toll roads, particularly Trans Sumatera and Trans Java, will create a multiplier
effect on economic growth and optimize economic potential in Indonesia, the islands of Sumatera
and Java.

"In addition, this investment demonstrates a positive signal for the investment climate in
Indonesia, especially interest in the Indonesian toll road infrastructure sector. We will continue to
pursue investment in sectors that drive Indonesia's economic growth and have a positive impact
on sustainable development," added Ridha.

Meanwhile, the President Director of Hutama Karya, Budi Harto, expressed his optimism.
"Investments from INA are a new source of financing, complementing State Capital Participation
(PMN) funds and loans, which help us accelerate the completion of the construction of the Trans
Sumatera Toll Road (JTTS) sections, and contribute to accelerating the construction of other
JTTS sections," said Budi Harto.

"Hutama Karya, as a BUMN that is currently carrying out the Government's assignment to build
a 2,800 km JTTS starting from Lampung Province to Aceh, will continue to complete all stages,
starting from funding, planning, construction, operation and maintenance, so that the acceleration
of JTTS completion can run smoothly and can be completed according to the target," explained
Budi Harto.

On the same occasion, Waskita Karya's President Director, Destiawan Soewardjono, said that
the investment cooperation with INA was a follow-up to the Heads of Agreement signed on
February 21, 2022. "INA's investment will support the company's commitment to complete the
construction of toll roads, especially national strategic projects set by the Government.

"This is in line with Waskita's business strategy in strengthening working capital, so that financial
and operational performance in the future will be more stable and strengthen the sustainability of
the Company. This is our commitment to ensure that in the next five years, the projects
undertaken by Waskita can run well," added Destiawan.

In accordance with its mandate, INA plays a role in attracting domestic and international
investment (foreign direct investment) as an alternative to non-debt financing, which is used to
build sustainable infrastructure in Indonesia, including the development of toll road infrastructure.

Last year, INA signed a Memorandum of Understanding (MOU) to establish an investment


platform with a commitment of up to US$3.75 billion for investment in the toll road sector with
global strategic partners, including with the Abu Dhabi Investment Authority (ADIA), APG Asset
Management (APG), and the Caisse de dépôtet placement du Québec (CDPQ).

About the Trans Sumatera Toll Road (JTTS)


JTTS is a toll road that will connect Lampung Province to Aceh, consisting of 24 roads along ± 2,813 km.
To date, the total length of toll roads that have been operated by PT Hutama Karya is 542.8 km, namely
the Bakauheni – Terbanggi Besar Toll Road (141 km), Terbanggi Besar Toll Road – Pematang Panggang
– Kayu Agung (189 km), Palembang – Indralaya (22 km), Medan – Binjai Toll Road (17 km), Pekanbaru –
Dumai Toll Road (132 km), Sigli – Banda Aceh Toll Road section 3 Jantho – Indrapuri (16 km) and section
4 Indrapuri – Blang Bintang (14 km), and the 11.8 km Binjai – Langsa Toll Road section 1 Binjai – Stabat.

The total length of toll roads under construction is 519 km, including the Sigli – Banda Aceh Toll Road (44
km), Kisaran – Indrapura Toll Road (48 km), Kuala Tanjung – Tebing Tinggi – Parapat Toll Road (143 km),
Sp. Indralaya – Muara Enim Toll Road (121 km), Padang – Sicincin Toll Road (37 km), Pekanbaru –
Pangkalan Toll Road (64 km), Bengkulu – Taba Penanjung Toll Road (18 km) and Stabat – Pangkalan
Brandan Toll Road (44 km).

About the Trans Java Toll Road


The Trans Java Toll Road is a toll road that connects the Provinces of Central Java and East Java through
five (5) toll roads with a length of 213.74 km. Until now, the Trans Java toll roads owned by WTR and are
fully operational are Kanci - Pejagan (35 km), Pejagan - Pemalang (57.5 km) and Pemalang - Batang (39.2
km) toll roads with a total length of up to 131.7 km.

Meanwhile, the Trans Java toll roads that are still under construction are the Krian - Legundi - Bunder -
Manyar Toll Road (38.29 km) and the Pasuruan - Probolinggo Toll Road (43.75 km) with a total length of
82.04 km. The five toll roads are managed by WTR's Toll Road Business Entities (BUJT), namely PT
Semesta Marga Raya (SMR), PT Pejagan Pemalang Toll Road (PPTR), PT Pemalang Batang Tol Road
(PBTR), PT Waskita Bumi Wira (WBW), and PT Transjawa Paspro Toll Road (TPJT). Meanwhile, SMR,
PPTR, and TPJT are part of PT Waskita Transjawa Toll Road which was acquired by WTR in 2015.
