CONSTITUTION OF MTUKULA BUSINESS CLUB

Article 1 –Name

The club’s official name will be ‘MTUKULA BUSINESS CLUB’, and may be referred to as ‘MTUKULA
Club’. No other name will be used in the advertisement or representation of the club.

Article 2 –Club Mandate

The club’s mandate will be as follows:

1. Vision: To create an entrepreneurial community amongst small scale business owners for
improved business knowledge, Skills, Abilities and competences

2. Mission: The MTUKULA CLUB exist to provide exciting and unique opportunities for small
scale business groups acceleration

3. Strategy: The MTUKULA Club will hold unconventional entrepreneurship events such as
seminars, workshops, and coaching sessions that are tailored to entrepreneurial seeking
individuals including the youth, which will result into unique and memorable life learning
experience.

4. Approach: The MTUKULA Club will strive to bring together members from diverse
backgrounds, and to unite them under the common objective of engaging in progressive
entrepreneurship for improved livelihood.

Article 3 –Membership

1. The club membership is open to all small scale business persons regardless of gender, place
of origin and or religious affiliation.

2. Academics, researchers and practitioners in the field of small scale business development
growth, and management..

3. Each members shall be required to pay a membership fee of MK5,000.00 per annum payable
at the beginning of the year.

4. Any member with membership fees arrear do not have voting rights.

5. Executive members, voting and non-voting, shall be practitioners, researcher, small scale
business persons; and

6. Each club member shall abide by the conflict of interest provision written in the Clubs Policy.

Article 4. Executive Responsibilities

There shall be an Executive Committee.

(1) There will not be less five (5) Executive Members at any one time that fulfil the following

a. The Chairman
i. Oversee the other members of the executive in fulfilling their responsibilities
ii. Chair all meetings
iii. Have signing authority for the club, and;
iv. If absent, assign an executive with all the responsibilities of the Chairman
v. Have overall authority over the club direction of activities

b. The General Secretary


i. Record votes and minutes of all meetings
ii. Give or cause to given notes of all meetings; and
iii. Implement strategies of the Club

c. The Treasure
i. Oversee all financial dealings of the club;
ii. Keep complete records of all financial dealings of the club; and
iii. Have signing authority for the club
iv. Advise on all matters relating to finance

d. The Organising Secretary


i. Organise clubs programs, activities and events in accordance with its
constitution’s mandate;
ii. Have a signing authority for the club;
iii. Be responsible for events including fund raising
iv. Promote resource mobilization activities of the club

Article 5. –Meetings

(1) The club’s quorum for meetings shall be thirty percent (30%) of the total executive
membership
(2) At least 4 strategic meeting shall be held during each year, and 1 annual general meeting
on date(s) to be advised by the Executive Committee
(3) At least one general meeting will be held at an agreed time, for which the sole purpose
shall be to review The Mtukula Clubs progress, and discuss long term goals and
objectives for the club.

Article 6. -Elections

(1) Elections shall be held out in accordance with the executive elections provisions in Clubs
Policy: General Club Procedures

(2) A successful candidate in a club Executive elections will be declared by a simple majority

Article 7. –Amendments

(1) Any amendment to this constitution must be made in accordance with the constitution
amendment provision in the clubs policy. General procedures

(2) Any proposed amendments will be emailed to the club’s membership at least one month
before they are to be discussed at a general meeting.

Article 8. –Membership Removal

(1) Clubs members may only be removed from the membership in accordance with the member
removal provisions of Clubs Policy; General Club procedures

Article 9 –Refund Policy

(1) Membership fee refunds shall be given in accordance with the membership free refund
provision of the clubs policy; General Club procedures.

Article 10. –Conflict Resolution

(1) A club member may only seek assistance or guidance from the Club’s Chairman after the
member has been unable to resolve an issue with the executive members.

Article 11. –Agency Clause

(1) The MTUKULA Club is not an agent of any organization and its views and actions do not
represent those of any organization but rather those related to entrepreneurial behaviour
best practice for improved livelihood

(2) The MTUKULA Club ordinary members are not permitted to sign contracts on behalf of any
organization.

Article 12. –Committees

(1) Social Committee


a. The mandate of the social committee shall be to develop ideas for resource
mobilization, fun and social events that increases interaction with the community
amongst members. And to assist in the execution of such events;

b. The social committee shall be composed of


i. The Organising Secretary
ii. One Subcommittee member

(2) Financial Planning Committee


a. The mandate of the Financial Committee shall be to evaluate current financial
practices, and collect members input on operating priorities

b. The financial Committee shall be composed of


i. The Treasure as the Chairperson
ii. Three members of the subcommittee
