GENERAL CONDITIONS OF SALE

General:
1. Any offer made by the Supplier to the Customer is valid for a period of one month unless otherwise stated.

2. Relevant prices of the Supplier for its products are those listed in the price list in force at the place and date of delivery unless otherwise stated.

3. Delivery under the instrument shall be sufficient and the Supplier shall be deemed to have made a due delivery whenever the delivery note is signed by any
member of the Customer's staff.

4. All products are sold ex-works unless otherwise stated should the Supplier undertake to deliver the goods to the Customer’s site, such location should have
convenient vehicle access.

5. The Customer will be responsible for the return of cylinders and for equipment to the Supplier's site, unless otherwise stated. The Customer should ensure
that he obtains signed acceptance from one of the Supplier's authorized people when returning the equipment.

6. Resale of gases supplied by the Supplier is prohibited. The gas cylinders and or any equipment made available by the Supplier remains the property of the
Supplier. These items cannot be the subject of any contract between the Customer and a Third Party.

The Customer grants the Supplier a right to check the quantities of cylinders and or equipment held by the Customer at the Customer's premises or at any
other location in order to confirm the correctness of the records.

7. Should a cylinder or any other equipment held by the Customer be retained for a period of more than 3 months, the Supplier reserves th^s right to :mpose a
charge corresponding to the value of such cylinder or such equipment as determined by the Supplier.

Delivery:
1. Any time or date ortype of equipment for storage of gas or liquid named by the Supplier for delivery is given and intended as an estimate only and the Supplier
shall not be liable for the consequences of delay in the production, delivery or commissioning of any of the equipment for any cause whatsoever

If any such delays occurs then the Supplier’s period for performing its obligations shall be extended by such period as the Supplier may reasonably require
to complete the performance of its obligations.

2. In any case, the goods and materials of the Supplier are delivered at the risk of the Customer. No complaint will be accepted if not justified at the time of
delivery and confirmed in writing at such time.

Conditions of Use:
1. It is expressly forbidden to grease the valves, connectors, regulators and all other equipments in contact with the gas.

2. Prior to any utilization, the Customer should learn the safety measures appropriate to each product. The Supplier shall not under any circumstances
whatsoever be liable for any loss, injury or damages, or for any consequences of such loss, injury or damage arising out of any cause whatsoever due to its
products, equipment or cylinders or any loss of the use of the same, or any malfunctioning of or defect in or failure of any of the product or equipment or
cylinders.

3. The equipment made available by the Supplier to the Customer shall not in any way be refilled by the Customer or any other Third Party.

Quantities:
1. The quantities of product sold will be measured by the Supplier according to the Supplier's procedures.

When delivered in liquid form, the quantity of product delivered will be either determined by weight or according to the gauge of the delivery (vehicle.

2. In any and all cases the Supplier's measurements will be valid and no claim whatsoever for loss of goods, shortage of delivery or for whatsoever will be
accepted unless made in writing to the Supplier within 24 hours of the time of delivery and no claim shall be accepted for product paid on time of delivery.
Acceptances of the delivery note will mean the acceptance of the quantities mentioned.

Conditions of payment:
1. Each invoice for any item shall be paid in full by Customer within 30 days of the date of the delivery. Payment shall be made in cash or by cheque or a bank
transfer. The payment will be deemed to have been made only when the monies are remitted to the Supplier directly or at the Supplier's Bank/jiccount.

2. No credit will be given for gas returned unused.

3. No credit will be given for cylinders returned not belonging to the Supplier.

4. If the Customer shall fail to pay the Supplier on lue time, any sum psyattte'or if a receiver of the (lustomer’s business is appointed or if any resolution or

1. The risks in the purchased product or equipment shall pass to the Customer on delivery of the equipment.

2. The Customer declares that the gases Supplied by the Supplier are suitable for the use they are intended to and that the gases will be used under Customer's
sole responsibility. The Supplier Shall not be liable for and the Customer shall indemnify and hold the Supplier harmless against any claim or loss of damage
to any person or property directly or indirectly occasioned by or arising from the use or operation or possession to the gas or any of the equipment and from
negligence or default or misuse by the Customer or any person or persons other than the Supplier.

Please be informed that effective February we are changing our weekend to Sunday in-line with the UAE’s Government
recent announcement. Our order receiving and delivery schedule will be changed as per the below:

- Our Order Receiving Time is between 8:00 AM- 04:00 PM from Monday to Saturday.

C02 partial discharge test carried out due to which the cylinders get empty. Therefore empty cylinders need to be
refilled and if required hydro testing has to be performed prior to refilling, 13pcs C02 main cylinders and 07pcs pilot
cylinders under DEWA common order for refilling, cylinders are available in GTK-53 hall.
