DEED OF EXTRAJUDICIAL SETTLEMENT

WITH SIMULTANEOUS ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This instrument is made and executed by the HEIRS OF PACIFICO

CASTILLO, namely;

1. VENUS C. MIRANDA, married to ____________________;

2. HERCULES LEE CASTILLO, married to _________________;

both Filipinos, of legal age, and residents of Lino Chatto Drive, Cogon
District, Tagbilaran City, Bohol hereinafter called as the HEIRS.

WITNESSETH:

WHEREAS, the above-named persons are the only surviving heirs of the
late PACIFICO CASTILLO who died intestate and without debt on
____________________ at Tagbilaran City, Bohol;
WHEREAS, the late PACIFICO CASTILLO was the registered owner of Shares
of Stocks with the FIRST CONSOLIDATED BANK, INC. (FCB);
WHEREAS, the Stock Certificate Numbers are 3969, 0657, 5132, 4331, 3526,
and 2327 with a total of ONE HUNDRED TWELVE (112) shares;
WHEREAS, the heirs of the late PACIFICO CASTILLO decided to sell the said
FCB shares of stock;
WHEREAS, HERCULES LEE CASTILLO has been designated as the
representative to claim, endorse, and sell the Stock Certificates, as well as
receive or encash the payment of the sale;
WHEREAS, a true copy of this Deed has been published once a week for
three consecutive weeks in _________________________, a newspaper of general
circulation in the Province of Bohol;

NOW WHEREFORE, in consideration of the foregoing premises and invoking

the provisions of Sec. 1, Rule 74 of the Rules of Court of the Philippines, it is to the
best interest, convenience, and advantage of the above-named HEIRS that
said shares of stocks be settled and adjudicated by and among themselves, in
equal shares.

WITNESSETH FURTHER:

That for and in consideration of the sum of ONE HUNDRED TWENTY THREE
THOUSAND TWO HUNDRED PESOS (Php 123,200.00), the receipt whereof is
hereby acknowledged in full sum from Vendee EMPRECARIU, INC., a
corporation duly organized and existing under and by virtue of the laws of the
Republic of the Philippines and with principal office address at Mandaue City,
Philippines, we do hereby SELL, CEDE, TRANSFER, and CONVEY, in a manner
absolute and irrevocable, unto said vendee, FCB Stock Certificate Nos. 3969,
0657, 5132, 4331, 3526, and 2327 with a total of 112 shares, and the cash and
stock dividends which may have accrued and shall henceforth accrue
herefrom and all stockholder’s rights and privileges appurtenant thereto;

That we hereby warrant our valid title to and peaceful possession of the
above-described FCB’s Shares of Stock herein sold and conveyed, and further

declare that the same is free and clear from any and all liens and
encumbrances whatsoever;
