With Reference to your Final offer and subsequent discussions with you, we are pleased to release this order superseding all previous communications
(written/verbal), negotiations and orders, against the detailed specifications along with terms & conditions mentioned in this order:

TERMS & CONDITIONS:


1) Scope of Works: The specifications and scope of work as enumerated in BOQ / quotation forms the part of this
ORDER. Any conditions / specifications mentioned in Awardee’s said quotation which is at variance from the
condition from the condition / specification mentioned in this ORDER, the terms, conditions and specifications
mentioned in this ORDER shall take precedence.

Time shall be considered as critically important to this Contract and the Awardee hereby agrees to commence the
Work on signing of contract or site readiness or receipt of advance whichever is later and to complete the Work
during the Contract Period. Notwithstanding the above the Awardee shall improve on the implementation period and
make every effort to complete the Project ahead of schedule. The Awardee shall not make any claim against the
temporary stoppage of work, due to unavoidable reason beyond Client’s control, Work front availability etc. .

Work including: -

Awardee shall be responsible for design, supply, fabrication,erection, installation, testing & commissioning with
necessary civil foundation and standby power back up & Five Year Operation and Maintenance Contract.
The cost shall be inclusive of labour and material including wastage, tools and plants, setting equipments and
transport, hoisting, setting, fitting and fixing in position complete in all respect, preparation of drawings etc., for the full
execution and completion of work.
Awardee shall be responsible for complete assembly of all spare & main parts of entire Tower Parking system.

Awardee shall be held responsible for any non-functioning of Tower Parking system parts/ accessories, with
necessary repair & replacement (if required) within the warranty period.
Awardee shall be responsible for a free maintenance period of 24 months from the date of handing over of the Tower
Parkings to Client on prorate basis.
Scaffolding will be arranged & erected by Awardee.
Awardee shall deploy, for full time, a technically qualified experienced person.
Awardee shall make all necessary arrangement following safety regulations.
Awardee shall temporarily close all the openings of all shafts with required material at the time of installation of Tower
Parkings.
Awardee shall provide us GFC (Good For Construction) drawings, As Built Drawings
The system shall be designed to accommodate 30% SUV’s Four-Wheeler and 70% Sedan cars
Awardee shall provide all software and hardware required for automation and commissioning the Tower Car Parking
system
Awardee will provide insurane for the system and vehicle till handover and during AMC period

Work excluding (Client Scope): -


Water and electricity will be provided by client free of cost.
Appropriate storage space will be given by client; Awardee has to take the care for security and safety of the material
till the complete execution of the installation of the Tower Parking.
Shaft painting will be provided by client.
Any civil work will be done by client.
All statutory permissions for starting / executing, completing and handing over the works from various authorities
shall be obtained by the Awardee. While Awardee will coordinate for inspections required as per statutory
requirements as applicable on the date of this Contract, any fees, charges, pertinent license inspectorates and
incidental charges for getting work certified and alternative expenses will be to the Client’s account. Tentative Costing
for such expenses needs to be recorded prior to expenditure.

2) The awardee shall install brand new equipment and the same shall be free from all defects and faults in material,
workmanship, and manufacture and shall be of the highest grade and consistent with the established and generally
accepted standards for materials of the type ordered and shall perform in full conformity with the specifications and
drawings. The Awardee shall be responsible for execution of work without any defects that may develop under the
conditions provided by the Awardee and under use, arising from faulty materials, design or workmanship such as
corrosion of the equipment, inadequate contact protection, deficiencies in circuit design and or otherwise and shall
rectify if any defects occur at his own cost when called upon to do so by the Client.

3) All labor, materials, tools plants, machinery, equipment, and any other things required for execution for work shall be
arranged by the Awardee at his own cost.

4) All arrangements for establishment, watch & ward of stores and security of sites, appropriate vehicles for
transportation etc. shall have to be made by the Awardee at his own cost and nothing extra on this account shall be
paid.

5) Testing and Commissioning shall include furnishing all labor, materials, instruments etc. and incidentals necessary for
complete testing of each component as per the IS / NBC specifications and manufacturer‟s recommendations.

6) On the completion of the work, the Awardee shall clear away and remove from the site all construction plants,
temporary works, surplus material and rubbish of every kind and leave the site and works clean to the satisfaction of
the Engineer-in- charge.

7) In view of the site location and their prevailing condition, it is mandatory on the Awardee to visit the site and make
himself thoroughly familiar with the site conditions, access and account for all possible difficulties and other
requirements mentioned elsewhere in his bid prior to submission. When a Awardee submits his bid for this work, it will

be considered that he has quoted for this work with full and complete knowledge of the site and prevailing conditions,
and no claim for additional compensation shall be entertained on this account.

herewith.agreed between both parties

10) Extension of time :


In case the physical progress of the work is delayed as compared to the time schedule referred to above due to force
majeure conditions, only then the extension of time is allowed with sole discretion of the client.
or due to delays owing to other agencies, the Awardee. The Client on satisfying himself that the reasons for delay are
really beyond the control of the Awardee may grant extension of time for the completion of work.

11) Time period/ Schedule : The work shall be completed as per the schedule given by us and as provided herewith.

The material shall be delivered adhering to a schedule as mutually agreed upon by both parties and as per appendix
given along-with this order.

Tower Parkings Installation: As per agreed schedule attached herewith

12) Withholding Payments: .Complete inspection and checking of the materials received by Awardee from various
places as per sourcing matrix, will be sole responsibility of Awardee. Material stored at the site until the complete
installation process shall be solely responsibility of Awardee. This contract is between Client & Awardee, hence it shall
be sole responsibility of Awardee for complete progress & Quality pertaining to its sub-Awardees and sub-vendors.

13) Material - Comprehensive Warranty: 24 Months after complete handover with PBG.

14) Order Value: The approximate value of work for the assigned is derived from the BOQ as per final offer, having
agreed and accepted amount as mentioned in Appendix-V (For design, Supply, Installation, testing and
commissioning - Including all transport and custom charges) The approximate value of work for the assigned is
based on the agreed and accepted rates & quantities included in appendix -I&V (Itemwise Schedule of Quantities &
Rates) of this order and BOQ and as agreed upon with the client jointly. This contract is enforceable and contructed
under the laws of the Republic of India . Any increase and decrease in the tax structure or new composition of any tax,
duty or levy etc; at any later date, by any state central government shall be applicable to be borne by client . Any
benefits that comes into force with the change or restructuring of the taxes needs to be passed on by the
vendor/Awardee. No escalation shall be entertained till the completion of the project. This Order Value is supported
by Payment Break-up as attached along-with this order.

15) Payment Terms: The following are the payment terms as discussed mutually and agreed upon :
● 2 % Advance with work order
● 8% Advance to start Work at site
● 10 % against drawing approval (DAP- MFG Drawing)
● 50% plus taxes against supply of material on delivery at pro rata basis
● 15% against installation on pro rata basis
● 15 % against handover

16) Mobilization Advance & Secured Advance - Not Applicable.

17) B.O.Q , Measurements and Drawing Approvals : The quantities indicated in appendix-1 shall be worked out by
detailed inspection of the site and the Tower Parking shaft area by Awardee. Awardee needs to submit a detailed
inventory list for all materials to be delivered at the time of the advance payment.
Layout Drawings approval from the client before execution shall be done by the Awardee (Awardee) after site visit
& actual measurement.
Approval and payments shall be made as per the actual quantity executed & measured for, at site for unless

mentioned in the work order only after approval of the client.
Awardee should visit the site and confirm the following:
a) Actual available sizes of all Tower Parking System shafts.
b) Available floor to floor height on all floors.
c) Available pit depth.
d) Available machine room size.
e) Available overhead size.
f) If Awardee does not check and confirm the said items( with the execution done at site) before signing the
work order, client will not be liable for any further expenses done by Awardee to match clients requirements.
Those expenses will be borne by the Awardee himself.
Any details and drawings with respect to the installation or layouts to be approved by the client are the
sole responsibility of Awardee.

18) handover valid for 24 months from the date of completion. Deduction for retention should not be done during RA bills

19) The Engineer shall have power to withhold certification if the works or any parts thereof are not being carried out to his
satisfaction

20) Arbitration:In the event of any dispute between Awardee and Client , both the parties shall nominate 1 (one)
arbitrator each with an umpire, whose nomination shall be mutually acceptable to both of us.
The arbitration proceedings shall be governed by the provisions of the Indian Arbitration and conciliation Act 1996 or
any re-enactments or statutory modifications thereof for the time being in force. The venue of the arbitration shall be
at Mumbai, India only.
This Work order shall be subject to the jurisdiction of the appropriate courts at Mumbai only.

21) Accepted Rates: The finalized price are inclusive of all direct and indirect cost required for executing the work
comprising of but not limited to material, wastage, transportation, loading & unloading, shifting to the location of work,
debris removal (waste likely to be generated during the work phase), housekeeping, labour, Travel Expenses,
Equipment & Machinery, Tools & Tackles, erection of scaffolding, Insurance, , Erection All Risk Insurance (EAR)
Policy , Workmen compensation policy, PF & ESIC, profit & overheads, supervision, rework, damages, all the
prevailing taxes & duties .Additionally its not limited to :
 To execute the work at all leads, Tower Parkings, heights & depths,
 To execute all types and nature of work irrespective of sizes and shapes.
 To mobilize at site sufficient workforce (˘skilled / semi-skilled/ unskilled)
 Any cost towards mobilization / demobilization,
 Cost towards deputing of one whole time representative to receive instructions for to control and guide the workforce
for better inputs.
 To execute the work with best workmanship to achieve desired quality of work.
 To execute work in extended hours (overtime), if needed, as per requirement of the project.
 To execute work in close co-ordination with other Awardees working at site.
 To provide hand tools to the respected category of workforce for their use of work and quality checking.
 To maintain hygenic condition at labour-camp (if provided)- by your workforce.
 To Pay to the workforce not lesser than Minimum wage/ Fair wage as applicable at the project site.
 For Safety, Safety PPE/ barrication and security,of his men and machinery at site,
 Awardee shall be fully responsible for any of the above mentioned compliance by any sub-Awardee employed by
them.

No claim for additional payment/ escalation beyond the agreed price shall be entertained for this contract period. If the
handover is delayed beyond agreed date of handover.

22) Taxes : The vendor shall pay all taxes promptly, and issue in favor of Company appropriate tax paid challan /
acknowledgments and other required compliance documents, that’s mandatory for releasing the tax amount of the
invoice. Additionally, TDS as per applicable rates shall be deducted from your bills.

The tax benefits or credits where ever applicable shall be passed on to the client and reconciliation statement to be
provided with ledger statement by your accounts department before payment of pre-final bill as required by our
accounts and taxation dept.

23) Extra Work / Item: Nil

24) Order Validity: The rates are firm and shall remain valid, fixed and firm for the entire duration of the contract until the
completion of the works to the satisfaction of Client’s Project-in-Charge. The rates are not subject to any change in
drawing, elevation, etc... The rate shall be valid for any variation decreased or increased scope of work .

25) Other commercial terms will be as follows:


The bills shall be raised (with Quantity applicable) upto date clearly showing Cumulative Value,previous raised,
Values of Current Bill raised. Follow-up for the verification of bills for quality and quantities shall be sole
responsibility of Awardee.

Site and Building Name/No. R.A.Bill No., WO No. and date should be mentioned clearly.

26) Performance Bank Guarantee : 


The Awardee shall submit Performance Bank Guarantee(PBG) equivalent to 5% of the Contract Value valid up to the
completion of Tower Parking installation. This guarantee shall be abiding to terms and conditions laid in a separate
document and mutually agreed by both the parties.
This PBG shall be irrevocable Bank Guarantee from a scheduled bank which will be held with the Client.

27) Delivery Period :


Awardee shall supply the materials in 4 months at Client site from the date of Clients acceptance of this proposal
and fulfilment of terms of payment, settlement of final technical specifications & finishes and approval of the layout
drawings, subject to the hoistway. As the container cannot come to site, the material needs to be segregated and
then come. Refer milestone chart attached in appendix-II for detailed programme of work.

28) Space for Storeroom/office will be given by Client. The Store-room / Office needs to be made or erected by Awardee

29) Erection :
Awardee shall complete the erection of the Tower Parking in 2.5 months from the date of receipt of materials at Client
site and the hoistway and the machine room completed in all respects, inclusive of the preparatory work along with
permanent power supply as described in appendix-III, are handed over to Awardee for their uninterrupted use.
Refer to milestone chart attached in Appendix- II for detailed programme of work.

* Any requirement of the Awardee apart from Appendix-III needs to be given 2 months in advance and scaffolding
needs to be given by the awardee for these works in advance of atleast 2 months.

* All Fabrication will be in scope of Awardee

30) Transfer of facility to client. The Awardee shall transfer the parking facility to Client, free and clear of any
encumbrances on completion of or termination of contract, whichever is earlier.

31) Secure System & after-sale services:


1. Quality services.
2. Regular examination as well as preventive maintenance of after-service to follow.
3. Perfectly secure system.
4. Training Period –Initial training for 3 months & after that whenever the staff changes the training will be provided to them
again with no extra cost.

32) Maintenance & Servicing :

* The offer includes routine maintenance (DLP) for 24 months during which period, Awardee will service every Tower

Parking System as per schedule and also attend any emergency breakdown calls 24 hours a day, on all the 365 days
of the year. The price quoted includes the said maintenance.

* Awardee has well trained, experienced and qualified service personnel who would render round the clock effective
service to its Tower Parking users. This offer of service is an exclusive value add service provided by Awardee Tower
Parking and special consideration should be given by Client for the same.

*The service provider shall observe any defect /malfunctioning in Equipment / hardware / software as a part of Facility
Management services and promptly generate a ticket in Help desk tool for the same for rectification of the defect / malfunction.
The service provider shall record nature of the defect together with all available evidence thereof, promptly following the
discovery thereof. Upon generating of such ticket, the selected Awardee shall expeditiously cause to repair the defective goods or
parts thereof or replace the defective goods or parts thereof with brand new genuine / authentic ones / Equipments / Parts /
software / patches / drivers having similar or higher specifications from the respective OEM, at no cost to the Purchaser. Any
goods repaired or replaced / software by the selected Awardee shall be delivered at the respective location without any additional
costs to the purchaser.

* If having been notified i.e. generation of ticket, the selected Awardee fails to remedy the defect within the period specified, the
purchaser may proceed to take remedial action as may be necessary and the cost of the same will be deducted from due payment
of selected Awardee.

* During the maintenance and support contract period, the Awardee shall be responsible to ensure adequate and timely
availability of spare parts needed for repairing the equipments / parts. The Awardee has to see the end of support / end of sale /
end of service dates being declared by respective OEM’s time to time and make necessary arrangements of spares for catering
maintenance needs of equipments / parts during entire contract period. In case, at the time of resolution of any compliant, the
equipment(s) / part(s) is found non-serviceable during contract period, the selected service provider shall be responsible for
replacing the non-serviceable equipment/ part with same / higher configuration equipment / part of the same make at no extra
cost to the purchaser.

33) Comprehensive Annual Maintenance Contract:


After the expiry of defects liability period of twelve (24) months from the date of successful commissioning and handing
over of the respective Tower Parking, Awardee shall make requisite arrangements by entering into comprehensive AMC
services as per the agreed rates for the items mentioned in the detailed scope.

34) Comprehensive Operation and Maintenance: The successful Awardee will be required to undertake Operation &
maintenance of the Parking System as per the following terms:
a) The Awardee shall at all times maintain, keep in good operating condition, repair, and renew, replace and
upgrade to the extent reasonably necessary, the equipment, systems, and facilities. All maintenance and
repair works shall be carried out in such a way as to minimize inconvenience to users of the Tower Parking
Systems.
b) Maintenance shall generally be allowed at non-peak hours only.
c) The complete Mechanized system shall have the provision of emergency evacuation of vehicles manually
also.
d) Awardee should maintain all the necessary INVENTORY of electro-mechanical parts of the system during
Comprehensive Operation and maintenance period and also provide a list parts prone to wear and tear
during regular operation to Client authorities at the time of handing over after two-year Comprehensive
Operation and maintenance.
e) During the Operation and Maintenance period, the successful Awardee shall replace the
damaged/defective/worn out parts at his own cost to ensure smooth functioning of Tower Parking
System.
f) The Awardee shall maintain a complaint register, duly paged, at site and shall make it available to the users
of the parking to note down the complaints. Client will have the right to check the complaint book as and
when required. The complaint register will be kept properly, and it shall be mentioned on the display

signboard about its availability.
g) Transfer of facility to Client. The Awardee shall transfer the parking facility to “Client, free and clear of any
encumbrances on completion of or termination of contract, whichever is earlier.
h) During the Comprehensive Operation and maintenance period prior to anticipate transfer of the Facility the
Awardee shall provide such training services to the representatives and employees of Engineer In Charge -
Client, or its nominated agency to operate and maintain the Facilities efficiently and safely following such
transfer.

35) Work Execution standard: All work must be executed by awardee under strict compliance of concerned latest edition
of BIS/ISI code of Practice for material and method of working and as per contract documents and client/ or any third
party authorized by the client instructions.Provided always all works are to be in proper line, level and finish. Improper
works will have to redone by Awardee at your own cost and no extension in time / progress will be acceptable for this
or any other reason.

36) COMPENSATION FOR DELAY


i. The time allowed for the carrying out the work, as entered in the tender form shall be strictly observed by
the Awardee and shall be deemed to be the essence of the contract and shall be reckoned from the date of
signing of the agreement. It is clarified that the need for issue of work order is dispensed with.
ii. The work shall throughout the stipulated period of contract be proceeded with all due diligence keeping in
view that time is the essence of the contract.sa
iii. The Awardee shall be bound to complete 1/8th of the whole work before 1/4th of the whole time allowed
under the contract has elapsed, 3/8th of the work before ½ of such time has elapsed and 3/4th of the work
before 3/4th of such time elapsed. In the event of the Awardee failing to comply with the above conditions,
the competent authority shall levy on the Awardee as compensation an amount equal to 1/25% of the value
of work per week.

iv. The total amount of compensation under the provision of the clause shall be limited to 5% of the quoted
value of work. The decision of the competent authority shall be final. The delay in departmental assistance
ingrained in the contract will be taken duly into account while recovering any compensation for the delay in
the scales prescribed above. Where the Competent authority decides that the Awardee is liable to pay
compensation for not giving proportionate progress under this clause and the compensation is
recommended during the intermediate period, such compensation shall be kept in deposit and shall be
refunded if the Awardee subsequently makes up the progress for the last time within the period of the
contract including extension granted if any.

37) EXTENSION OF TIME


i. If the Awardee desires an extension of time for completion of the work on the ground of his having been
unavoidably hindered in its execution or on any other grounds, he shall apply, in writing, to the Engineer-in-
charge, on account of which he desires such extension. Engineer-in- charge shall forward the aforesaid
application to the competent authority as prescribed.

ii. The competent authority may grant such extension at each such occasion within a period of 30 days of receipt
of application from Awardee and shall not wait for finality of work. If the work is delayed due to Awardee‟s
negligence or fault the extensions may be granted in accordance with provisions under section 2 ITB 17.

iii. In case of the work already in progress, the Awardee shall proceed with the execution of the works, including
maintenance thereof, pending receipt of the decision of the competent authority as aforesaid with all due
diligence.

38) ACTION BY THE COMPETENT AUTHORITY WHEN THE WORK IS LEFT INCOMPLETE, ABANDONED OR
DELAYED BEYOND THE PERMITTED LIMIT
In any case in which under any clause or clauses of this agreement the Awardee shall have rendered
himself liable to pay compensation amounting to the performance security and whole of his security deposit
(whether paid in one sum or deducted by installments) for:
i. committed a breach of any of the rules and regulations related to labour laws or,
ii. in the case of abandonment of the work or ,
iii. the Awardee is declared as bankrupt or goes into liquidation other than for approved reconstruction or
amalgamation or,
iv. the Awardee does not maintain a valid instrument of financial Security, as prescribed or,
v. If the Awardee fails to deploy machinery and equipment or personnel as specified in the Contract Data or,
vi. if the Awardee, in judgmental of the engineer in charge has engaged in corrupt or fraudulent practices in
competing for or in executing the contract or,
vii. If the Awardee for fails to achieve the mile stone of physical target or financial target.

Except due to permanent disability or death of the Awardee, the competent authority on behalf of the Client shall give a
notice before 15 days, and in the event of the Awardee failing to comply with the direction contained in the said notice,
shall rescind the contract of which rescission notice in writing to the Awardee under the hand of the competent authority
shall be conclusive evidence and in which case the performance security and the security deposit of the Awardee shall
stand forfeited and be absolutely at the disposal of Client (Client) and expel the Awardee from the site. However, in the
case of sub para (III) or (VI) of above clause the competent authority may terminate the contract immediately.

39) Gurantee Period:

Awardee guarantees the erection and installation of equipment free of any defective materials and poor
workmanship. We require experience workmanship for the product offered. Awardee shall make good any defects
that may arise except in case of defect arising due to improper use or vandalism which may develop within the period
of 24 months from the date completion and handover.

40) CONSTRUCTION PROGRAMME

a. The Awardee shall prepare integrated programme charts for the execution of the works, showing clearly all the
activities of work required to be carried out from the commencement of the works up to their completion, with details
of manpower and plant and machinery required for the fulfillment of the programme, and submit the same for
approval to the Engineer-in-charge within one week of the award of Contract. Such programme charts shall be based
upon and be within the parameters and time schedules enumerated in the Master Programme prepared by the
Engineer-in-charge for the execution and completion of the overall projects Works.
This specification covers the complete supply and installation of Tower Parking’s, to be used in the project in
accordance with the Drawings, specifications, schedules and to the satisfaction of the engineer in charge.
All Electrical and other work related to the complete installation of the Tower Parking’s, shall comply fully with the
relevant provisional By-Laws( If any) issued by the local authorities and in accordance with the applicable
requirement of the Inspection Authority.
b. The Programme chart of the Awardee shall incorporate the milestones shown in the Master Programme and shall
include the following:

1. Descriptive notes explaining the sequence of various activities.


2. Construction Materials – status and mobilization programme (fortnightly) for next fortnight.
3. Schedule of submissions by the Awardee of samples and shop drawings.
4. Progress photographs (Monthly)
5. Every week the approved programme charts shall be reviewed in relation to the actual progress of work, and
shall be updated as necessary.
6. If at any time it appears to the Engineer-in-charge that the actual progress of the work does not conform to the
approved programme,

7. The Awardee shall produce a revised programme showing the modifications to the approved programme and the
additional input of resources by the Awardee necessary to ensure completion of the works within the time
stipulated for completion.

41) PROGRESS REPORT


The Awardee shall submit in duplicate to the Engineer-in-charge, and VP Projects in a format approved by
the Engineer-in-charge, a weekly report giving an accurate record of the progress of the work, the number of
men employed in each trade, list of plant and machinery at site, and any events influencing the progress of
the work. Photographs shall be submitted along with all such reports, pictorially demonstrating the
progress of the work, week. The following are the basic duties of the Awardees which shall govern the
progress of the work.

42) SAFETY REQUIREMENT AT SITE

In respect of all labour, directly or indirectly employed on the works for the performance and execution of the Awardee’s work under
the contract, the Awardee shall at his own expense arrange for all the safety provisions as listed in

ii. Indian Standards
iii. The electricity Act
iv. The mines Act, and Regulations, Rules and orders made there under and such other acts as applicable.

Precautions as stated in the safety clause are the minimum necessary and shall not preclude the Awardee taking additional safety
precautions as may be warranted for the particular type of work or situations. Also mere observance of these precautions shall not
absolve the Awardee of his liability in case of loss or damage to property or injury to any person including the Awardee’s labour, the
Owner, Architect’s and Engineer-in-charge’s representatives or any member of the public or resulting in the death of any of these

Protective gear such as safety helmets, boots, belts etc shall be provided by the Awardee at his own cost to all his manpower at site.
The Awardee shall impose such requirements on all sub-Awardees also. It shall be the responsibility of the Awardee to ensure that
such protective gear is worn at all times by all personnel working at site. The Engineer-in-charge shall have the right to stop any
person not wearing such protective gear from working on the site

In case the Awardee fails to make arrangements and provide necessary facilities as aforesaid, the Owner shall be entitled to do so and
recover the costs thereof from the Awardee. The decision of the Safety Engineer in this regard shall be final and binding on the
Awardee

24.2 Site Safety Rules :

24.3 DO's
Under go Safety Induction before entering into project site/ensure all your employees, workers/staffs received Safety

a. Provide and ensure proper use of PPE Such as Safety helmet, Safety shoes, Gum boot, Safety goggles, Welding Shield,
Ear plug, Nose mask, Hand gloves and Safety harness.
b. Ensure and use Safety helmet, safety harness and proper working platform while working at height.
c. Ensure and use/follow safety guidelines of each and every work, for safe working and making incident free workplace.
d. Ensure all activities related to Electrical Energy is handled after wear required personal protective equipments and tools
by competent person or authorized electrician only.
e. Ensure that proper top/sockets, circuit breakers provided to electrical equipments and machines with proper lugs.
f. Ensure proper barricading/covering where there is a danger of fall of person/material from top such as edge of building
and shafts. Fixing of safety nets, covering of shafts etc.
g. Clean and kept workplace neat and tidy and remove all wastage/scrap from the work place after completion of each
work without delay.
h. Poor housekeeping is a major cause of incidents and illness so maintain housekeeping at every area, at everyplace of site
and labour colony.
i. Awardee shall arrange required Tower Parking equipments, tools etc required during the installation. Transportation from
factory to site is in awardee scope.
j. Vendor shall take responsibility of material stores at site.

24.4 DONT's
a. Allowing worker to enter at site without PPE's and Safety induction.
b. Child labour under age 18 to work at site.
c. Smoking, drinking liquor in the project premises.
d. Use of open place for toilets. (Use provided toilets at site)
e. Interfere in others work and horseplay at site.
f. Use of hazardous chemical and high risky working without supervisor such as excavation, shoring, scaffolding, height
work and Tower Parkinging work.

24.5 Awardees/Sub Awardee’s role and responsibility:

The following mention responsibilities are assigned to you with respect to Safety, health and environment.
Awardee / Sub-Awardee shall be totally responsible for and ensure that:

a. Inspection of work area and corrective action against deviation immediately.


b. All workers and staff provided with required PPE's and its proper usages.
c. Submitting Identity card and blood test report of each and every worker at the time of entry at site.
d. Good housekeeping of work area and labour camp.
e. Deploying Only SHE inducted workers and staff to work at site.
f. Safe work practices are adopted by all workers, staff at site workplace.
g. Covering workplace hazards and providing required resources such as manpower and material is in scope of Awardee.
h. Providing Emergency equipment’s such as fire extinguisher, fire buckets, fire blanket and first aid kit etc.
i. Maintaining all portable and fixed machines and tools in good working condition and using with proper earthing,
insulation, adequately guards as per standards and Company requirements.
j. Inspection, Maintenance and uses of all tools and tackles.
k. Inspection, Usages, Erection and disentangling of scaffolds only by experienced and trained workers and only under
proper supervision, presents of trained and experienced supervisor.
l. Carry out all work activity under proper supervision.
m. Submission of Project and Safety Organization chart to Company Marathon Group at site.
n. Reporting all records, inspections and incidents to Employer Marathon Company, in prescribed formats.

43) Housekeeping:
a. The site shall be kept in a neat and clean condition at all times. Awardee shall deploy housekeeping workers on site / or
alternative arrangement to clean their area of work and to dispose off waste/ debris generated on day-to-day basis. If the
Awardee fails to do the housekeeping at site then a separate agency or alternative arrangement will be deployed at site to
carry out the housekeeping job and the cost incurred will be proportionately deducted from the Awardees RA bill.
b. On completion of day’s work, the respective Awardee shall not leave the site without keeping the surplus
materials which are being used by him in order ie. Stacking properly in the working area.
c. Passageways, pathways, staircases etc. shall be kept clear from any obstructions or objects which can serve as rollers,
lubricants etc. causing a fall at all time.
d. Material shall be stored and stacked in proper location and in proper manner.
e. Awardee shall provide a waste bin to collect the scrape materials.
f. All scrape, waste or unwanted materials shall be collected from the site and dumped inthe waste bin and the same shall
be disposed off frequently from the site.
g. Access to fire extinguishers and electrical installations shall be free from any obstructions.
h. All precautions shall be taken to identify and preempt any and all situations that can cause accidents, with a particular
attention to major or main cause like gravity, Electricity, Compressed air etc. peculiar to the nature of work in progress
including of other Awardees in the vicinity.
i. All the labour colony, labour toilet will be kept clean by Awardee. In case of failure the cost incurred will be
proportionately deducted from the Awardees RA bill.

44) DAMAGED WORK
If any finished work is damaged by the Awardee while doing his work, the cost incurred to repair that finished work shall be debited to
the Awardee (material and labour cost).

If the Engineer-in-charge, deems it inexpedient to get corrected or rectified any work of the Awardee which is defective or damaged or
of substandard quality or is generally not in accordance with the Contract Documents, then an equitable and appropriate deduction
shall be made therefore from the Contract Sum, and the Engineer-in-charge’s decision in this respect shall be final and binding on the
Awardee.

45) THEFT
If there is a theft of client’s material stored in Awardee’s godown, it shall not be client’s responsibility. The Awardee is himself
responsible for the material (either his own or the clients).

46) INCOME TAX


As per the statutory rules, the Employer from Awardees bills shall deduct Income Tax at source and the Employer will give the
certificate to that.

If there is a statutory requirement for deduction of any other tax at source, then such requirement shall be followed and the tax
deducted at source (TDS) will be deposited with the authority and certificate to this will be issued to Awardee in an approved format.

All the other taxes eg. GST mentioned in the order will be paid in accordence with government rules and regulations.

47) TOOLS & EQUIPMENT


Awardee, free of cost, shall supply all tools & equipment required to complete the work according to specification & drawing.

48) PAYMENT AND FREE MAINTENANCE FOR MULTIPLE UNITS


Every Tower Parking System / escalator in a contract of multiple units will be considered as individual equipment. The
commencement of free maintenance and final payment for each Tower Parking System / escalator will be on prorate basis.

49) LIABILITY
" Notwithstanding anything contained herein or elsewhere, the maximum liability of Awardee under or in connection with the
Contract shall in no event be higher than Contract price and exclude indirect damages, losses etc.”

50) Liquidated Damages (LD)


a) In case of extension in the delivery period with liquidated damages the recovery shall be
made on the basis of following percentages of value of Stores with the Awardee has failed
to supply/ install/ complete:-
 delay up to one fourth period of the prescribed delivery period: 2.5%
 delay exceeding one fourth but not exceeding half of the prescribed period: 5.0%
 delay exceeding half but not exceeding three fourth of the prescribed period: 7.5%
 delay exceeding three fourth of the prescribed period: 10%
b) Fraction of a day in reckoning period of delay in supplies shall be eliminated if it is less
than half a day.
c) The maximum amount of liquidated damages shall be 10% of the contract value.
d) If the supplier requires an extension of time in completion of contractual supply on account
of occurrence of any hindrance, he shall apply in writing to the authority, which has placed
the supply order, for the same immediately on occurrence of the hindrance but not after the
stipulated date of completion of supply.
e) Delivery period may be extended with or without liquidated damages if the delay in the
supply of goods is on account of hindrances beyond the control of the Awardee.

51) Liability Of Consequential Losses: The Awardee shall remain responsible for the proper execution of the work and
adherence to drawings and the specifications of the contract. Any consequential loss / losses arising due to the
defective works carried out by the Awardee in the opinion of the Engineer-in-charge or due to rectification of such
defective works during the currency of the contract or during defects liability period or during the period of guarantee,
shall be made good by the Awardee at his own cost. Wherever the Awardee is not in a position to carry out the
rectification(s) and make good the consequential losses the same arising due to defective works or rectification
thereof shall be made good by the Client by engaging any other agency / agencies and the cost incurred on the same
including the cost of material used therein shall become payable by the Awardee to Client In this regard the Awardees'
liability to bear the cost of consequential losses shall be absolute and permanent till the time.

52) Awardee shall be solely responsible for any accident while execution of site all medical treatment will be bare
Awardee only.

53) During the execution of the work, if any Wastage or damage to any material or property ( Private/ Government / Third
Party) at site by your labour / team, then the same will be deducted from awardee amount and client shall be promptly
indemnified against all such claims..

54) Special Terms: This Order is subject to all Terms and Conditions set forth herein and/or annexed hereto and/or
attachments hereto and/or enclosures hereto, which becomes an integral part of this Order. Ie. Acceptance of this
Purchase Order is acceptance of our Appendix / Annexure’s too.

55) In case of any conflict in any terms and conditions then that ‘terms and conditions’ of this Order will supersede the
Appendix / Annexure Terms and Conditions’ set out in Appendix / Annexure’s.

56) Termination of contract:


Failure by Awardee to comply with Client’s Instructions :
If the Awardee after receipt of written notice from the Consultant requiring compliance within 30 days, fails to comply
with the rectifications or Consultant’s instructions.

Client shall terminate the contract if in-case of any default; by giving 15 days written notice; Awardee shall be paid
a mutually agreed amount for all services rendered till last date of such termination may employ and pay other
persons to execute any such work whatsoever that may be necessary to give effect thereto, and all costs incurred in
connection therewith shall be recoverable from the Awardee as a debt or may be deducted by him from any moneys
due to the Awardee.
Termination of contract by the Employer
If the Awardee being an individual or a firm commits any ‘Act of Insolvency’ or shall be adjudged as insolvent or being
an incorporated company shall have an order for compulsory winding up made against it or pass an effective
resolution for winding up or voluntarily wind up subject to the supervision of the court and the Official Assigned or the
liquidator in such acts of insolvency or winding up, as the case may be shall within thirty (30) days after written notice
to him requiring him to do so, to show to the reasonable satisfaction of the Client/Consultant that he is able to carry
out and fulfill the contract and to give security therefore, if so required by the Client/Consultants.

In event of any cancellation of order by the owner Awardee will be paid for the work done.

57) Contract Drawings and Specification: All work will be carried out in accordance with the tender drawings and the
specifications and as mentioned in Appendix-I&IV

58) Material Make : As per Specification sheet attached and as per specifications agreed upon.

59) Note for Payments : All payment to Vendor against this W.O. / Bill against this W.O.will be appropriated by Client
only on applicable GST credit received by Client.in electronic ledger maintained on the GST portal.

60) Force Majeure Conditions:


Neither party shall be held to be in breach of the terms of this contract, if it is prevented from performing its
obligations by reasons of force majeure including but not limited to fire, flood, earthquakes, storms, typhoons,
explosions, action of the elements, acts of God, governmental restrictions, epidemics, insurrections, riots or other

civil commotion, war, enemy action, acts, demands or requirements of the governments or military authorities in
any states or by other causes beyond its control, provided that notice is given to other party, as soon as possible of
the occurrence of the aforesaid events.

Appendix (IV)

OTHER CONDITIONS OF CONTRACT / Technical Specifications

1. Awardee shall provide permanent bench marks, flag tops and other reference points for the proper execution of work and
these shall be preserved till the end of work. All such reference points shall be in relation to the levels and locations, given
in the Architectural drawings.

2. The Awardee shall give performance test of the entire installation(s) as per the standing specifications before the work is
finally accepted and nothing extra whatsoever shall be payable to the Awardee for the test,

3. The work shall be carried out in accordance with the Architectural drawings and structural drawings. Before
commencement of any item of work, the Awardee shall correlate all the relevant architectural and structural drawing
issued for the work, nomenclature of items, specifications etc. and satisfy himself that the information available there
from is complete and unambiguous. The figures & the written dimensions of the drawing shall supersede the
measurement by scale. The discrepancy, if any, shall be brought to the notice of the Engineer-in-charge for immediate
decision before execution of the work. The Awardee alone shall be responsible for any loss or damage occurring by the
commencement of work on the basis of any erroneous and or incomplete information and no claim, whatsoever shall be
entertained on this account.

4. The Awardee should submit the shop drawing for approval of Engineer-in-charge before actually commencing the
execution of work under the item. Nothing extra shall be payable on this account.

5. The Awardee shall conduct his work, so as not to interfere with or hinder the progress or completion of the work being
performed by other Awardee`s) or by the Engineer-in-charge and shall as far as possible arrange his work and shall place
and dispose of the materials being used or removed so as not to interfere with the operations of other Awardee or he shall
arrange his work with that of the others in an acceptable and coordinated manner and shall perform it in proper sequence
to the complete satisfaction of others.

6. The rates of different items of work shall apply to all heights & depths unless otherwise specified.

7. Site Electricians / Other Electrical Personnel: The Awardee shall engage qualified and competent electricians and other
electrical personnel while working for safe execution of contract. The electricians and other electrical personnel must
possess requisite certificate issued from competent authority. Using exposed naked loose joints, inserting of bare wire into
socket, improper grounding for appliances, exposed circuits on work place etc. shall not be permitted. Rating of fuses and
circuit breakers used for protection of circuit should be coordinated. Flexible cords with the conductor cross sectional area
smaller than 1.5 mm should not be used. Socket outlets, plugs and cable coupler should be of the water splash proof type,
so minimum IP44 panel boards are required in construction sites. Overhead cabling should provide for a minimum ground
clearance of at least 3.0 meters. The Awardee shall employ qualified, full time Electricians / Electrical Supervisors to
maintain his temporary electrical installation. Use approved perimeter markings to isolate restricted areas from designated
work areas and entryways. Erect them before work begins and maintain them for the duration of work. Approved
perimeter marking must be Install red barrier tape printed with the words 'DANGER-HIGH VOLTAGE' approximately 1
to 1.5 meter above the floor or work surface or Install a barrier of yellow or orange synthetic rope 1 to 1.5 meter from the
floor with standard danger signs. Any steps suggested by Engineer-in-charge should be- complied with by the Awardee.

8. Welding and Cutting Gas cylinders in use should be kept upright on a custom-built stand or trolley fitted with a bracket to
accommodate the hoses and equipment or otherwise secured. The metal cap should be kept in place to protect the valve
when the cylinder is not connected for use. Non-return value and Flashback arrester shall be fixed at both end of cylinder
and torch Domestic LPG cylinders shall not be used for Gas welding and cutting purpose. DCP or CO2 type Fire
Extinguisher not less than 5 kg shall be fixed at or near to welding process zone in an easily accessible location. Fire
Extinguisher should confirm to IS 2190: 1992. Welding grounds and returns should be securely attached to the work by
cable lugs, by clamps in the case of stranded conductors, or by bolts for strip conductors. The ground cable will not be
attached to equipment or existing installations or apparatus.

9. Steel

9.1 All finished steel shall be well and cleanly rolled to the dimensions and weight specified by BIS subject to permissible to
tolerances as per IS: 1852. The finished materials shall be reasonable free from cracks, surface flaws laminations, rough
and imperfect edges and all other harmful defects.

9.2 Steel Sections, shall be free from excessive rust, scaling and pitting and shall be well protected. The decision of the
Engineer-in-Charge regarding rejecting any steel section on account of any of the above defects shall be final and binding.

10. Fabrication

10.1 Fabrication shall generally be done as specified in IS : 800.

10.2 In major works or where so specified, shop drawings giving complete information for the fabrication of the component
parts of the structure including the location, type, size, length and details or fivers, bolts or welds, shall be prepared in
advance of the actual fabrication and approved by the Engineer-in-Charge. The drawings shall indicate the shop and field
rivets, bolts and welds. The steel members shall be distinctly marked or stenciled with paint with the identification marks
as given in the shop drawings.

10.3 Great accuracy shall be observed in the fabrication of various members, so that these can be assembled without being
unduly packed, strained or forced into position and when built up, shall be true and free from twist, kinks, buckles or open
joints.

10.4 Wooden or metal sheet templates shall be made to correspond to each member, and position of rivet holes shall be marked
accurately on them and holes drilled. The templates shall then be laid on the steel members, and holes for riveting and
bolting marked on them .the ends of the steel members shall also be marked for cutting as per required dimensions. The
base of steel columns and the positions of anchor bolts shall be carefully set out at the required location.

11. Erection
Steel work shall be hoisted and erected in position carefully, without any damage to itself other structures and
equipment and injury to workmen. The method of hoisting and erection proposed to be adopted by the Awardee shall
be got approved form the Engineer-in-charge in advance. The Awardee however shall be fully responsible for the
work being carried out in a safe and proper manner without unduly stressing the various members and proper
equipment such as derricks, Tools & tackles, winches, ropes etc. shall be used.
