AGREEMENT FOR SALES AGENCY

This Agreement made and entered into on the date of acceptance by the Sales
Agent, by and between [Company Name] (hereinafter referred to as "Company"), and
[Sales Agent Name] (hereinafter referred to as "Agent").

1. Appointment of Agent. The Company hereby appoints the Agent as its

exclusive agent for the purpose of selling the Company's products and
services (hereinafter referred to as "Products") globally.
2. Obligations of Agent. The Agent shall use its best efforts to promote and sell
the Products in the territory specified in Exhibit A attached hereto. The Agent
shall not sell or promote any competing products during the term of this
agreement.
3. Obligations of the Company. The Company shall supply the Agent with such
advertising and promotional materials as the Company may deem
appropriate. The Company shall also provide the Agent with any technical
information or assistance that the Agent may reasonably request in order to
promote and sell the Products.
4. Compensation. The Agent shall be entitled to a commission on all Products
sold by the Agent in accordance with Exhibit B attached hereto.
5. Term and Termination. This Agreement shall be effective as of the date of
acceptance by the Agent and shall continue in full force and effect for a term
of [insert number] years. Either party may terminate this Agreement upon
written notice to the other party if the other party breaches any material term
of this Agreement.
6. Representations and Warranties. Each party represents and warrants to the
other that it has the power and authority to enter into this Agreement.
