APPOINTMENT LETTER
 

Dear Kamal,

Further to your appointment with us, we are pleased to appoint you as “Senior Executive” in
“Admissions UG & PG”. The terms and conditions are as follows:

1. Your Annual CTC is Rs xxxxxxx/- (xxxxxxxxxxxxxxxxxxx).

2. Working days will be Six days a week. This is subject to any change, which may be
enforced in the future. Such changes will supersede all the relevant clauses mentioned
in this Appointment letter.

3. The employee may also apply for the I.J.P (Internal Job Posting) within the trust.

4. The employee shall during this period devote all his/her work time and talents
substantially to the trust and shall dedicate his/her employment to the best of his ability
to promote the interests of the trust. The employee voluntarily agrees to work overtime
as required by the trust without any additional pay or wages and shall be available as
required by the trust.

5. Your reporting and responsibilities will be advised to you by your Departmental Head or


Any person nominated by him/her. It is expected that you will discharge your assigned
responsibilities with high standards of performance, quality, integrity, and discipline. 

6. You will be on three (03) months’ probation period from the date of joining the trust or
the employee shall remain on the probation until the trust communicates in writing or
over the mail that he has been “confirmed”. During this period your performance will be
monitored, which determines your confirmation of employment with the trust. 

7. During your employment with the trust, your terms of employment will be governed by
the policies and rules of the Trust framed from time to time. 

8. During your employment with the trust, you may be posted/transferred to any of the


offices/Division/Departments/Units/of the trust or any other Town/City in India
without any change in the terms and conditions of the employment, at the sole
discretion of the Management. 

9. Any discovery, invention, improvement, adaption or variation of designs and drawings,


processes, methods, materials specifications, writing, thesis, etc. which will be a result of
your working in AIMLAY or its associates, or which you may come to know in the course
of your employment, more specifically about the thesis, writing and educational services
adopted or used by AIMLAY shall be the property of the AIMLAY.

10. All the information, papers, correspondence, etc., pertaining to AIMLAY activities,
commercial, technical, or otherwise coming into your possession in the course of your
employment shall be treated strictly confidential.

11. During the employment period and after the employment period, the employee shall not
use or mislead the company’s Job portal, Microsoft teams, e-mail Id, and SIM (if
applicable). In case of any breach, the employee shall be liable to indemnify the company
for its losses.

12. You will not make any use of any of the confidential information in any manner
whatsoever without AIMLAY’s prior written consent. All work Products shall be promptly
communicated to AIMLAY.

13. Your duties will be assigned to you by your superiors from time to time. You shall devote
your time to tasks assigned to you by your superiors. 

14. You will not be permitted to undertake any other employment or to engage in any
External activities of a commercial nature without prior written approval.

15. You are required not to engage yourself in any other employment, or business, part-time
or Full time, directly or indirectly, simultaneously as long as you are employed with the
trust or engage yourself directly or indirectly in any other business connected with the
dealings, or activities of the other companies in any way. Any action to the contrary
would render your services liable for termination and lawful action will be taken,
notwithstanding any other condition in this appointment letter.
 
16. You will be required to maintain the utmost confidentiality in dealing with the trust’s
money or material or documents or data. If during your service, you are found guilty of
violating the confidentiality of the Trust’s activities, your services would be terminated
with immediate effect and lawful action will be taken, notwithstanding other terms and
conditions mentioned in the appointment letter. 
17. During the probationary period, your services may be terminated by the trust within
seven (07) days’ notice or salary in lieu of. However, in other cases except the
probationary period mentioned herein, after that company may terminate his/her
services by serving 30 days’ notice period to the other Party.

18. Upon termination of employment, for whatsoever reason, you shall immediately return
all of the trust’s property which may be in your possession or all the information
whatsoever, whether termed as confidential information or not and shall not make or
retain any copy of such information with you in any mode whatsoever. It would be
obligatory on your part to get a proper relieving letter from the management before your
services are deemed to be concluded. 

19. Your appointment is subject to being medically sound and fit. 

20. You will be retired from the services of the trust on attaining superannuation at the age
of 60 years or earlier in case you are physically/Mentally unfit to work any longer or for
continued ill-health as certified by the medical officer /medical practitioner. 

21. During the notice period, in the event of an employee’s unacceptable attitude, action
against the interest of the trust, in violation of trust’s Service rules and policies including
without limitation violation of Confidentiality obligations by the employee. The trust
thereby reserves the right to terminate the employment immediately without any notice
period and the trust shall not be liable to compensate the employee for the notice period
in any manner.

22. I agree that upon the termination of my employment from the Trust:

a) I shall return to Trust all documents and property of Trust, even if not marked
“confidential” or “proprietary,” including but not necessarily limited to: drawings,
blueprints, reports, manuals, correspondence, customer and/or investor lists,
computer programs, and all other materials and all copies thereof relating in any
way to Trusts’ business, or in any way obtained by me during employment. I further
agree that I shall not retain copies, notes, or abstracts of the foregoing.
b) I shall not defame the trust in front of the Trust’s Personnel or any third Party
through online platforms not limited to fake Google reviews.
c) If I breach clause (b), I agree that the trust can also take defamatory legal action
against me under Section 500 of IPC.

23. The employee shall not be entitled to terminate his/her employment with AIMLAY for a
period of twelve (12) months after the execution of this Agreement. In case of prior
termination, the employee/trainee shall also be liable to pay thrice of his/her salary
(Current Monthly Salary as per CTC × 3) to AIMLAY towards the recruitment and
administrative expenses.

24. Trust has the right to hold an employee’s salary during the notice period, based on the
performance feedback from the concerned Reporting Manager.

25. During the term of this Agreement and for a period of twelve (12) months following the
employee’s removal or resignation from the Trust or any of its subsidiaries or affiliates
(the “Restricted Period”), the employee shall not, directly or indirectly, (i) in any manner
whatsoever engage in any capacity with any Educational Service Provider for the
employee’s own benefit or for the benefit of any person.

26. If any information furnished or declaration was given by you in regard to your
employment to the trust is found to be false or any material information willfully
suppressed, your appointment would be liable for termination without any notice or
compensation.

27. In case of breach of any provision of this agreement not just limited to confidential
information, the Trust shall be entitled to injunctive relief for any or threatened breach of
this Agreement, in addition to all other available remedies, including the recovery of
monetary damages. The Employee shall also indemnify the Trust for any loss incurred
due to breach of this Agreement. The employee shall also be liable to pay twice of his/her
current annual CTC to AIMLAY in case of breach of this Agreement excluding clause
no.23.

28. You by acceptance of this Appointment Letter, hereby represent and warrant to AIMLAY
that you are under no contractual or other restrictions or obligations that are
inconsistent with the execution of this Agreement or which will interfere with your
performance of the Service.

29. You hereby accept that if any dispute between the Parties arises under this Agreement,
either Party may notify the other in writing of the substance of the complaint or the
Parties shall use their best efforts to resolve such dispute amicably through discussion.
If the dispute is not settled within 30(thirty) days of notification, unless the Parties
otherwise agree in writing, such dispute shall be finally settled by binding arbitration in
Rohini Court, New Delhi. The Arbitration shall be settled by the sole arbitrator as
appointed by AIMLAY.

30. Please sign the duplicate copy of this appointment letter and return to us a token of your
acceptance of the terms and conditions of your appointment. The appointment shall be
effective from the day of your joining the Trust.
