Subject: Appointment for the post of General Manager

Mr. Kaushik,

With reference to your application and subsequent interview you had with us, we are
pleased to appoint you on the terms and conditions given below:

1. Your designation shall be“General Manager” & your employment commences on 7th
September 2023

2. The gross Salary will be Rs. 2, 25,000/- (Rupees Two Lakh Twenty Five Thousand only)
per month.
BASIC+DA (CONSOLIDATED) 56,250.00
HRA 67,500.00
MANAGEMENT ALLOWANCE 45,000.00
PRODUCTIVITY ALLOWANCE 33,750.00
TRAVELLING ALLOWANCE 22,500.00
Total 2,25,000.00
(Professional Tax and TDS will be deducted as per applicable.)

3. You will initially be on probation for a period of six months from the date of your
appointment. After the expiry of your probation period, depending upon your performance,
your service will either be confirmed in writing or will be extended at the sole direction of
the Management.
4. You will be whole-time employee of the organization/firm/establishment and will not
undertake any other business/ work either on payment or otherwise except where you
have taken written approval.

5.Your absence for a continuous period of 7 days (including absence when leave applied
though but not granted) or overstay for a period of 8 days after expiry of leave, will entail
loss of your lien on the job and your services shall automatically come to an end without
any notice or intimation to you by the management. The management will presume that
you have abandoned the employment of your own accord and you shall be liable to give
one month salary in lieu of notice for abandoning the service in such a manner.
6. The Management reserves the right to transfer your services to any location in India
where the Management deemed fit at similar or elevated position.
7. You will required to give one month not or one month pay in lieu thereof in case you
desire to leave the service of the Company.
8. As a General Manager of the company extending credit/outstanding will be your sole
discretion. Any Bad Debt to the company will be personally reimbursable by you.
9. You will abide by the standard orders, rules and regulations, conditions of services as
applicable from time to time, governing the conduct and disciplinary matter pertaining to
the employee.
10.Your services can be terminated by the Company by giving you one month's notice or
one month's pay in lieu thereof, although your services can also be terminated without pay
on immediate basis if any of the information submitted by you is found misleading, false or
incorrect.
11. Your employment can also be terminated if you are found to be engaged in any unlawful
or illegal activity.
12. In case any misconduct is alleged against you or there is unsatisfactory performance in
discharging your responsibilities, the management at any time when so considered
necessary may place you under suspension or terminate your services without any pay.
13. During the course of employment and thereafter you will not divulge any information
pertaining to the business affairs or any other such sensitive business information to any
3rd party. All the information and knowledge by reasons of employment with the company
is deemed to be treated as confidential.
14. During the course of employment with the company, you are not permitted to
undertake any other employment or engage in the in any other external activities of
commercial nature without prior written approval.
15. If ever you decide to leave the company or the company decides to let go of your
services, you shall have no right to poach/influence /motivate any existing staff of the
company to leave their job from the company.
16. Your retirement age from the company is set athe age of 58 years.
17. You will be required to maintain the highest standards of personal conduct and
integrity. All acts subversive of good conduct and discipline like insubordination, gross
negligence, corruption, fraud, forgery, misappropriation etc would warrant strong
disciplinary action by the company. The company reserves the right to terminate
employment on grounds of policy, misconduct or unsatisfactory job performance to
minimize disruption of business. Additionally The Company also reserves to right to take
appropriate legal action against you in case it apprehends any wrong doing by you.

17. Your appointment and continuation in the employment will always be subject to your
remaining physically fit and mentally alert. The management may send you for medical
check-up/ examination to any doctor/ registered medical practitioner at any time during
the course of employment. The decision of the doctor in this behalf shall be final and
binding upon you.

18.You shall devote all of your time, attention, knowledge, and skills solely to the business
and interest of employer, and employer shall be entitled to all of the benefits, profits, or
other issues arising from or incident to all work, services, and advice of employee, and shall
not, during the term of this Agreement, be interested directly or indirectly, in any manner,
as partner, officer, director, shareholder, advisor, employee, or in any other capacity in any
other business similar to our business or any allied trade.
19. In spite of anything contained in this Agreement to the contrary, you shall not have the
right to make any contracts or commitments for or on behalf of employer without first
obtaining the express written consent of employer.
20. In spite of anything contained in this Agreement to the contrary, in the event that
employer shall discontinue operating its business, then this Agreement shall stand
terminated as of the last day of the month in which employer ceases operations at such
location with the same force and effect as if such last day of the month were originally set
as the termination date of this Employment.
24. Disputes, if any with regard to this employment would be subject to the jurisdiction of
the courts of Kolkata only.
25. you will be incentivise when company will achieve the targets as per given by The
Management
26. You will not be deemed a “Workmen” under the meaning of under section 2(s) of the
industrial disputes ACT, 1947.
Your acceptance of the above mentioned terms might be indicated by signing all the pages
of the duplicate copy of this letter, retaining the original for yourself.
