Subject: Notice of Termination of Freelance Contract as Marketing

Director of GiftLips and Reminder of Non-Disclosure Agreement

Dear Mr. Brunet,

We regret to inform you that your freelance contract as the Marketing
Director of GiftLips is hereby terminated, effective on 16 July 2023. This
decision has been made after careful consideration and evaluation of your
performance and the needs of our organization.
While we appreciate the efforts you have put into your role as the
Marketing Director, it has become evident that there are certain areas
where your skills and approach do not align with the objectives and
direction of our company. Despite previous discussions and attempts to
address these concerns, we have not witnessed the necessary
improvements or adjustments required to meet the expectations of the
position.
Terminating a contract is not a decision we take lightly, as we recognize
the commitment and dedication you have shown during your time with
us. However, we must prioritize the best interests of GiftLips and its
stakeholders. We believe that parting ways at this point is in the best
interest of both parties involved.
Please note that this termination of your freelance contract does not
affect any outstanding obligations or responsibilities you may have toward
GiftLips. We expect that you will fulfill any remaining deliverables or tasks
outlined in your contract, including the handover of relevant materials,
files, and accounts, before the effective date. We kindly request that you
cooperate with the transition process to ensure a smooth handover of
your responsibilities.
Furthermore, please be aware that as of the termination date, you are no
longer authorized to represent or act on behalf of GiftLips in any capacity.
This includes refraining from using our company's name, logo, or
intellectual property for personal or professional purposes.
We would also like to remind you of your obligations under the Non-
Disclosure Agreement (NDA) that you signed with GiftLips. As a former
Marketing Director, you have had access to confidential and proprietary
information, including but not limited to marketing strategies, customer
data, trade secrets, and intellectual property. It is imperative that you
continue to uphold the confidentiality obligations outlined in the NDA even
after the termination of your contract. Unauthorized disclosure, use, or
dissemination of any confidential information is strictly prohibited.
Please be aware that any violation of the NDA may result in legal action
being taken against you to protect the interests and assets of GiftLips. We
trust that you understand the importance of maintaining the
confidentiality of our proprietary information and will comply with your
obligations under the NDA.
We wish you all the best in your future endeavors and hope that you find
success in your career. We appreciate your contribution to GiftLips and
thank you for your time and dedication during your tenure as the
Marketing Director.
