SPECIAL POWER OF ATTORNEY

KNOW ALL MEN BY THESE PRESENTS:

WHEREAS, a Contract to Sell of a parcel of land covered by (TCT/OCT and/or TD) (PROPERTY)
was executed between I/us SELLERS and San Miguel Northern Cement Inc. / Northern Cement
Corporation (BUYER); with the understanding that the land is suitable for development and useful to the
operations related to the business of the BUYER;

WHEREAS, considering that the parcel of land is classified as agricultural without actually being
used for that purpose, I/We nevertheless undertake that the PROPERTY will be delivered to the BUYER
in a condition readily appropriate for the business of the BUYER;

WHEREAS, the parties further agreed to mutual assistance and cooperation for an expedient
accomplishment and completion the foregoing contract;

NOW, THEREFORE, in consideration of the premises, I/we hereby set forth the following
covenant:

I/We, (name of SELLERS), of legal age, singe/married, Filipino, and a resident of (address), do
hereby name, constitute and appoint (NCC/NCC REPRESENTATIVE), of legal age, singe/married,
Filipino, and a resident of (address), to be my true and lawful attorney, for me and in my name, place,
and stead, to perform the following acts and powers, to wit:

1. To SIGN, EXECUTE and FILE requests or application(s) for reclassification, conversion, and/or
exemption of the PROPERTY, and any and all documents and instruments related thereto before
the Sangguniang Bayan, Sangguniang Panglungsod, City or Municipal Development Council, or
any other appropriate Local Government Unit, or the Department of Agrarian Reform;

2. To TRANSACT with the Sangguniang Bayan, Sangguniang Panglungsod, Municipal/City


Planning and Engineering Office, Department of Agriculture, National Irrigation Administration,
Department of Agrarian Reform, National Economic Development Authority, and any other
related government agencies, and to REQUEST, CLAIM, and RECEIVE certifications, clearances
or any other documents from the foregoing offices/agencies relative to the application(s) for
reclassification, conversion, and/or exemption;

3. To REPRESENT me in any proceedings, meetings or hearings before the aforementioned


offices/agencies relative to and in connection with the application(s) for reclassification,
conversion, and/or exemption;

4. To TRANSACT and REPRESENT me in any government agency (Register of Deeds, Bureau of


Internal Revenue, Provincial, City or Municipal Assessor’s Office, Provincial City or Municipal
Treasury Office, Department of Agrarian Reform, Regional or Municipal Trial Court) and to
REQUEST, CLAIM, and RECEIVE certifications, clearances, or any other documents from the
foregoing offices relative to the transfer of the title from our name to the name of the BUYER;

5. To SIGN, EXECUTE and DELIVER any other documents, affidavits or instruments relative to any
of the foregoing transactions; and

6. To do any other acts and things requisite and necessary to fully accomplish the above power and
authority.

HEREBY GIVING AND GRANTING unto my said attorney full power and authority to do and
perform all and every act requisite or necessary to carry into effect the foregoing powers, as fully to all
intents and purposes as I might or could lawfully do if personally present, with full power of substitution
and revocation, and hereby ratifying and confirming all that my said attorney or his substitute shall lawfully
do or cause to be done by virtue hereof.
