The Kaspersky Deal Registration Program rewards eligible partners that actively identify, develop
and close new sales opportunities.

Program overview
The Kaspersky Deal Registration Program is designed to help protect the
investments our partners make when they’re developing new business opportunities.
The program allows partners to register a deal for Endpoint Security products.

Kaspersky rewards the partner with an additional discount.

How the program works


Kaspersky provides an automated deal registration tool on the Kaspersky Partner
Portal. An eligible partner can submit a deal registration using the simple form
available at https://partners.kaspersky.com/s/deal-registration.

After submitting all the required details, Kaspersky will assess the application and
notify the partner about whether the deal registration is approved or denied. If the
deal registration is approved, Kaspersky sends the partner an email confirmation.

For Endpoint Security products, Kaspersky will provide a deal registration number,
which the partner should provide to the distributor to receive the deal registration
discount.

Please note that the following scenarios do not qualify for a deal registration:

• Active sales opportunities that already exist in the Kaspersky CRM system
• Sales opportunities that have already been entered into the Kaspersky Deal
Registration system and approved
• Sales opportunities created by partners that do not meet the program’s eligibility
requirements
• Responses to bid invitations – such as RFPs, RFQs and RFIs (partners that
are involved in the definition of an RFP, RFQ or RFI should register the sales
opportunity prior to the RFP, RFQ or RFI being published. Sales opportunities
cannot be registered after the RFP, RFQ or RFI has been published).

Eligible partners
All partners that are members of the Kaspersky United Partner Program are eligible
to participate in the Deal Registration Program – provided the partner is in good
standing and has satisfied all requirements of the Kaspersky United Partner Program.

Endpoint Security products: eligible
products and license types
The current list of products eligible for Endpoint Security products deal registration,
and the minimum and the maximum number of nodes for those products, can be
found on the Kaspersky United Partner Portal in the Deal Registration section
available at https://partners.kaspersky.com/s/deal-registration.

To improve the partner experience, Kaspersky may include newly published products
and remove products that have reached End of Sale from the list of products
eligible for deal registrations. The list of eligible products and the minimum number
of nodes as of the publication date of the Deal Registration Program is presented on
the Kaspersky United Partner Portal.

Add-on licenses are only available for deal registration when bundled with eligible
products and are not available for stand-alone deal registration. Example: if
Kaspersky Endpoint Security for Business Select has been chosen as a primary
product, the add-on Kaspersky Endpoint Detection and Response Optimum may be
added to the deal registration.

When applying to register a deal, the partner must select a distributor. Kaspersky
may notify the selected distributor about registered opportunities. If the partner
then decides to change the distributor they work with, the relevant deal registration
approval may be revoked.

The deal registration discount applies to Endpoint Security product opportunities


that are identified by partners, registered via the existing deal registration process
(see below) and approved by Kaspersky. The deal must be a new software license
opportunity.

Deal qualification criteria
Before applying to register a deal, partners should ask themselves:

• Does the deal involve a qualifying product?


• Is the deal for the sale of new licenses, and not the renewal of existing licenses?
• Am I engaged in sales discussions with a decision-maker (technical, economic
or business) within the customer’s business? And…
– Has the decision-maker expressed a willingness to consider purchasing
a Kaspersky product?
– Does the decision-maker have an established budget of appropriate size
to purchase the product(s)?
– Does the decision-maker have the ability to purchase within a specific
timeframe?

The partner should also read the Terms and Conditions for the Kaspersky Deal
Registration Program, and ensure they are able to comply with all such Terms and
Conditions.

Deal registration process


The partner’s application must include all of the information requested during the
deal registration process. Kaspersky will aim to approve or reject deal registration
applications and inform the partner within 5 (five) business days from receipt of
the partner’s application.

If the application to register a deal for Endpoint Security products is approved


by Kaspersky, the deal registration discount offered to that partner will not be
offered to any other partner for that sales opportunity. Kaspersky will use normal
and reasonable means to determine if opportunities are unique and eligible for
deal registration. If a deal registration is approved by Kaspersky, the registration
will be valid for 90 (ninety) days, and this validity period may only be extended at
Kaspersky’s sole discretion.

Partner responsibilities
• The partner is responsible for ensuring that the deal they wish to register meets
the Deal Qualification Criteria.

• The partner must ensure their application to register a deal contains full and correct
information, including the necessary information about the potential customer. All
required fields in the deal registration form on the Partner Portal should be filled.

• If the deal is registering to replace a competitor’s product, proof of the


competitor’s license certificate should be uploaded to the deal registration form.

• The partner should continue to engage with the customer after the opportunity
has been registered and should drive the opportunity to successful conclusion
within the deal registration validity period.

• Throughout the sales process the partner should regularly update Kaspersky on
how the deal is progressing.

• Upon winning the deal, the partner must ensure that the relevant deal registration
authorization number for Endpoint Security products deal registration is included
in the purchase order that the partner gives to the relevant Kaspersky distributor.

Terms and Conditions
• Before applying to register a deal, the partner must make significant pre-sales
efforts related to that deal, including:
– Identifying/discovering the opportunity
– Meeting with the customer’s decision-makers
– Qualifying the deal
– Helping the customer to quantify the project budget for Kaspersky products
or services
– Helping the customer to define the project requirements to include Kaspersky
products or services

• The partner must be qualified to sell all products that are included in the deal
registration application.

• The partner must be a member of the Kaspersky United Partner Program and
be in good standing in the both the Kaspersky United Partner Program and the
Kaspersky Deal Registration Program. Kaspersky reserves the right to contact
the customer regarding the registered opportunity in order to verify that all the
above requirements are met.

• If a deal is registered, that registration only applies to that specific deal opportunity.
Deal registration does not apply to the entire customer account.

• The partner must submit their application for deal registration for review via the
deal registration tool. For any individual sales opportunity, the first partner to
submit an application that meets all of the deal registration criteria specified in
the Deal Registration Program Terms and Conditions (determined by Kaspersky
at its sole discretion) will receive an approved deal registration for that deal.

• After a deal has been registered, the partner cannot transfer the deal registration
to another partner. The deal registration only applies to the partner that received
the approval from Kaspersky.

• For Endpoint Security products, deal registration is granted for the number of
licenses specified in the partner’s application for deal registration. If, after the
deal registration has been approved, the quantity of licenses changes, a new deal
registration application may be necessary.

• If the partner’s application to register a deal is approved, Kaspersky will notify


the partner by email. Kaspersky aims to notify partners of its decision within 5
(five) business days.

• If an application for deal registration is rejected, Kaspersky will notify the partner
by email and will include the reason(s) for the decision.

• The deal must be registered by the partner and approved by Kaspersky before
the order is placed with the distributor.

• The partner must close the approved deal before the expiration of the relevant
deal registration period mentioned in Deal Registration Process section of this
document, unless the deal registration period is extended and confirmed by
Kaspersky in written form. Partners may request one deal registration period
extension per deal. At its discretion, Kaspersky may extend the approved deal
registration period if Kaspersky decides that sufficient justification exists. The
deal registration period begins when deal registration has been confirmed back to
the partner. It is the partner’s responsibility to resubmit their application for deal
registration after a deal registration has expired.

• A deal is considered closed when the selected distributor places an order for the
deal and pays, in full, the invoice associated with that deal.

• For Endpoint Security products, a registered deal approved by Kaspersky provides


the registering partner with a deal registration discount for that specific deal
opportunity, subject to the conditions and exceptions noted in this document.
Kaspersky will provide sufficient discount to the distributor to enable them to
provide the partner with discounts on closed deals approved via the deal registration.
Any actual pricing is to be agreed between the distributor and the partner. Kaspersky
may in no way limit the distributor’s decision to offer greater discounts to partners.

• In cases where the partner achieves a further sale to the customer, Kaspersky shall,
in its sole and absolute discretion, decide whether that sale is considered to be
directly related to the deal that the partner successfully registered under the Deal
Registration Program.

• Kaspersky can deny, remove, rescind, suspend or terminate the partner’s deal,
extended deal, or deal registration and/or deal registration access in the following
scenarios:
– If the partner is not actively working on the deal or has been inattentive to the
customer’s needs (for example, if the partner fails to respond to the customer’s
or Kaspersky’s communications within a reasonable time period);
– If the partner does not lead with or quote to the customer the Kaspersky
products and/or services specified in the partner’s deal registration form
(or the products and/or services that are described in the partner’s extended
deal registration/registrations);
– If the partner offers any of Kaspersky’s competitors’ solutions to the customer.
This will be considered a violation of the Deal Registration Program and will be
subject to actions as defined by Kaspersky;
– If Kaspersky is under a legal or contractual obligation to work with another
entity, or if involvement in the deal could subject Kaspersky to legal liability
(as determined by Kaspersky);
– If the partner is not able to fulfill the deal or provide support for the customer
(for example, if the partner does not have sufficient credit available for the deal,
or if the customer refuses to work with the partner, or, in the case of public
sector deals, if the partner doesn’t possess the required authorization to sell
the product to that entity);
– If the customer chooses to fulfill its bid requirements under a contract vehicle
that isn’t held by the registering partner, or in a manner that prevents the
registering partner from being able to fulfill such requirements;
– If the partner’s account has been placed on hold by Kaspersky or if the partner
has been late in paying invoices;
– If Kaspersky determines that the deal is already registered to another partner;
– If Kaspersky determines that the deal does not meet the qualification
requirements of the Deal Registration Program.

• For Endpoint Security products, a deal is considered to be registered only after


Kaspersky has accepted the partner’s deal registration application and Kaspersky
has confirmed its decision to the partner and has sent the partner a registration
number for the deal.

• In cases where the Terms and Conditions of the Deal Registration Program don’t
specifically determine whether a specific sales opportunity can be registered (for
example, if there is some ambiguity), Kaspersky will determine the outcome at its
sole discretion.

• Kaspersky reserves the right to change the Terms and Conditions of this program
at any time and without prior notice. Updates to the Terms and Conditions will be
published on the Kaspersky Partner Portal.

• The distributor must apply only the discount(s) authorized by Kaspersky for the
relevant partner and for that specific registered deal.

• When the partner places an order with an authorized distributor, the partner must
indicate whether the deal registration has been approved by Kaspersky and must
include any associated authorization codes or instructions, as applicable.

• When the distributor processes the order, the additional discount (as approved
by Kaspersky) will be applied by the distributor.

• Kaspersky does not guarantee that the sale opportunity will be closed by the
partner that has registered the deal.

• If the partner does not comply with these deal registration Terms and Conditions,
then the partner shall not be entitled to any remedy.

Deal registration exclusions

• Responses to bids such as RFPs, RFQs and RFIs.

• Partners cannot register their own company or any of its subsidiaries as the
customer for a sales opportunity.
• Upgrades, when an existing customer is buying a Kaspersky product that is
from the same product family as the product that the customer is already using,
cannot be registered.
• Kaspersky renewal transactions cannot be registered.
• Each deal must represent a single opportunity with a single end-user customer.
Partners may not combine opportunities or end-user accounts for any purpose.
• Deal registration will be revoked if the end-user customer rejects the registering
partner’s bid or quote and/or notifies Kaspersky that they do not wish or intend
to transact with the partner.
• Deal registration will be revoked if, prior to Kaspersky’s approval of the deal
registration application, the partner communicates to the end-user customer
any details about the Kaspersky Deal Registration Program or any specific
information related to the program, including, but not limited to, pricing.
• Deal registration will be revoked if the partner does not close the deal within the
period specified in the deal registration approval issued by Kaspersky – or within
the period specified in any deal registration extension issued by Kaspersky.
• Deal registration will be revoked if the partner does not lead with and then quote
the Kaspersky products or services identified in the partner’s deal registration
application form.

Disputes
Partners must submit any disputes, whether with Kaspersky or another partner,
arising from this deal registration program to a member of the Kaspersky Channel
Sales team, including a written description of all issues and alleged harm, prior to
commencing any legal proceeding or formal dispute-resolution procedure.

Any applicable dispute-resolution provisions in the Kaspersky Deal Registration


Program Terms and Conditions, including applicable sales and service-provider
contracts, shall apply.

Audit for compliance


At any time, Kaspersky may audit the partner’s sales opportunity and deal
registration for compliance including, but not limited to, verification of any reports,
documents or supporting information submitted to qualify the opportunity or assist
in registering the deal.

Kaspersky may deny any opportunity or deal registration that it believes does not
conform to the deal registration or deal registration program rules.

Kaspersky may, without prior notice, immediately suspend or terminate a partner’s


participation in the program if the partner submits deal registration information that
is inaccurate, incomplete or fraudulent, or if the deal registration information causes
damage, embarrassment or adverse publicity to Kaspersky.

Kaspersky’s records and systems shall be authoritative and conclusive for purposes
of approving a partner’s deal registration and for performing any computation in
reviewing the partner’s deal registration submission.

Kaspersky reserves the right to interpret the deal registration rules and approval or
rejection of a deal registration submission at its sole discretion. Kaspersky’s decision
will be nonnegotiable and final.

Kaspersky does not guarantee the success or closure of any registered deal
approved under this program.

The benefits of the deal registration program cannot be combined with any other
discounts.

Kaspersky reserves the right to modify, supersede, or eliminate all or any of these
Terms and Conditions or to terminate the program without notice.

In case of existence a version of Deal Registration program in any other language


on Kaspersky Partner Portal - the English version of the document shall prevail.
