LEGAL REQUIREMENTS

Securities and Exchange Commission (SEC) Registration

The first step is to register the business with the SEC. In the Philippines, they are

in charge of regulating partnerships and corporations. Proponents must submit

the following documents:

 Name Verification Slip

 Articles of Partnership

 Joint Affidavit (Not required if already stated in Articles of Partnership)

Optional:

 Endorsement of Clearance (From other government agencies)

 FIA Form 105 (If the business has a foreign partner)

1. Food and Drug Administration (FDA) registration

Since the business is a manufacturing company, it has to register with the Food

and Drug Administration (FDA) and submit the following documents:

a. To get a License to Operate (LTO)

 Petition Form

 Joint Affidavit of Undertaking

 Certificate of Attendance to an FDA-sponsored seminar on licensing of

establishment.

 Proof of business registration.

 Proof of occupancy or business address.

 Floor plan (with dimensions) and vicinity map.

b. To get an FDA certificate for product registration:


 Application form.

 Valid license to operate from the FDA.

 Product labels.

 Product documents.

 Certificate of analysis.

 Product sample.

2. Register for a Barangay Business Clearance

a. Prepare the requirements.

 Two valid IDs.

 Proof of Address. Contract of Lease (if rented) or Certificate of Land

Title (if owned).

 Certificate of registration from SEC.

b. Go to the barangay where the business is located.

 Fill up the application form and submit it together with the other

requirements.

 Wait for the assessment

 Pay the corresponding fee to the Cashier

 Claim the Barangay Business Clearance.

3. Fire Safety Inspection Certificate Location

The business will then secure Fire Safety Inspection Certificate (FSIC) issued by

the Bureau of Fire Protection that serves as an assurance that a certain facility,

structure or building/occupancy has been duly inspected and deemed complying


to the Fire Code of the Philippines or RA 9514. The requirements are the

following:

 Building plans

 Building permit

 Barangay Business clearance

 Fire insurance coverage

 Compliance to requirements and recommendations from fire safety

inspectors

4. Sanitary Permit

Royale Oyster Mushroom Food Manufacturing needs to ensure sanitary permit

from health office of Nueva Vizcaya. It is required for the issuance of business

permit. The following are the required documents and steps to acquire such

permit:

 Chest X-Ray

 1x1 Picture

 Inspection of the said establishment

 Sanitary permit fee

 Payment of sanitary permit and sanitation fee

 Medical certificate/health card issued by the municipality health officer or

duly authorized representative.

5. Locational Clearance
The business needs to secure locational clearance in the local government unit of

Bambang. It serves as a pre-requisite document in the issuance of a business

permit to guarantee that the business is in compliance with the Zoning Ordinance.

Requirements are the following:

 Pictures of the site

 Fire Inspection Certificate

 Building Permit

 Authorization from the owner (if rented)

 Electrical Permit

 Sanitary Permit

 Certification of Non-Improvement

 PRC/PTC of the Engineer

6. Obtain a Business Permit or Mayor’s Permit

After obtaining the certificate of registration from SEC, apply for a Business

Permit or Mayor’s Permit. This is required since the business is located under the

LGU’s area of governance. The following are the steps on how to get a Mayor’s

Permit:

a. Prepare the requirements.

 Two valid IDs.

 Proof of Address. Contract of Lease (if rented) or Certificate of Land

Title (if owned).

 Certificate of registration from SEC.

 Barangay Business Clearance


b. Go to the barangay where the business is located.

 Fill up the application form and submit it together with the other

requirements.

 Wait for the assessment

 Pay the corresponding fee to the Cashier

 Claim the Mayor’s Permit.

7. Register the business in the Bureau of Internal Revenue (BIR)

Registering with the BIR will give the business permission to issue sales invoice,

register book of accounts, and to obtain a separate Tax Identification Number.

The following are the procedures on registering with the BIR:

a. Prepare the requirements:

 Certificate of registration from SEC

 Barangay Business Clearance

 Mayor’s Permit

 Certificate of Lease (if place is rented) or Certificate of Land Title (if

owned)

b. Fill up 3 copies of the BIR Form 1901

c. Go to the Revenue District Office (RDO)

d. Pay Registration Fee of Php 500 and Php 30 for loose DST or Proof of

Payment of Annual Registration Fee (ARF). After payment, submit a

photocopy of the BIR Form payments and other documentary

requirements to the RDO.

e. Claim the Certificate of Registration (COR)


f. Purchase and register the business’s books of account.

g. Secure an Authority to Print.

8. PhilHealth

All employers must register their employees with PhilHealth to enable them to

provide social health insurance coverage to their employees.

The following requirements are the following:

 Securities and Exchange Commission (SEC) Registration

 Employer Data Record (ER1) Form

 PhilHealth Membership Registration Form (PMRF)

9. Social, Security System

All employers must register its employee with SSS, social insurance that provides

protection and benefits to the members and its beneficiaries. The employer

deducts their employee’s contribution to their monthly salary.

The following are the requirements for registering with SSS:

 SEC Approved Articles of partnership from incorporation

 SSS Forms R-1 (Employer SSS Registration)

 R-1A (Employment Report)

10. Pag-IBIG Fund

All employers must register its employee with Pag-IBIG fund, an agency that

focuses on the benefit of workers such as entitlement to dividends from their

savings and, providing access to multi-purpose loans and housing loans and

contributions should be deducted to their monthly salaries. Requirements for the

application for Pag-IBIG are the following:


 Employer’s Data Form (EDF)

 Securities and Exchange Commission (SEC) Certificate of

Partnership/Incorporation

 Approved Articles of Partnership/Incorporation and By-Laws
