WHEREAS, Arif Ismail is desirous to contract to the Hellomeli business consultancy service Plc
study on ‘prepare business plan on honey production and processing in Oromia , Ethiopia’
WHEREAS, the Hellomeli business consultancy
service Plc possesses the necessary knowledge, skills, experience, and competency to
perform the required duties;
THEREFORE, the parties hereby agree as follows:

1. Objective of the Agreement

1.1 The objective of this Agreement is for the parties to work on ‘prepare business plan
honey production and processing in Oromia regional state, Ethiopia’ study and the plans of
which are designed and developed by him and agreed up on and accepted by the Hellomeli
business consultancy.

2. Validity of the Agreement

2.1 This Agreement shall commence starting from August 2022.
2.2 Activities shall start from the date of signing the Agreement. And shall submit the whole
document/the draft/ within maximum of 10 days from the sighned date of agreement
2.3 To be eligible for payment, the hellomely shall provide all the necessary documents up
to standard Service.

3. Duties and Responsibilities of the Parties to this Agreement

3.1 Arif Ismail shall have the duties and rights provided hereunder:
3.1.1 Follow up of progress made by the Hellomeli business consultancy towards the
accomplishment of the preparation of the first Draft Final Report indicated by title in
section 1.1 of this agreement. Under section 1.1, responsibility of Arif-Ismail------- also
entails follow up of specific activities indicated in section 3.2 of this agreement put under
the duties and responsibilities of the Hellomeli business consultancy.

3.1.2 Provide technical and logistical support to enable the Hellomeli business consultancy to
achieve the stated goals and objectives in an efficient manner.

3.2 The Hellomeli business consultancy shall have the duties and rights provided hereunder:

3.2.1 Responsible for the business plan.

4. Termination, Withdrawal and Extension of the Agreement

With respect to termination, withdrawal or extension, this Agreement is subject to the
following conditions:
4.1 Any one of the parties wishing to withdraw from the partnership shall give, in writing,
a 10-day notice of intention to withdraw and give reasons for doing so.
4.2 Any amendment within the scope of the Agreement shall be made by mutual consent
of the parties, by the assurance of a 10-day written notice, signed and dated by all
parties, prior to any changes being performed.
4.3 Arif-Ismail---- reserves the right to immediately terminate the agreement on the
grounds of non-accountability, non-performance, maladministration, or any other
relevant ground that materially and substantially affects the objective of the
Agreement.

5. Fees and payment schedule

In consideration for the Services to be performed by the Hellomeli business consultancy under
this Agreement, Arif------- shall pay a gross sum of (45,000.00 Birr).
Arif------- shall withhold 2% tax as per article 53 of the income tax proclamation No.
286/2002 or 30% as per article 91/1 of the income tax proclamation no. 286/2002 issued
by the Council of Ministers No. 78/2002.
5.1. Arif effects payment in Two Phase–

 The first payment will be 50percent and made at the beginning of the study and the
remaining payment will be made after all duties and responsibilities provided under
section 3.2 are fully carried out.

6. OWNERSHIP
All information, data, statistics, forms, designs, plans, procedures, systems, and another
materials produced by the Hellomeli business consultancy
6.1 under this Agreement shall be the sole and exclusive property of the Arif Ismail.
6.2 The Arif Ismail - shall have unrestricted authority to disclose, distribute and
otherwise use, copyright or patent any such materials produced by the Hellomeli
business consultancy under this Agreement.
6.3 The Hellomeli business consultancy can present the results of the study with a written
permission from the Arif Ismail.

7. Confidentiality 
In the course of performing the aforementioned Services, the parties recognize that the
Hellomeli business consultancy
may come in contact with or become familiar with information that the Arif-Ismail or its
subsidiaries or affiliates may consider confidential. The Hellomeli business consultancy agrees
to keep all such information confidential and not discuss or disclose it to anyone other than
appropriate Arif-Ismail personnel or their designees.

 8. Miscellaneous
Entire Agreement and Amendments
This Agreement constitutes the entire agreement of the parties with regard to the subject
matter hereof, and replaces and supersedes all other agreements or understandings,
whether written or oral. No amendment or extension of the Agreement shall be binding
unless in writing and signed by both parties.
Either party may terminate this Agreement upon Thirty (10) days prior written notice.

Governing Law, Severability

The laws of the country shall govern this Agreement. The invalidity or unenforceability of
any provision of the Agreement shall not affect the validity or enforceability of any other
provision.
Disputes
The parties agreed to use their best efforts to settle any disputes amicably outside of
arbitration or courts. If such efforts shall fail to solve any disagreement, disputes in
connection with this agreement shall be settled by arbitration in accordance with the
country’s law.
