NON-DISCLOSURE AGREEMENT
This CONFIDENTIALITY
AGREEMENT is made on October 6th
2022. (“Agreement”).
BETWEEN:
(1) PT ASA KREASI INTERASIA, a
company incorporated in Indonesia
whose registered office is situated at
The Manhattan Square Building, Mid
Tower 12th Floor, Pasar Minggu,
Cilandak Timur 12560, Indonesia in
this case is represented by Marlina in
her capacity as Director of and as
such is acting for and on behalf of PT
Asa Kreasi Interasia (“ASA”). and
(2) Cube Eye Indonesia, a division of
PT DYNAMIX BIJAK
MANDIRI, a company incorporated
in Indonesia, whose registered office
is situated at Gedung Wirausaha 5th
Floor, Jl HR Rasuna Said Kav C5
Setiabudi Karet, Jakarta 12940,
Indonesia, in this case is represented
by Yovineda Brilliano in his capacity
as Director, of and as such are acting
for and on behalf of PT Dynamix
Bijak Mandiri (“DBM”).
(each a “Party” and collectively the (Setiap pihak secara sendiri-sendiri disebut
“Parties”) “Pihak" dan bersama-sama disebut “Para
Pihak”)
WHEREAS:
(A) PT. ASA and PT. DBM (Cube Eye
Indonesia) are interested in
exploring the possibility of entering
into a business relationship
concerning direct marketing services
and exploring the possibility
potential business relationships
between Affiliates (as defined
below) of PT. ASA and PT. DBM
(Cube Eye Indonesia) (“the
Relationship”);

(“Perjanjian”).
ANTARA:
(1) PT ASA KREASI INTERASIA,
perusahaan yang didirikan di Indonesia
berdomisili dan beralamat kantor di
Manhattan Square Building, Mid Tower
Lantai 12, Jl TB Simatupang, Pasar
Minggu, Cilandak Timur 12560
Indonesia dalam hal ini diwakili oleh
Marlina dalam kedudukannya sebagai
Direktur dari dan karenanya bertindak
untuk dan atas nama PT Asa Kreasi
Interasia (“ASA”). dan
(2) Cube Eye Indonesia, divisi dari PT
DYNAMIX BIJAK MANDIRI,
perusahaan yang didirikan di
Indonesia, berdomisili dan beralamat
kantor di Gedung Wirausaha Lantai 5,
Jl HR Rasuna Said Kav C5 Setiabudi
Karet, Jakarta 12940, Indonesia, dalam
hal ini diwakili oleh Yovineda Brilliano
dalam kedudukannya sebagai Direktur,
dari dan karenanya bertindak untuk dan
atas nama Dynamix Bijak Mandiri
(“DBM”).
PARA PIHAK MENERANGKAN
TERLEBIH DAHULU BAHWA:
(A) PT ASA dan PT. DBM (Cube Eye
Indonesia) berkeinginan untuk
menjajaki kemungkinan kerjasama di
bidang layanan pemasaran langsung
dan menjajaki kemungkinan hubungan
bisnis antara Para Afiliasi
(sebagaimana didefinisikan di bawah)
PT. ASA dan PT.DBM (Cube Eye
Indonesia) (“Kerjasama”);
(B) Para Pihak bermaksud untuk

PROMISES HEREIN, IT IS HEREBY DENGAN SYARAT DAN KETENTUAN
AGREED as follows: sebagai berikut:

1. Pengertian Informasi Rahasia

“Informasi Rahasia” adalah:

strategic, tactical and negotiating
information, information supporting
litigation or administrative proceedings
and other financial, technical or (b)

(b) All information which the Disclosing
Party or any of its advisors, agents,
officers or employees disclose to the
Receiving Party relating to business
activities of the Disclosing Party,
whether by way of oral explanation or
by making available files, company
records, contracts, books of account or
other information connected with the (c)

Party; and
(c) Any copies of the information

2. Duty of Confidentiality
(a) The Receiving Party agrees and
undertakes to keep all Confidential
Information confidential and not to
use the Confidential Information for
any purpose other than strictly in
connection with this cooperation or as
otherwise agreed in writing by the
Disclosing Party and not to disclose
the Confidential Information to any
person other than on a need to know
basis to the Receiving Party’s
directors, employees, agents or other
such authorized representatives who
are actively and directly participating
in this cooperation provided that such
Receiving Party Representatives agree
and undertake to be bound by the
terms and conditions of this
Agreement as if they were parties to
this Agreement and all obligations and
terms to be observed and discharged
by the Receiving Party apply equally
to the Receiving Party
Representatives;
(b) Except in order to achieve the purposes
of this Agreement, neither Party shall
disclose the existence of this
cooperation without the written

Informasi, baik secara lisan maupun
dalam bentuk file, catatan perusahaan,
kontrak, buku rekening atau informasi lain
yang berhubungan dengan urusan bisnis
Pihak Pemberi Informasi; dan
Setiap salinan informasi yang dijelaskan
di atas atau setiap dokumen yang
diperoleh dari Informasi tersebut.
Kewajiban Kerahasiaan
(a) Pihak Penerima Informasi menyetujui dan
menyanggupi untuk menjaga seluruh
Informasi Rahasia dan tidak akan
menggunakan Informasi Rahasia tersebut
untuk tujuan selain yang berhubungan
dengan kerjasama atau kecuali disepakati
lain secara tertulis oleh Pihak Pemberi
Informasi dan tidak akan memberikan
informasi kepada pihak manapun selain
yang dibutuhkan oleh direktur, karyawan,
agen Pihak Penerima Informasi atau
perwakilan sah Pihak Penerima Informasi
yang secara aktif dan langsung ambil
bagian di dalam kerjasama ini dengan
ketentuan Perwakilan Pihak Penerima
Informasi setuju dan sepakat untuk terikat
pada ketentuan Perjanjian ini .
(b) Kecuali untuk mencapai tujuan Perjanjian
ini, salah satu Pihak tidak dapat
memberitahukan adanya kerjasama ini
tanpa ijin tertulis dari Pihak lainnya;
(c) Pihak Penerima Informasi menyetujui
untuk segera memberitahukan secara
tertulis kepada Pihak Pemberi Informasi

permission of the other Party;
(c) The Receiving Party agrees to notify
the Disclosing Party in writing as soon
as reasonably practicable if any
investigation or proceedings are
commenced or action taken, or the
Receiving Party otherwise becomes
subject to a regulatory order or an
order of the courts, which could result
in the Receiving Party or its
representatives becoming compelled
to disclose any of the Confidential
Information, to take all commercially
reasonable and lawful steps according
to the Disclosing Party’s direction to
lawfully resist or avoid such
proceedings or action and to keep the
Disclosing Party informed of all
material matters and developments
relating to such proceedings or action;
(d) The Receiving Party agrees that it shall
not, in any way, duplicate or use, or
allow any other person to duplicate or
use, any Confidential Information
except as permitted hereunder, or as
specifically authorized in writing by the
Disclosing Party, and shall keep a list
of third parties authorized to duplicate
Confidential Information and to which
disclosure is made. The Receiving
Party further agrees to separate, as far
as practicable, the Confidential
Information and any copies,
reproductions or summaries of the
Confidential Information from all
other documents and records held by
the Receiving Party; and
(e) Any obligation of the Receiving Party
as set forth in this Agreement shall not
apply to any Confidential Information
that:
(i) at the time of disclosure is in the
public domain, lawfully and not
as a result of breach by the
Receiving Party of any

Informasi tentang seluruh bahan hal dan
perkembangannya yang berkaitan
dengan upaya atau tindakan hukum

(d) Pihak Penerima Informasi menyetujui
bahwa Pihak Penerima Informasi tidak
akan dengan cara apapun, baik
menggandakan, menggunakan, maupun
mengijinkan pihak lain manapun untuk
menggandakan atau menggunakan
Informasi Rahasia kecuali diijinkan
berdasarkan Perjanjian ini atau diijinkan
secara khusus secara tertulis oleh Pihak
Pemberi Informasi dan akan menjaga
daftar pihak ketiga yang berwenang untuk
menggandakan Informasi Rahasia dan
kepada pihak ketiga yang membuat
Informasi Rahasia. Pihak Penerima
Informasi juga menyetujui, sepanjang
diperlukan, Informasi Rahasia dan setiap
salinan, penggandaan atau ringkasan
Informasi Rahasia dari seluruh dokumen
dan catatan lain oleh Pihak Penerima
Informasi; dan
(e) Kewajiban Penerima Informasi
sebagaimana dimuat di dalam Perjanjian
ini tidak berlaku atas Informasi Rahasia:
(i) pada saat informasi tersebut menjadi
milik publik, secara sah dan bukan
yang timbul dari pelanggaran oleh
Pihak Penerima Informasi atas
kewajiban menjaga kerahasiaan
sebagaimana diatur dalam
Perjanjian ini;
(ii) informasi tersebut telah diketahui

to or forming part of this
Agreement;
(ii) is already known to a Party from
a source other than the owner of
the Confidential Information prior
to receiving the same hereunder,
as documented in such Party's
dated records prior to such time;
(iii) was available to and legally and
properly obtained by the
Receiving Party, in a manner not
involving any breach of
confidentiality under this or any
other agreement, from a source
other than the Disclosing Party or
its advisors, agents, officers or
employees;
(iv) is disclosed pursuant to court order
or other legal compulsion,
provided that the Receiving Party
provides the Disclosing Party
with a prior written notice of such
obligation and the opportunity to
oppose such disclosure or obtain
a protective order; or
(v) has been independently acquired
or developed by the Receiving
Party or otherwise lawfully
obtained by it, without violation
of either the letter or the spirit of
this Agreement and without the
use of any Confidential
Information.
3. Disclosure to Affiliates, etc.
Parties recognizes that each party is
part of an organization of multiple
legal entities in several jurisdictions
and that it may be necessary for
Parties to provide Confidential
Information to its Affiliates (as define
below). For this purpose, each Party
agrees (both as the Disclosing Party
and as the Receiving Party hereunder)
that:

berdasarkan perjanjian ini atau
perjanjian lain apapun dari sumber
selain Pihak Penerima Informasi
atau penasehat, agen, petugas, atau
karyawannya;
(iv) diberitahukan berdasarkan putusan
pengadilan atau paksaan hukum,
sepanjang Pihak Penerima
memberikan Pihak Pemberi Informasi
pemberitahuan tertulis sebelumnya
tentang kewajiban tersebut; atau
(v) informasi tersebut dapat diperoleh
secara bebas atau dikembangakan
oleh Pihak Penerima Informasi atau
diperoleh dengan cara lain secara
sah oleh Pihak Penerima Informasi
tanpa melanggar Perjanjian ini
maupun tanpa menggunakan
Informasi Rahasia tersebut.
3. Pemberitahuan Informasi kepada
Afiliasi, dsb.
Para Pihak mengetahui bahwa masing-
masing Pihak adalah bagian dari
organisasi dari beberapa badan hukum di
beberapa yurisdiksi dan perlu bagi Para
Pihak untuk menyediakan Informasi
kepada Afiliasinya (sebagaimana
dijelaskan di bawah ini). Untuk tujuan
ini, masing-masing Pihak menyetujui
(baik sebagai Pihak Pemberi Informasi
maupun Pihak Penerima Informasi
berdasarkan Perjanjian ini) bahwa:
(a) Masing-masing Pihak dapat
memberitahukan Informasi Rahasia
kepada Afiliasinya namun dengan
ketentuan hanya untuk keperluan
kerjasama ini;

(a) Each Party may disclose
Confidential Information to its
Affiliates but only to the extent
that such Affiliate has a need to
know for the purpose of seeking
to establish the Relationship;
(b) Disclosure by or to any Affiliate of
each Party shall be deemed to be a
disclosure by or to each Party, as
applicable;
(c) Each Party shall be responsible for
the observance and proper
performance by all of its Affiliates
of the terms and conditions of this
Agreement; and
(d) Each Party may disclose
Confidential Information to its
subcontractors but only to the
extent that such subcontractor has
a need to know for the purpose of
seeking to establish the
Relationship and provided that
such subcontractor accepts
confidentiality obligations similar
to those contained in this
Agreement.
For the purposes of this Agreement,
"Affiliate" shall mean, in the case of
each Party, any subsidiary of Party;
any holding company of the Party and
any subsidiary of any such holding
company.
4. Protection of Confidential
Information
(a) The Receiving Party shall
establish and maintain procedures
and facilities that will protect
Confidential Information and
prevent its misuse, whether in
storage or in use, and ensure at all
times the same degree of care as
the Receiving Party uses to
protect its own Confidential
Information but in no case with
any less degree than reasonable

(b) Pemberitahuan informasi oleh atau
kepada Afiliasi masing-masing Pihak
dianggap pemberitahuan informasi
oleh Para Pihak tersebut,
sebagaimana diatur dalam Perjanjian
ini;
(c) Masing-masing Pihak bertanggung
jawab atas pematuhan dan
pelaksanaan yang sesuai oleh seluruh
Afiliasinya syarat dan ketentuan
Perjanjian ini; dan
(d) Para Pihak dapat memberitahukan
Informasi Rahasia kepada
subkontraktornya sepanjang
berkaitan dengan kerjasama ini dan
dengan ketentuan subkontraktor
tersebut menerima informasi rahasia
tersebut sama dengan yang diatur di
dalam Perjanjian ini.
Untuk maksud dan tujuan Perjanjian ini,
istilah "Afiliasi" adalah, dalam hal setiap
Pihak, setiap cabang masing-masing
Pihak dan perusahaan induk dan setiap
cabang perusahaan induk atau anak
perusahaan.
4. Perlindungan Informasi Rahasia
(a) Pihak Penerima Informasi wajib
membuat prosedur dan merawat
fasilitas yang akan melindungi dan
mencegah penyalahgunaan
Informasi Rahasia, baik yang
digunakan maupun disimpan, dan
senantiasa memastikan informasi
tersebut disimpan dengan tingkat
keamanan yang sama sebagaimana
Pihak Penerima Informasi
melindungi Informasi Rahasianya
sendiri baik dalam bentuk elektronik
maupun cetak.

care, and to ensure that
appropriate standards of data
privacy are implemented to
ensure that the Confidential
Information is secure both in
electronic form and in hard copy.
(b) The Receiving Party shall be
solely responsible for the security
of the Confidential Information
provided by the Disclosing Party
and take all reasonable steps to
ensure that none of its officers,
employees or any other person
disclose, use, store, reproduce or
copy any of the Confidential
Information, other than as may be
necessary in connection with this
Agreement.
5. Development of Confidential
Information
The Receiving Party agrees not to
furnish to anyone other than the
Disclosing Party to this Agreement, and
to maintain the privacy and
confidentiality of, any information
developed from any Confidential
Information by the Receiving Party in
connection with the establishment of
the Relationship.
6. Return of Confidential Information
The Receiving Party, at the request of
the Disclosing Party, shall promptly
return or destroy any Confidential
Information, as directed by the
Disclosing Party, by any means or at
any reasonable location that the
Disclosing Party may designate. The
Receiving Party shall also expunge all
Confidential Information from any
computer, word processing equipment,
electronic or other means of storage
containing the Confidential Information.
In returning or destroying any
Confidential Information, the Receiving
Party shall not label the Confidential
Information to be returned or destroyed

(b) Pihak Penerima Informasi
bertanggung jawab atas keamanan
Informasi Rahasia yang diberikan
oleh Pihak Pemberi Informasi dan
mengambil tindakan yang diperlukan
untuk memastikan tidak ada dari
petugas, karyawannya atau pihak lain
manapun memberitahukan,
menggunakan, menyimpan,
menggandakan atau menyalin
Informasi Rahasia tersebut, selain
yang diperlukan sehubungan dengan
Perjanjian ini.
5. Pengembangan Informasi Rahasia
Pihak Penerima Informasi menyetujui
untuk tidak memberikan kepada siapapun.
Pihak Pemberi Informasi di dalam
Perjanjian ini dan akan menjaga
kerahasiaan setiap informasi yang
dikembangkan dari setiap Informasi
Rahasia tersebut oleh Pihak Penerima
Informasi sehubungan dengan
pembentukan.
6. Pengembalian Informasi Rahasia
Pihak Penerima Informasi, atas
permintaan Pihak Pemberi Informasi,
wajib segera mengembalikan atau
memusnahkan Informasi Rahasia dalam
bentuk apapun, sebagaimana
diperintahkan oleh Pihak Pemberi
Informasi dengan cara apapun atau di
lokasi manapun yang ditentukan oleh
Pihak Pemberi Informasi. Pihak Penerima
Informasi juga wajib menghapus seluruh
Informasi Rahasia apapun dari komputer,
pengolah kata, elektronik atau cara
penyimpanan lain yang memuat Informasi
Rahasia. Untuk mengembalikan atau
memusnahkan Informasi Rahasia, Pihak
Penerima Informasi tidak perlu
memberikan label Informasi Rahasia
untuk dikembalikan atau dimusnahkan
dengan cara apapun yang secara
langsung maupun tidak langsung
membeberkan isinya. Pihak Penerima
Informasi wajib, atas permintaan Pihak
Pemberi Informasi, memberikan Pihak

in any manner that directly or indirectly
might reveal its contents. The
Receiving Party shall, at the request of
the Disclosing Party, provide the latter
with a certificate from an authorised
officer of the Receiving Party, attesting
to this return or destruction, as
applicable. The obligation on return of
Confidential Information in this
provision does not apply to any
information that is required to be kept
for legal, tax or regulatory purposes.
7. Intellectual Property Rights License
(a) All Confidential Information
together with all intellectual
property rights therein will remain
the exclusive property of the
Disclosing Party. The disclosure of
the Confidential Information will
not constitute an express or implied
grant of any rights to or under the
Disclosing Party’s patents,
copyrights, trademarks, trade
secrets or other intellectual property
rights. The Receiving Party shall
not in respect of any Confidential
Information disclosed by the
Disclosing Party apply for any
patent, copyright, registered design
or similar protective instrument in
any part of the world.
(b) License (express or implied, by
estoppels or otherwise) in respect of
any intellectual property right
which is or may hereafter be owned
by or licensed to the Disclosing
Party is granted to the Receiving
Party in relation to the Confidential
Information except as expressly set
out in this Agreement.
(c) Notwithstanding the foregoing,
neither party shall be restricted or
prevented from using any know-
how it acquires in connection with
the establishment of the
Relationship provided that to do so

peraturan.
7. Lisensi Hak Kekayaan Intelektual
(a) Seluruh Informasi Rahasia beserta
seluruh hak kekayaan intelektualnya
akan tetap menjadi hak milik Pihak
Pemberi Informasi. Pemberitahuan
Informasi Rahasia tidak diartikan
secara tersirat maupun tegas
memberikan hak apapun baik hak
paten, hak cipta, merek dagang, nama
dagang, rahasia dagang atau hak
kekayaan intelektual lain dari Pihak
Pemberi Informasi kepada Pihak
Penerima Informasi.
(b) Lisensi (baik secara tegas atau tersirat,
berdasarkan estopel atau lainnya)
sehubungan dengan hak kekayaan
intelektual apapun yang selanjutnya
dapat dimiliki oleh atau dilisensikan
kepada Pihak Pemberi Informasi
diberian kepada Pihak Penerima
Informasi kecuali dimuat secara tegas
di dalam Perjanjian ini.
(c) Dengan tidak mengurangi ketentuan
di atas, salah satu pihak tidak akan
dibatasi atau dicegah untuk
menggunakan setiap keahlian yang
diperoleh sehubungan dengan
kerjasama ini dengan ketentuan tidak

8. Data Protection
The Receiving Party shall ensure that
its receipt, processing, storage and use
of the Confidential Information
complies fully with the terms of all
applicable data privacy laws and
regulations.
9. Indemnification
The Receiving Party will be liable for
and agrees to defend and indemnify
the Disclosing Party and its directors,
officers, employees and authorised
representatives and hold them
harmless from and against any and all
claims, demands, losses, liabilities,
damages, judgments, actions,
proceedings, settlements, penalties,
fines, costs or expenses including, but
not limited to, any loss, liability and
cost reasonably incurred as a result of
defending or settling a claim to the
extent permitted by law, other than a
claim by an Affiliate of the Parties,
arising out of or in connection with
the default, negligence or bad faith of
the Receiving Party or its directors,
officers, employees, agents,
subcontractors or any other person
carrying out the obligations of the
Receiving Party under this Agreement.
10. Third Party Confidentiality
Agreement
Should the Receiving Party require that
any Confidential Information be
disclosed to any other person, the
Receiving Party shall, prior to such
disclosure, obtain the written consent of
the Disclosing Party, which consent
may be made conditional upon the
execution by the third party of a
confidentiality agreement on
substantially the same terms as this

pemrosesan, penyimpanan dan
penggunaan Informasi Rahasia tunduk
secara penuh pada ketentuan seluruh
peraturan dan perundang-undangan
hukum data rahasia.
9. Ganti Rugi
Pihak Penerima Informasi berkewajiban
dan menyetujui untuk membebaskan dan
melindungi Pihak Pemberi Informasi dan
direktur, petugas, karyawan dan
perwakilan sahnya dari dan terhadap
setiap tuntutan, kerugian, kewajiban,
pelunasan, denda, biaya atau beban
termasuk namun tidak terbatas pada
kerugian, kewajiban dan biaya yang
timbul dari membela atau menyelesaikan
tuntutan sepanjang diijinkan berdasarkan
hukum, selain tuntutan oleh Afiliasi Para
Pihak, yang timbul dari atau sehubungan
dengan wanprestasi, kelalaian atau itikad
buruk Pihak Penerima Informasi atau
direktur, petugas, agen,
subkontraktornya atau pihak lain
manapun yang melaksanakan kewajiban
Pihak Penerima Informasi berdasarkan
Perjanjian ini.
10. Perjanjian Kerahasiaan Informasi
Pihak Ketiga
Apabila Pihak Penerima Informasi
mewajibkan bahwa setiap Informasi
Rahasia diberitahukan ke pihak lain,
Pihak Penerima Informasi wajib, sebelum
pemberitahun tersebut, memperoleh
persetujuan tertulis dari Pihak Pemberi
Informasi dengan syarat pihak ketiga
menandatangani perjanjian kerahasiaan
informasi dengan isi syarat dan ketentuan
yang sama atau yang dapat diterima Pihak
Pemberi Informasi, dan Pihak Penerima
Informasi juga menyepakati untuk
mengirim salinan perjanjian yang sudah
ditandatangani tersebut kepada Pihak
Pemberi Informasi

Agreement or as otherwise acceptable
to the Disclosing Party, and the
Receiving Party further agrees to
deliver a copy of such executed
agreement to the Disclosing Party.
11. Compliance with Law
Each Party agrees to comply with all
applicable laws and regulations in
performance of its obligations
hereunder, and further represents and
warrants that its directors, employees,
agents and subcontractors hereunder
shall do the same.
12. Governing Law and Jurisdiction
This Agreement shall be construed in
accordance with the laws of Republic
of Indonesia and the Parties submit to
the non-exclusive jurisdiction of the
courts of Republic of Indonesia.
13. Notices
All notices, requests, cancellations or
terminations and other communications
hereunder shall be in writing, delivered
personally or by express courier, or
given by Registered Mail or Certified
Mail, return receipt requested, and
addressed as follows:

11. Kepatuhan atas Hukum
Masing-masing pihak menyetujui untuk
mematuhi seluruh peraturan dan
perundang-undangan yang berlaku untuk
melaksanakan kewajibannya berdasarkan
Perjanjian ini dan juga menyatakan dan
menjamin bahwa direktur, karyawan, agen
dan subkontraknya berdasarkan perjanjian
ini melakukan hal yang sama.
12. Hukum yang berlaku dan wilayah
hukum
Perjanjian ini ditafsirkan berdasarkan
hukum Republik Indonesia dan Para
Pihak dengan ini memilih pengadilan
Republik Indonesia sebagai tempat
wilayah hukum yang tetap.
13. Pemberitahuan
Seluruh pemberitahuan, permintaan,
pembatalan atau pengakhiran dan surat-
menyurat berdasarkan perjanjian ini harus
dibuat secara tertulis, dikirimkan secara
langsung atau melalui pengiriman cepat
atau surat tercatat, dengan tanda terima
dan dikirimkan ke alamat berikut:

14. Keseluruhan dan Ketetapberlakuan
Perjanjian
Perjanjian ini memuat keseluruhan
perjanjian antara Para Pihak sehubungan
dengan penggunaan dan pemberian

14. Entire Agreement and Survival
This instrument contains the entire
agreement between the Parties in
relation to the use and disclosure of
Confidential Information in connection
with the establishment of the
Relationship, and may be changed only
by a written instrument mutually agreed
to and signed by each Party. The terms
hereof shall survive the termination of
this Agreement and of any other
arrangement between the Parties unless
expressly provided to the contrary in
the termination of such arrangement.
15. Severability
Should any provision of this Agreement
be finally determined to be inconsistent
with or contrary to applicable law, such
provision shall be deemed amended or
omitted to conform therewith without
affecting any other provision or the
validity of this Agreement.
16. Operation of Agreement
The obligations imposed under this
Agreement shall be binding upon the
Parties until such time as all of the
Confidential Information disclosed has
fallen into the public domain,
otherwise than through breach of this
Agreement.
17. No Representation
The Parties agree to comply fully with
the duties of disclosure and of utmost
good faith, at common law and under
any relevant legislation, and the
obligation of both Parties to refrain
from any misrepresentation,
misleading or deceptive conduct.
Neither Party nor its advisors, agents,
officers or employees make any
representation or warranty as to the
accuracy or completeness of the
Confidential Information. Save as
otherwise provided in this Agreement,

Informasi Rahasia yang berkaitan dengan
kerjasama, dan hanya dapat diubah
dengan kesepakatan tertulis yang
disepakati dan ditandatangani oleh
masing-masing pihak. Perjanjian ini tetap
berlaku walaupun perjanjian ini telah
berakhir dan setiap kesepakatan lain
antara Para Pihak kecuali pengakhiran
tersebut diatur lain secara tegas di dalam
kesepakatan tersebut.
15. Keterpisahan
Apabila terdapat ketentuan di dalam
Perjanjian ini yang bertentangan dengan
hukum yang berlaku, ketentuan tersebut
akan diubah atau dihapus untuk
menyesuaikan hukum yang berlaku tanpa
mempengaruhi ketentuan lainnya atau
keabsahan Perjanjian ini
16. Pengikatan Perjanjian
Kewajiban yang dibebankan berdasarkan
Perjanjian ini mengikat Para Pihak
sampai jangka waktu seluruh Informasi
Rahasia yang diberikan menjadi milik
publik selain yang melanggar Perjanjian
ini.
17. Larangan Pemberian Pernyataan Yang
Tidak Benar
Para Pihak menyetujui untuk secara
penuh memenuhi tugas pemberitahuan
informasi dengan itikad baik, baik
berdasarkan common law maupun
berdasarkan hukum terkait lainnya, dan
kewajiban Para Pihak untuk
mengabaikan pemberian pernyataan
tidak benar atau tindakan penipuan. Baik
salah satu pihak maupun penasehat,
agen, petugas atau karyawannya dilarang
membuat pernyataan atau jaminan
berkenaan dengan keakuratan atau
kelengkapan Informasi Rahasia. Kecuali
ditentukan lain di dalam Perjanjian ini,
baik Pihak Pemberi Informasi maupun
penasihat, agen, petugas, karyawan atau
konsultannya tidak memiliki kewajiban
dalam bentuk apapun kepada Pihak

neither the Disclosing Party nor its
advisors, agents, officers, employees
or consultants, will otherwise have
any liability to any person arising out
of or in connection with the Receiving
Party’s use of or reliance on the
Confidential Information. Nor shall
the Receiving Party, its advisors,
agents, officers, employees or
consultants, have any liability, of any
nature or description, to the Disclosing
Party, for or in respect of or in any
way arising out of the provision of the
Confidential Information, except
pursuant to the express terms of this
Agreement or of any relevant
agreements which may subsequently
come into existence between the
Parties.
18. Waiver and Amendments
No failure or delay by either Party in
exercising any power or right under this
Agreement shall operate as a waiver,
nor will any single or partial exercise of
any power or right preclude any other
or further exercise, or the exercise of
any other power or right.Any
amendments, modification or variation
of this Agreement or waiver of the
terms and conditions must be
approved in writing by both Parties.
19. Assignment
Neither Party may assign or novate any
portion of this Agreement to any other
third party without the prior written
consent of the other Party to this
Agreement.
20. Injunctive Relief
Each Party acknowledges that any
breach of this Agreement shall result in
irreparable and continuing damage to
the other Party to this Agreement and,
therefore, in addition to any other
remedy which may be afforded by law,

berdasarkan ketentuan Perjanjian ini atau

18. Pengesampingan dan Perubahan
Kelalaian atau keterlambatan oleh salah
satu Pihak untuk melaksanakan setiap
wewenang dan haknya berdasarkan
Perjanjian ini tidak dianggap sebagai
pengesampingan, atau mengesampingkan
sebagian pelaksanaan wewenang dan hak
setiap pelaksanaan lain atau lebih lanjut
atau pelaksanaan wewenang atau hak lain
apapun. Setiap perubahan perjanjian ini
atau pengesampingan syarat dan
ketentuan perjanjian ini harus disetujui
secara tertulis oleh Para Pihak.
19. Pengalihan
Salah satu pihak di dalam perjanjian ini
dilarang mengalihkan seluruh atau
sebagian Perjanjian ini kepada pihak
ketiga manapun tanpa persetujuan tertulis
sebelumnya dari pihak lainnya di dalam
perjanjian ini.
20. Putusan Sela
Masing-masing pihak menyetujui bahwa
pelanggaran apapun terhadap Perjanjian
ini akan menimbulkan kerugian yang
tidak dapat diperbaiki dan berlanjut
kepada Pihak lain di dalam Perjanjian ini
dan oleh karena itu selain upaya hukum
lain yang diberikan berdasarkan hukum,
menyetujui bahwa setiap pelanggaran atau
ancaman pelanggaran Perjanjian ini
dilarang berdasarkan putusan sela
dan/atau putusan sementara atau
pemenuhan prestasi tanpa perlu

breach of this Agreement may be
prohibited by restraining order and/or
injunction or any other equitable
remedies without the necessity of the
posting of a bond or other security,
subject to the relevant provisions of the
applicable laws and regulations
concerning such remedies.
21. No License
No right or license whatsoever is
granted pursuant to this Agreement
with respect to the Confidential
Information or otherwise.
22. Counterparts
This Agreement may be executed and
delivered in counterpart engrossments
(including by facsimile transmission
and by electronic messaging system),
each of which when so executed and
delivered shall be deemed an original
but each engrossment shall together
constitute one and the same instrument.
Immediate evidence that an
engrossment has been executed may be
provided by transmission of such
engrossment by facsimile machine or
electronic messaging system.
23. Headings
The headings in this Agreement are
included herein for convenience only
and shall not affect the meaning and
the purpose and has to be waived in
the interpretation of any article of this
Agreement.
24. Language
This Agreement is made in Indonesia
and English, should there is any
difference in the meaning and/or
interpretation between the two
versions then the Indonesian shall
prevail and be authoritative.
25. Jurisdiction
This Agreement shall be governed by
and construed in accordance with the
laws of the Republic of Indonesia.

ini sehubungan dengan Informasi Rahasia
atau informasi lainnya.
22. Rangkap
Perjanjian ini ditandatangani dan
dikirimkan dalam bentuk rangkap
(termasuk melalui faks dan sistem pesan
elektronik), masing-masing pada saat
ditandatangani dan dikirimkan dianggap
sebagai dokumen aslinya dan merupakan
bagian yang tidak terpisahkan dari
Perjanjian ini. Segera setelah bukti
tersebut ditandatangani kemudian
diberikan melalui mesin faks atau sistem
pesan elektronik.
23. Judul
Judul-judul dalam Amandemen ini
dimaksudkan semata-mata untuk
mempermudah dan tidak akan
mempengaruhi arti dan maksud serta
harus diabaikan dalam interpretasi dari
isi pasal-pasal tersebut.
24. Bahasa
Perjanjian ini dibuat dalam Bahasa
Indonesia dan Bahasa Inggris, oleh
karenanya, dalam hal terdapat perbedaan
penafsiran antara Bahasa Indonesia
dengan Bahasa Inggris, maka yang
berlaku adalah Bahasa Indonesia.
25. Yurisdiksi
Perjanjian ini, penafsiran dan
pelaksanaan serta segala dan seluruh
akibat yang ditimbulkannya, diatur dan
tunduk kepada hukum negara Republik
Indonesia.
