PRICEGAP REGIONAL MANAGER AGREEMENT

1. Parties

Name of the Regional Manager (Alumanah Hope Chidiebere) (hereinafter “Regional


Manager”)

2. Background and purpose of the agreement.

The purpose of this agreement is to agree upon the responsibilities of the Regional
Manager to act for the good of the Company, the remuneration provided to the
Regional Manager and other rights and obligations existing between the Company and
the Regional Manager.

3. Duties and Responsibilities

Regional Manager shall be responsible for the management and supervision of the
Company’s business activities and day-to-day administration in accordance with the
Limited Liability Companies Act and the guidelines laid down by the Board of
trustees of the Company inferred to them by the Director.

The Regional Manager is allowed to take actions beyond the normal scope and quality
of the Company’s activities only in accordance with the decisions of the director.

4. Term based on this agreement shall enter into force on 1/8/2023.

Alternatively: The contractual relationship is effective for the duration of Three Years.
5. Place of Work

The primary place of work of the Regional Manager Is remote.

6. Working Hours

Based on the duties and position, the Regional Manager is not in the scope of the
Working Hours Act.

The working hours of the Regional Manager are approximately 6 hours per day and 30
hours per week.

7. Salary

The salary shall be USD 700 per month and shall be paid on or before the 25th day of
each month to a bank account or crypto wallet specified by the Regional Manager.

The salary of the Regional Manager is reviewed monthly based on his or her
performance report. In addition, to the previously mentioned monetary salary

The Regional Manager is entitled to the following fringe benefits/incentives:

Unlimited car benefit, the value of the purchase price max of $3500 USD

Performance bonuses etc.

The Regional Manager shall receive all these incentives as an annual


bonus/performance bonus within one month of the date when the final accounts are
approved by the General Meeting of Shareholders.

The bonus/performance bonus is determined as follows:

Upon termination of this agreement, regardless of the reason, the Company shall pay
the Regional Manager a share of the bonus/performance bonus corresponding to the
number of full months he/she has worked for the Company during the fiscal year
concerned. The annual bonus/performance bonus shall be paid immediately after the
final accounts have been adopted and on the grounds that the Regional Manager meets
his/her target as seen On the Work Flow document.

8. Pension Benefits
In addition to the compulsory pension set forth in the Employees Pensions Act, the
Company shall subscribe to an individual supplementary pension insurance from the
company for the Regional Manager.

The additional terms of the supplementary pension shall be agreed separately in


writing between the pension insurance company, the Company and the Regional
Manager. In the end of the Regional Manager agreement, the Regional Manager will
receive a so-called paid-up policy for the pension. The Company has no right to
cancel or redeem the supplementary pension without the consent of the Regional
Manager.

At the beginning of the employment relationship the supplementary pension payment


made by the employer is USD 50.

9. Travel

The Company Regional Manager’s expenses for work related travels and
accommodation shall be paid according to receipts and evidence of work submitted.
The Regional Manager must share his intent of travel and benefits with the
shareholders through the Director for approval.

10. Representation

The Regional Manager shall be fully compensated for representation expenses.
