Terms & Conditions


1. DELIVERY
12 to 14 weeks (from the date of approval of Submittal/Drawings/LPO)

2. VALIDITY
This quotation is valid for 30 days.

3. PAYMENT TERMS
• 90% against the material delivery.
• 10% against testing & commissioning report & in exchange of civil defense Certificates through CDC

4. NOTES
➢ Our offer is based on the Drawings shared by the contractor. Any additional requirement will be
charged extra.
➢ All products offered as of standard make from the manufacturer & any special requirement such
as color, shape etc will be charged extra.
➢ In case of any changes in drawings, technical specification, Civil Defense regulation, consultant
requirement, client requirement etc., the same can be incorporated with additional cost.
➢ Standard 1 year warranty provided. Additional requirement will be charged extra

5. EXCLUSIONS

➢ Drawing approval fees, civil defense fees and any other charges
➢ Installation of proposed systems
➢ Cable supply, cable pulling & termination of the field devices including connecting with third party
system.
➢ Cable tray, trunking, conduit, civil works, electrical works, builder’s works etc.
➢ Supply of standard back boxes are excluded.
➢ Annual preventive maintenance after handing over to the client.
➢ Tenant scope excluded.
➢ Extra materials

6. VARIATION / ADDITIONAL REQUIREMENT


In case of any additional supplies, replacements or modifications, Scientechnic LLC will not grant the same
terms and conditions and price, unless mutually agreed upon followed by a written confirmation.

7. PROLONGATION CLAUSE
If the agreed project program including material delivery, installation, testing, commissioning & handing
over date is extended beyond the period agreed, due to reasons beyond our control, Scientechnic will be
entitled to claim time extension costs including but not limited to employee cost, overheads, finance
charges and all other associated costs.

8. TERMINATION / SUSPENSION / CANCELLATION


In case of a cancellation, termination or suspension of the project or purchase order the seller is entitled
to claim the full payment. Since the material will be ordered based on the buyer’s technically and
commercially clarified order, the payment of the seller will not be delayed or stopped due to reasons
beyond the control of the seller. All the material will be supplied on the basis of the seller’s delivery
schedule.

9. WARRANTY
18 months from the date of supply or 12 months from the date of commissioning, depending of which
comes earlier. The warranty covers only repairs or replacement of defective parts and does not cover
damages due to misuse, mishandling, modification, unauthorized repairs or any other cause of damage
of the system / parts which is not recommended either by manufacturer or the specialist supplier.

10. HSE CLAUSE


A copy of HSE management system to be submitted to Scientechnic upon request. Prior to
commencement of the services under the contract, a review of Scientechnic’s HSE system and the
Contractor’s system shall be carried out. If Contractor’s HSE management system does not specify HSE
requirements or does not include HSE clause or HSE terms and conditions, then Scientechnic’s HSE
standards shall be followed.

11. CHANGES IN GOVERNMENT LEGISLATION, DUTIES, TAXES, LEVIES , ETC


All offered and agreed sales price(s) within this offer / order / subcontract agreement are exclusive of any
VAT, other sales tax or governmental duties (additional taxes). In the event of relevant tax authorities
levying any additional taxes during the execution of this offer/ order / subcontract agreement, the
purchaser shall bear those additional taxes and the seller shall be entitled to increase the price(s) in the
total amount of the order/subcontract agreement.

12. FORCE MAJEURE.


a. The occurrence of an event which materially interferes, directly or indirectly, with the ability of a
Party to perform whole or part of its obligations or duties hereunder which is not within the reasonable
control of the Party affected or any of its Affiliates (“Force Majeure Event”), including, but not limited to,
war, rebellion, riots, earthquake, fire, accident, strike, riot, flooding, pandemics, epidemics, rapidly
spreading and/or infectious disease(s), civil commotion, act of God, inability to obtain raw materials, delay
or errors by shipping companies or change in Law, shall not excuse such Party from the performance of
its obligations or duties under this Agreement, but shall merely suspend such performance during the
Force Majeure Event. The Party subject to a Force Majeure Event shall promptly notify the other Party of
the occurrence and particulars of such Force Majeure Event and shall provide the other Party, from time
to time, with its best estimate of the duration of such Force Majeure Event, if possible, and with notice of
the termination thereof. Upon termination of the Force Majeure Event, the performance of any
suspended obligation or duty shall without delay recommence. The Party being directly or indirectly

subject to the Force Majeure Event shall not be liable to the other Party for any damages, loses or
compensation arising out of or relating to the suspension, delay, non-performance or termination of any
of its obligations or duties under this Agreement by reason of the occurrence of a Force Majeure Event.
b. If such Force Majeure Event continues for a period of one hundred and eighty (180) days, either
Party may terminate the Agreement upon written notice. Notwithstanding the foregoing, nothing in this
clause shall excuse or suspend the obligation to make any payment due hereunder in the manner and at
the time provided.
