CONTRACT AND CONDITIONS OF SALE

AN AGREEMENT made the …………. day of ………………….. Two Thousand and


Fourteen between SIMON MAPULANGA (Administrator of the Estate of the late
STEVEN MAPULANGA) of Chibombo District in the Central Province of the
Republic of Zambia (hereinafter called “the Vendor”) of the one part and
CHANDA MHANGO of Lusaka in the Republic of Zambia (hereinafter called “the
Purchaser”) of the other part WHEREBY it is agreed that the Vendor will sell
and the Purchaser shall purchase the property referred to in the accompanying
particulars at a price of KWACHA FORTY EIGHT THOUSAND (K48,000.00)
upon the accompanying terms and conditions and the Vendor and the
Purchaser do on their respective parts agree to complete the said purchase on
the said terms and conditions.

(Description of Property)

ALL THAT piece of land in extent 8im x 106m x 81m x 109m more or

less being Proposed Subdivision of Lot 10818/M West of Chishawasha

Children’s Home situate in Chibombo of Central Province of Zambia

which piece of land is more particularly delineated and described and

marked in red in the attached diagram EXCEPT and RESERVED all

minerals oils and precious stones whatsoever upon or under the said

land.
SPECIAL CONDITIONS

1. The Property is sold subject to the General Contract and Conditions of Sale of
the Law Association of Zambia (1997) so far as the same are not inconsistent
with or varied by these Special Conditions.

2. The Vendors and Purchaser’s Advocates are: Messrs Mambwe, Siwila &
Lisimba Advocates, 7th Floor, Godfrey House, Corner Longolongo/Kabelenga
Roads, P.O. Box 35929, Lusaka.

3. The period fixed for obtaining the State’s consent and any other necessary
licence to assign shall be one (4) weeks from the date of the Contract.

4. The date fixed for completion is Sixty (60) days from the date of obtaining State
Consent to Assign.

5. The Vendor is selling as an Administrator.

6. The Title shall commence with the Certificate of Title relating to the property.

7. The property is being sold subject to the covenants and conditions mentioned
contained or referred to in the Certificate of Title relating to the Property

8. The Purchase price of K48, 000.00 shall be paid in the following manner:-
(i) K40, 000.00 has been paid
(ii) K8, 000.00 on completion.

9. Vacant possession shall be given upon payment of the full purchase price.

10. The Vendors shall pay and discharge any outstanding Ground Rent, Rates,
Consent to Assign, all outstanding utilities and or outgoings and Property
Transfer Tax to Zambia Revenue Authority.

11. The Purchaser shall bear the registration fees for the Deed of Assignment.
12. Each party shall bear their respective legal costs incidental hereto.
