I, Recipient, undersigned, hereby agreed as follows:

1. Recipient shall use all the Technical Information and any other proprietary
information that the Recipient received along with the Technical Information
from Komatsu Ltd. solely for the Purpose describe in item 5 above.

2. Recipient shall use all the Technical Information and any other proprietary
information that the Recipient received along with the Technical Information
from Komatsu Ltd. confidential and shall not disclose or transfer the same to
any third party without prior consent of Komatsu Ltd.

3. In case that the Recipient discloses the Technical Information and other
proprietary information received from Komatsu Ltd., in part or in whole, to a
third party with prior consent of Komatsu Ltd., the Recipient shall impose the
same obligations on the third party as the Recipient assumes herein and
shall indemnify Komatsu Ltd. for any loss or damage incurred by Komatsu
Ltd. because of failure in the third party’s performance of any of the
obligations.
4. Recipient shall maintain all materials which have the Technical Information
and any other proprietary information that the Recipient received along with
the Technical Information from Komatsu Ltd. in strictest confidence and shall
return the same to Komatsu Ltd. after the use of it, upon the request by
Komatsu Ltd.

5. In relation with the disclosed Technical Information listed in the Item 4, the
Recipient shall abide by any conditions reasonably imposed by the
applicable export control laws and regulations and those imposed by
Komatsu Ltd. based upon its global export control policy. It is acknowledged
that the diversion contrary to Japan laws and regulations or other export
laws and regulations is expressly prohibited.

(The responsible organizers don’t have to read “Non-Disclosure & Security Export Compliance Agreement” before the technology
transaction/trade is made at the meetings (including trainings).)
Prior to disclosure of technical information, we Komatsu have confirmed that this technical information that we disclose in this
meeting/training is not regulated in regards to the Appended table of Foreign Exchange Order (Japanese Export Control Laws).
However, technical information could lead to be used in order to prevent global peacekeeping if this information is disclosed to third parties.
Therefore, we ask for your understanding the intentions and contents of the Agreement, using for purpose solely and not to transferring
to any third parties without prior consent of Komatsu
